<![CDATA[The conflict of interest on the registered trademark that occurred within PT. Santos Jaya Abadi between the Board of Directors and the shareholders is caused by the weakness in the implementation of the Good Corporate Governance principle. This is a normative legal research conducted with a qualitative descriptive analysis. The results of the study conclude that the form of a conflict against a registered trademark falls into the category of potential conflict of interest. This conflict of interest is a form of conflict originating from personal interests mixed with official duties/responsibilities in the future. In order to resolve the conflict of interest, two routes have been taken, namely litigation and non-litigation through arbitration. From the perspective of Good Corporate Governance, conflicts of interest should be avoided when there is transparency between the directors and shareholders.Key Words: Conflict of interest; registered trademark; good corporate governanceAbstrakKonflik kepentingan terhadap merek terdaftar yang terjadi pada PT. Santos Jaya Abadi antara Direksi dan pemegang saham disebabkan oleh kelemahan penerapan prinsip Good Corporate Governance. Penelitian ini merupakan penelitian hukum normatif yang dilakukan dengan analisis secara deskriptif kualitatif. Hasil penelitian menyimpulkan bahwa bentuk konflik kepentingan terhadap merek terdaftar termasuk kategori potential conflict of interest. Konflik kepentingan ini merupakan bentuk konflik kepentingan yang berasal dari kepentingan pribadi bercampur dengan tugas/tanggung jawab resmi di masa mendatang. Dalam rangka mengatasi konflik kepentingan tersebut, telah ditempuh dua jalur yaitu jalur litigasi dan non litigasi melalui arbitrase.
