<![CDATA[AbstrakPerkembangan Instrumen surat berharga sungguh luar biasa, secara bertahap terasakan sejak tahun 1980. Perkembangan tersebut menyangkut jenis, sifat dan ciri. Perkembangan tersebut seperti lepas dari rumahnya yaitu hukum surat-surat berharga (KUHD) sebagaikaidah yang mengaturnya. Perkembangan ini perlu dicermati apakah sampai pada terjadi perubahan bangunan hukumnya dengan adanya model instrumen generasi ketiga ini? Perbedaan utama pada generasi ketiga terletak antara lain pada latar belakang penerbitan,tujuan penerbitan, mekanisme penerbitan, jenis instrumen serta fungsi dan klausula. Perbedaan ini menjadikan surat berharga generasi ketiga ini sebagai model baru yang secara prinsip sebenarnya kehilangan sifat dan ciri sebagai surat berharga dalam pengertian KUHD, sekaligus terjadi perubahan konsep sebagai instrumen surat berharga/transaksi giral, dengan perbedaan dominan sifat dan cirinya seperti tersebut diatas. AbstractSince 1980, the securities instruments has developed in a remarkable way. The development included the change in the type, nature and characteristics of securities. This paper intends to examine whether the development of the instruments of securities also include the changes in the legal construction of securities. The development of securities instruments that creates securities of third generation is characterized by the emergence of two categories of instruments, namely foreign exchange instruments (swaps, spot, forward) and nonforeign exchange (credit-linked notes). The so-called third generation securities has different properties and characteristics compared to the first generation of securities regulated in the Indonesian Commercial Code. This difference, among others, are in the background of issuance, issuance mechanisms, types of instruments, functions and clauses. This difference makes the third generation of securities as a new model that deviates from the previous generation of securities within the meaning the Indonesian Commercial Code.]]>
