PENERAPAN PIERCING THE CORPORATE VEIL DALAM MENILAI TANGGUNG JAWAB PRIBADI PENDIRI PERSEROAN TERBATAS PERORANGAN

AbstractThis study purpose is to determine and understand the application of Piercing The Corporate Veil as a form of responsibility of the sole shareholder in the Individual Limited Company and to know the separation of shareholders' responsibilities as owners and directors in carrying out their functions in the Individual Limited Liability Company. The research method used is the normative research method. The approach used in this study is a statutory and conceptual approach. Law number 11 of 2020 about Job Creation has issued new rules for the form for a Limited Liability Company as an individual legal entity that meets the criteria for micro and small businesses, known as an individual limited liability company.  The concept of corporate law in Indonesia adheres to a limited liability system. This means that the Actions, Actions and Activities of the Company are not the actions of shareholders and the obligations and responsibilities of the Company are not the obligations and responsibilities of shareholders. However, the concept does not apply absolutely because in certain circumstances it is not covered the possibility of the removal of limited liability with the application of the concept of Piercing The Corporate Veil. Piercing the Corporate Veil concept is a concept to tear or uncover the curtain of limited liability system in Limited Liability Company. Kata Kunci :  limited liability, Induvidual Limited Liability Company, Piercing the Corporate Veil  AbstrakTujuan dari penulisan ini adalah untuk memahami dan juga mengerti penerapan dari piercing the corporate veil dalam menilai pertanggungjawaban pribadi pendiri Peseroan Terbatas Perorangan dan untuk mengetahui pemisahaan tanggungjawab pendiri selaku pemegang saham dan direksi atau komisaris dalam menjalankan fungsinya dalam suatu Perseroan Terbatas Perorangan.  Metode Penelitian yang digunakan adalah metode penelitian normatif, metode pendekatan yang dipakai dalam penelitian ini adalah pendekatan konseptual dn perundang-undangan.  Dengan adanya undang undang nomor 11 tahun 2020 tentang  Cipta Kerja telah mengeluarkan  undang-undang  baru mengenai Perseroan Terbatas  sebagai badan hukum perorangan yang memenuhi kriteria untuk usaha kecil dan mikro, yang  dikenal sebagai perseroan terbatas perorangan.  Konsep hukum perseroan yang ada di Indonesia menggunakan sistem limited liability yang berarti tanggung jawab terbatas.  Hal ini berarti bahwa segala kegiatan, perbuatan dan tindakan Perseroan tidak berhubungan dengan tindakan pemegang saham sehingga kewajiban dan tanggung jawab Perseroan juga bukan termasuk dalam kewajiban dan tanggung jawab pemegang saham.  Namun Konsep tersebut tidak berlaku mutlak karena dalam suatu keadaan tertentu tidak menutup kemungkinan dihapusnya tanggung jawab terbatas dengan penerapan Piercing The Corporate Veil. Piercing the Corporate Veil adalah suatu konsep untuk mengoyak atau menyingkap tirai sistem limited liability dalam Perseroan Terbatas. Kata Kunci:   Tanggungjawab Terbatas, :  Perseroang Terbatas Perorangan,  Piercing The Corporate Veil.
