Abstract

In Indonesia there is no regulation about franchise. Same thing is also experienced of many state, for example English and Australian. No special regulation about franchising can be consedered to be good news or is bad news. The bad news is wth no special guidance, hence goodnesss of franchisor amd also of franchisee have to reckon on written agreement in cooperation contract. Irts meaning both parties have to neglectless and meticulous to the what agreed on. Protection of other decision which arrange an cooperation of Franchising represent the source of which whereas can be made by guidance do complied agreement have the basis for real correct and fair. Association of franhcising generally realese code of ethic of franchising.good news of inexistence regulation of area of franchising is goodness of franchisor and fracnhisee earn free compromise whateverly. As hold of legal fundament of agreement of franchise in Indonesia is freedom contract such as those which arranged in section 1338 KUH Perdata and by concidering conditions of section 1338 KUHP Perdata. Law contract in Indonesia embrace open system meaning that each and everyone is free to make all kinds of contract. In section 1338 KUH Perdata contained by the following rule all made contract lawfully will bind over them making it own. In the case conditions of 1320 section of KUH this Perdata is fulfilled by hence comand of section 1338 KUH Perdata. The making agreement act as code/law to all party. So franchise, and vitally hence to all party arrange agreement content detail.Solving of dispute represent problem which in many is important to licencer, specially In the case of giving of license. Right of intellectual properties  in the form of trade secret. Solving of dispute which is through jurisdiction forum, it is though enabled to be emphasized in conference closed (for the secret of trade) felt concerned abaout by licencer party will become an openly forum to receiver of license which do not good mine. To avoid the mentioned hence better each ; every dispute realted to agreement of giving license finished in framework of alternative of is solving of dispute, including in it arbitrase.Ordinary license agreement unlike giving of agreement of license of franchise. If at giving of agreement of license usually only covering giving of permission cover all sort of kinds of intellectual property that appliances bought or rented from him. Besides so-called above, agreement of franchise are; giving of license abaout name of trading, model brand, desain, ets. Rules that can be grouped in the field of contractual law and in the field of law about intellectual property.

Abstract

Parties that require investment fund is not limited to the government alone, but also other productive sectors of the private sector. If the government usually acts as an initiative taker physical infrastructure development, the private sector (individuals and companies) to act as a driver of economic activity such as attempts commercial production of goods and services calculated based on pure business will be profitable. All this requires a good investment fund short-term nature, such as working capital for the cost of operational needs, as well as long-term funds such as for procurement of fixed assets required. In order to meet the needs of the company will fund as a means of financing and development can be done through various options of financing the company and one of the company's financing alternatives can be done by finding others to participate invest in the company. This can be done by selling the majority ownership of the company to the general public by way of public offering (go public) through the capital market. Initial public offerings made by the company through the capital market can make the company receives cash from the public which can then be used by the company for financing and development of the company

Abstract

Suatu perjanjian dibuat dengan kesepakatan para pihak, tapi didalam dunia bisnis suatu bentuk dan norma hukum yang efisien diperlukan sebagai suatu acuan dasar dberkontrak.Pada dasarnya asas KEBERIMBANGAN merupakan perwujudan doktrin “keadilan berkontrak” yang mengoreksi dominasi asas kebebasan berkontrak yang dalam beberapa hal justru menimbulkan ketidakadilan. Dalam hal terjadinya sengketa kontrak, maka beban pembuktian, apakah kadarnya ringan atau berat atau sebab dari hal – hal lain harus diukur berdasarkan asas proporsionalitas untuk memperoleh hasil penyelesaian yang elegan dan win – win solution dari pada suatu Perjanjian yang ada.

Abstract

Health and Safety of Hospital Work (K3RS) is the application of UUD 1945 chapter 27 verse (2) and Chapter 28 H and Health Ministry’s Regulation number 66 2016. K3 has existed since long time ago and its application has been less satisfactory as this was proven by UU number 1 1970 about Work Safety and UU number 44 2009 about Hospital. The application of K3RS is one of the actions taken to ensure and protect the safety and health of the human resources of the hospital, patients, nurses, visitors, and its environment as well as its physical condition. Health Ministry’s Regulation Number 66 2016 specifically describes about K3RS but there is no clear and detail description on what the hospital’s responsibilities are along with their consequences.The problem studied is related to the administrative responsibilities of the hospital along with their consequences for not executing Health Ministry’s Regulation Number 66 2016 in terms of K3RS. Method used for this law research is Normative Jurisdictive with referential and field study as the data collection technique. The writer did the research by looking for and collecting secondary data, compiled, described, and then analyzed in order to form a systematic, factual, and accurate description of the facts, characteristics or multi-phenomenon relationship studied. Data were analyzed qualitatively and the conclusion was drawn from there which later became the answer of the problem of this research.From the findings of the research, it was proven that there wasn’t optimum administrative responsibilities of the hospital and there were neither consequences addressed in written nor in person form in regards of why the K3RS was not implemented. The conclusion was drawn from this research was the administrative responsibilities of the hospital related to K3RS were not continuously applied and the written consequences form of the Health Ministry’s Regulation was not strict.

Abstract

The relation between legal subjects such as person or legal entity in a case, frequently generates dispute. Along with the complexity of social life, then, the more parties are involved in the dispute, the wider scope of the dispute case. One of the concerned dispute in the society is Industrial Relations Disputes that become the competence of Industrial Relations Court. Since 2015, The Act No. 2/2004 about Industrial Relations Dispute Settlement has enforced effectively, it still has many weaknesses, wether from practical or regulation aspects. The legal problems of its Act cause the settlement of Industrial Relations Dispute become less effective and efficient, also hamper the principle of constante justitite (principle of rapid, fair and easy trial). The research concluded that the practical/operational level of the Judges Panel in examining and adjudicating the cases of Industrial Relations Dispute in Industrial Relations Court of Samarinda, which tend to apply the general civil procedure law, from the examination of legal standing of the parties, exception, interlocutory decision, replik, duplik, writen proof, the witnesses, experts/professional witnesses, conclusion and verdict. This procedures only prolong the examination and trial process to settle the case of Industrial Relations Dispute. Therefore, the SOP (Standard Operational Procedure) of the settlement of Industrial Relations Dispute cannot be well-implemented yet as the mandate of the law.

Abstract

Keberadaan dan hak-hak masyarakat hukum adat telah diterima dalam kerangka hukum tidak tertulis maupun hukum positif di Indonesia. Pada kenyataannya issue yang berkembang tentang kehadiran dan hak- hak masyrakat hukum adat adalah terbatasnya ruang dan gerak bagi komunitas-komunitas adat dalam mewujudkan demokratisasi pengelolaan wilayah adanya secara berkelanjutan, Konflik tenurial, keterbatasan dan kondisi kekayaan alam yang meliputi tanah dan kekayaan alam yang terkandung di dalamnya tidak asimetris dengan pertambahan penduduk. Sehingga perlu adanya  penegasan kembali bahwa adanya korelasi antara Kesatuan Masyarakat Adat dengan Pemerintah terkait pemenuhan  hak Konstitusionalnya yang terkandung dalam pasal Pasal 18B ayat (2), Pasal 28I ayat (3) dan Pasal 32 ayat (1) dan ayat (2) UUD NRI 1945  dimana aturan ini merupakan semangat otonomi yang diberikan seluas-luasnya kepada daerah. Ketentuan tersebut yang paling sering dirujuk ketika membicarakan mengenai keberadaan dan hak-hak masyarakat hukum adat. Kehadiran Mahkamah Konstitusi sebagai The Protector of the citizen’s and Constitutional Rights and guardian of constitution juga memberikan secercah harapan bagi para pencari keadilan khususnya yang berkaitan dengan perlindungan terhadap hak masyarakat hukum adat.
