Keizerina Devi A  According to Article 77 paragraph 1 of the Law No. 40/2007, RUPS (Shareholders’ General Meeting) which is held by means of electronic media can be conducted using teleconference and videoconference; however, UUPT (the Law on Limited Liability Companies) does not clarify the mechanism of the implementation. It is then very risky considering its mechanism is very essential as it determines the validity of the minutes of RUPS and any authentic deed resulted from the RUPS. Suprayitno Indonesian citizens have equal rights and opportunities to the legal relationship over land, water and air space within Indonesia’s regions. The government also gives opportunities to WNA (foreign citizens) to possess properties in Indonesia; the foreign investors are provided opportunities and chances to put investment in Indonesia under some limitations to their rights such as holding leasehold and lease. Foreign citizens in fact are often dissatisfied with these limitations and still would like to own the land in Indonesia by making a nominee agreement as a form of land ownership, as taking place in the case stipulated in the Denpasar District Court’sVerdict No. 82/PDT.G/2013/PN.DPS.Keywords: A Nominee Agreement, Foreign Citizen, Notary.

Utary Maharany Barus The results of the research show that the provisions in Article 14paragraph (1) and (2) in conjunction with Article 15 paragraph (1) of theRegulation of Medan Municipality No. 3/2013 concerning retribution on cemeteryand cremation service in Medan, the retribution collecting system on cemeteryand cremation service used is the official assessment system because it uses thestipulation letter of retribution on cemetery and cremation service. According toArticle 23 paragraph (1) and (2) in conjunction with Article 24 of the RegionalRegulation No. 3/2013, a stipulation letter of retribution on cemetery andcremation which is not paid 7 days after it is due will be given a warning letter bythe head of the agency and it has to be paid within the following 7 days.Keywords: Collecting, Retribution, Cemetery and Cremation.

Abstract

The amendment of the articles of association of a company is made before a notary. It is in line with what is mentioned in Article 19 of the Law No. 40/2007 on Limited Liability Company stating that “amendment of articles of association is determined by RUPS (Shareholders’ General Meeting) and the events concerning the amendment has to be clearly mentioned in the summon to RUPS.” As the articles of the association of the Limited Liability Company is validated, registered and published, it is not only binding the founders of the company, shareholders and managers, but also all parties intending to make transactions with it.Keywords: Limited Liability, Article of Association, Notarial Deed
