Abstract

Regional-owned enterprises occupy an uneasy place in Indonesian local governance: they are expected to earn revenue, protect separated regional assets, carry out public assignments, and keep services affordable. This article asks how their governance can be strengthened without reducing them either to ordinary business entities or to administrative extensions of local government. The study uses a normative legal approach combined with public policy analysis and a review of national secondary financial data. It examines regulations on regional-owned enterprises, corporate governance literature, and aggregate data from Statistics Indonesia. The findings indicate that the main difficulty lies not only in the existence of corporate organs, but in the weak alignment among mandates, ownership functions, performance contracts, risk monitoring, and public value measures. The article proposes the MOPA-GCG model, which links mandate, ownership, performance, and Good Corporate Governance principles. The model helps local governments classify commercially oriented enterprises, public service enterprises that require explicit compensation, and enterprises that need restructuring.
