The rapid expansion of renewable energy investment has increased the need for comprehensive governance mechanisms that integrate environmental, social, and governance (ESG) considerations into corporate decision-making processes. Although renewable energy projects support sustainability objectives, investment approval decisions involve potential environmental, social, legal, and governance risks that require careful assessment. This study aimed to examine the integration of ESG due diligence into renewable energy investment approval at PLN Nusantara Power by analyzing its relationship with corporate governance obligations under Law Number 40 of 2007 concerning Limited Liability Companies and renewable energy development policies under Presidential Regulation Number 112 of 2022. This study employed a normative legal research method using statutory and conceptual approaches. The analysis involved an examination of legal materials, sustainable finance principles, and corporate investment governance frameworks to formulate an ESG due diligence model. The results demonstrated that ESG integration into investment approval required a structured process involving risk identification, evidence verification, mitigation planning, authority mapping, and documentation of decision-making considerations. The findings indicated that ESG due diligence could strengthen directors’ fulfillment of their duty of care by ensuring that investment decisions were based on adequate information and accountable decision-making processes. In conclusion, ESG due diligence functioned as an important governance instrument connecting sustainability objectives with corporate legal responsibilities and provided a framework for more transparent, responsible, and risk-based renewable energy investment decisions.
