<![CDATA[Penulisan artikel ilmiah ini bertujuan sebagai berikut: (1) untuk mengetahui dan menganalisis tentang ruang lingkup pelaksanaan restrukturisasi pada perseroan terbatas; (2) untuk mengetahui dan menganalisis tentang pengaturan hak yang dimiliki oleh pemegang saham minortas manakala terjadi restrukturisasi pada suatu perseroan terbatas. Artikel ini tergolong jenis penelitian normatif yang menggunakan pendekatan perundang-undangan dan pendekatan konseptual. Berdasarkan hasil pengolahan dan analisis data yang dilakukan disimpulkan bahwa pada pelaksanaan restrukturisasi perusahaan telah diatur perlindungan hak pemegang saham minoritas manakala tidak menyetujui restrukturisasi yang diatur pada Pasal 62 Undang-Undang Nomor 40 Tahun 2007 Tentang Perseroan Terbatas. Kata Kunci: Hak, Pemegang Saham Minoritas, Restrukturisasi ABSTRACT The purpose of writing this scientific article is as follows: (1) to find out and analyze the scope of the implementation of restructuring in a limited liability company; (2) to find out and analyze the arrangement of rights owned by minority shareholders when there is a restructuring of a limited liability company. This article belongs to the type of normative research that uses a statutory approach and a conceptual approach. Based on the results of data processing and analysis, it is concluded that in the implementation of corporate restructuring, the protection of the rights of minority shareholders has been regulated when they do not agree to the restructuring as stipulated in Pasal 62 Undang-Undang Nomor 40 Tahun 2007 Tentang Perseroan Terbatas.
