Abstract

The revision of the antitrust law is very much needed to keep business competition in Indonesia running well and smoothly, it is necessary to revise it so that the legal umbrella for these business actors is maintained and its relevance in the current era, there are many benefits that can be obtained from the law. However, this antitrust law cannot be separated from the weaknesses contained in the law, therefore this article discusses the weaknesses of legal subjects, merger notices and procedural law applicable in business competition law in Indonesia. This study uses a normative method that is carried out to find the truth scientifically, and the approach used in this study uses a statutory approach to find out which regulations still have deficiencies in their normalization and a comparative approach can find out the regulations in Japan which have similarities and differences. in the regulation, it can be used as material to carry out reforms to improve the antitrust law in Indonesia. The results of this study are expected to find interests that require immediate revision of the antitrust law in Indonesia in order to create a fair business competition climate and have an impact on legal certainty and maintaining consistency in the harmonization of the applicable laws and regulations..

Abstract

AbstractThis article aims to determine the implementation of social funtions which is part of health services in hospitals and Corporate Social Responsibility (CSR) which becomes the obligation for every company. This normative research examines the legal materials, it uses primary materials which are analizing the regulations as positive law in Indonesia. This research uses statue approach and philosophy approach in terms of social function and CSR at the private hospital. Thi research shows that social function is not same as CSR that implemented by  company. CSR is the responsibility that must be addressed in the core business and implemented as the principle of fairness. This is what differentiate between CSR and social functions that has been regulated in Hospital Law of the Republic Indonesia No. 44/2009 as the principles and objectives of hospital. Therefore, the hospital that has implemented its social function, can not be considered to have implemented CSR.Keywords: Social Functions; Corporate Social Responsibility (CSR); Private Hospital.AbstrakArtikel ini bertujuan untuk mengetahui pelaksanaan fungsi sosial yang menjadi bagian dari penyelenggaraan kesehaan di rumah sakit dan Corporate Social Responsibility (CSR) yang menjadi kewajiban bagi setiap perusahaan.  Penelitian  ini  merupakan penelitian normatif yang mengkaji bahan-bahan hukum, baik bahan hukum  primer yang bersifat mengikat perundang-undangan sebagai hukum positif di Indonesia maupun  bahan  hukum  sekunder melalui pendekatan perundang-undangan (statue approach) dan Pendekatan filsafat (philosophy approach) dari segi fungsi sosial dan CSR pada rumah sakit berbadan hukum perseroan. Berdasarkan kajian yang dilakukan, diketahui bahwa fungsi sosial tidak sama dengan CSR yang dilaksankaan di perusahaan. CSR dilaksanakana sebagai suatu tanggung jawab dan kewajiban yang harus dipenuhi di luar core business  dan dilaksanakan sesuai dengan prinsip kewajaran semata. Sedangkan fungsi sosial sebagaimana telah diatur dalam Undang-Undang Nomor 44 Tahun 2009 tentang Rumah  Sakit,  menjadi  sebuah  asas  dan  tujuan  yang  tidak  dapat  dilepaskan  dari  penyelenggaraan pelayanan kesehatan di rumah sakit. Sehingga rumah sakit yang telah melaksanakan fungsi sosialnya, tidak dapat dikatakan telah melaksankan CSR.Kata Kunci: Fungsi Sosial; Corporate Social Responsibility (CSR); Rumah Sakit Berbadan Hukum Perseroan
