Abstract

Haryono No. 169 Malangshalsaanugerah@gmail.com AbstrakPenelitian ini bertujuan untuk mengetahui mengenai pentingnya pengaturan mengenai pembatasan pendirian anak perusahaan oleh Badan Usaha Milik Daerah. Aturan yang mengatur tentang pendirian anak perusahaan Badan Usaha Milik Daerah adalah Pasal 334 Ayat (3) dan Pasal 341 Ayat (1) UndangUndang Negara Republik Indonesia Nomor 23 Tahun 2014, dan Pasal 107 Ayat (1) Peraturan Pemerintah Republik Indonesia Nomor 54 Tahun 2017. Pasalpasal tersebut berisikan mengenai pemberian kewenangan kepada Badan Usaha Milik Daerah untuk mendirikan anak perusahaannya. Namun, dalam peraturan tersebut belum diatur dan dibahas mengenai batasan pendirian anak perusahaan yang dapat dilakukan oleh Badan Usaha Milik Daerah. Pembatasan ini dilakukan untuk mencegah terjadinya limited liability dalam limited liability dalam anak perusahaan Badan Usaha Milik Daerah. Adapun jenis penelitian yang digunakan penulis adalah jenis penelitian normatif dengan metode penelitian yuridis normatif yang dilakukan dengan cara menelaah bahan- bahan hukum terkait yang dilakukan dengan cara studi kepustakaan. Berdasarkan hasil penelitian ini maka dapat diketahui bahwa belum adanya aturan yang mengatur mengenai pembatasan pendirian anak perusahaan oleh Badan Usaha Milik Daerah.Kata Kunci: Badan Usaha Milik Daerah, Batasan Pendirian, Anak Perusahaan Abstract This research is aimed to find out the essence of the regulation limiting the scope of establishment of subsidiary by regional-owned enterprises. The regulations regarding this case involve Article 334 Paragraph (3) and Article 341 Paragraph (1) of law Number 23 of 2014, and Article 107 Paragraph (1) of Government Regulation of Indonesia Number 54 of 2017. These articles regulate delegation of authority to regional-owned enterprises regarding establishment of subsidiary. However, the existing regulations do not govern the restriction of the subsidiary establishment that is often performed by the regional-owned enterprises. This restriction is intended to avoid any potential of limited liability in limited liability under the regional-owned enterprises. This research was conducted based on normative-juridical method including the study of legal materials based on library research. The research result reveals that no regulations govern the restriction of establishment of subsidiary by Regional-owned Enterprises.Keywords: regional-owned enterprises, scope of establishment, subsidiary

Abstract

Regional Owned Enterprises (BUMD) are one of the tangible forms of separated regional wealth management results. BUMD regulation is contained in the Law of the Republic of Indonesia Article Number 23 of 2014 which is one of the realizations from the principle of regional autonomy that states an autonomous region can plan their regional economic development based on their resources. BUMD aims for the regions to take the advantages of this business entity as a support for their regional income. This study aims to find out that the principles of good corporate governance are the foundation of BUMD management. The method that is used in this research is juridical-normative by using a statutory approach. The legal materials used are primary, secondary, and tertiary legal materials by using descriptive-analytical analysis techniques. From the results of the study, the conclusion is local government has a very important role to realize governance good management in BUMD. Besides that, it was found that the principle of good corporate governance is a basic principle so it must exist in the management of BUMD.
