Abstract

Haryono No. 169 Malang nabilaaulia99@student.ub.ac.id  ABSTRAK Pada tulisan ini, penulis mengangkat permasalahan terkait dengan konsep Hak Menguasai Negara dalam pembentukan holding BUMN, yang tidak terlepas dari pemaknaan atas Pasal 33 UUD NRI 1945 sebagai konstitusi ekonomi di Indonesia. Pilihan tema tersebut dilatarbelakangi semakin giatnya Pemerintah melakukan holding pada perusahaan-perusahaan BUMN yang memiliki core business yang sama, sehingga menyebabkan munculnya banyak anak perusahaan BUMN. Sedangkan di saat yang bersamaan, telah dilakukan uji materi, baik di MK maupun di MA mengenai pembentukan holding BUMN yang utamanya dilandasi 3 hal, yakni bagaimana legalitas/kedudukan hukum holding BUMN dalam peraturan perundang undangan di Indonesia, sejauh mana tafsir atas hak menguasai negara dalam anak perusahaan BUMN dan apakah holding BUMN ini sesuai atau tidak dengan spirit perekonomian nasional dalam Pasal 33 UUD NRI 1945. Berdasarkan hal tersebut, dalam penelitian ini, penulis mengangkat rumusan masalah sebagai berikut: (1) Bagaimana problematika  konsep hak menguasai negara dalam pembentukan Holding BUMN di Indonesia? (2) Bagaimana konsep hak menguasai negara dalam pembentukan Holding BUMN? Dalam penulisan skripsi ini, penulis menggunakan metode penelitian yuridis normatif dengan pendekatan perundang-undangan, pendekatan konsep dan pendekatan kasus. Dari hasil penelitian dengan metode di atas, penulis memperoleh jawaban atas permasalahan yang ada, yaitu sepanjang tidak meniadakan penguasaan negara mencakup kekuasaan untuk mengatur (regelendaad), mengurus (bestuurdaad), mengelola (beheersdaad), dan mengawasi (toezichthoundensdaad) cabang-cabang produksi yang penting bagi negara dan/atau yang menguasai hajat hidup orang banyak, pembentukan holding BUMN masih ada dalam koridor Hak Menguasai Negara  dan tidak bertentangan dengan Pasal 33 UUD NRI 1945. Sehingga, dapat disimpulkan bahwa kebijakan holding BUMN bukanlah tindakan yang menghilangkan penguasaan atau kontrol negara terhadap anak perusahaan BUMN. Kata Kunci: Hak Menguasai Negara, Holding BUMN, Anak Perusahaan BUMN ABSTRACT This research studies the concept of rights to control held by the state in the establishment of holding companies as State-owned Enterprises (hereinafter BUMN), which is inseparable from what is intended in Article 33 of the 1946 Indonesian Constitution as an economic constitution in Indonesia. This research departs from the trend where governments are vigorously establishing holding companies of BUMNs with their equal core businesses, creating several BUMN subsidiaries. Concurrently, judicial review is in progress either at Constitutional Court or Supreme Court, dealing with BUMN holding companies set under three principles: the legality/legal standing of the holding companies of BUMNs to national economic vigour as in Article 33 of the 1945 Indonesian Constitution. Departing from the above issue, this research is delving into the following research problems: (1) what problems arise admidst the concept of states rights to control regarding the establishment of holding companies of BUMNs in Indonesia? (2) What concept applies in the state rights to control in the establishment of the holding companies? This research employed normative judicial research methods, statutory, conceptual and case approaches, involving primary, secondary and tertiary materials which were analysed further by means of descriptive analysis. This method connects related decisions of Constitutional Court, the 1945 Indonesian Constitution, legislation, and the perspectives of experts in constitutional law, all serving as references to resolve the issues studied. The research analysis reveals that the establishment of the holding companies of BUMNs is deemed compliant with Article 33 of the 1945 Indonesian Constitution as long as the rights to control constitute the right to regulate (regelendaad), manage (bestuurdaad), organize (beheersdaad), the livelihood of a considerable part of the population. That is, policies concerning holding company establishment as discussed in this case, are not deemed incompliant for as long as it does not overlook the states control over the BUMN subsidiaries. Abstract

The dismissal of Constitutional Court Justice Aswanto and the appointment of Guntur Hamzah as his replacement by the DPR, ratified by the President, have sparked public outcry over alleged violations of the Constitutional Court’s (MK) independence. This study aims to analyze the phenomenon of democratic regression and the erosion of MK’s independence resulting from the replacement of Constitutional Court Justices in violation of the Constitutional Court Law. The study addresses two main research questions: First, how does the non-procedural replacement of Constitutional Court Justices contribute to democratic regression? Second, what are the implications of such non-procedural actions by the DPR on the independence of the Constitutional Court? This research employs a doctrinal legal method, analyzing relevant regulations and literature. The findings reveal that, first, the non-procedural replacement of Constitutional Court Justices constitutes a symptom of constitutional backsliding that poses significant risks to democratic governance. Second, the independence of the MK’s judicial authority has been increasingly marginalized due to the non-procedural dismissal and appointment of Constitutional Court Justices, ultimately distorting the principle of checks and balances.
