Abstract

The price fixing agreement is prohibited by Article 5 of Law Number 5 of 1999 concerning Anti-Monopoly and Unfair Business Competition, this because the existence of a price fixing agreement will eliminate competition in terms of prices for products marketed, which resulting in losses for consumers. Likewise what happened in the case that started with the KPPU Case No. 26 / KPPU-L / 2007 and finally ended in the Supreme Court decision through Case No. 9K / Pdt.Sus-KPPU / 2016, where there was a price fixing agreement between Excelcomindo, Indosat, Telekomunikasi Indonesia, Bakrie Telecom. As for the problem of this research is how the limitation of price fixing that violates the law of unfair business competition and price fixing made by the government / regulator, with also how the basis for consideration of the Supreme Court in Case No. 9K / Pdt.Sus-KPPU / 2016 rejects the reasons of the parties to enter into such agreement. To answer this problem, this research uses a normative juridical method with secondary data as its data.Keywords: Price Fixing Agreement, Monopoly, KPPU AbstrakPerjanjian penetapan harga dilarang oleh Pasal 5 Undang-Undang Nomor 5 Tahun 1999 tentang Anti Monopoli dan Persaingan Usaha Tidak Sehat, hal tersebut dikarenakan dengan adanya perjanjian penetapan harga, maka akan meniadakan persaingan dari segi harga bagi produk yang dipasarkan sehingga mengakibatkan kerugian bagi Konsumen. Begitu pula yang terjadi dalam kasus yang bermula dari Perkara KPPU No. 26/KPPU-L/2007 dan akhirnya berakhir pada putusan Kasasi melalui Putusan No. 9K/Pdt.Sus-KPPU/2016, dimana terdapat perjanjian penetapan harga antara Excelcomindo, Indosat, Telekomunikasi Indonesia, Bakrie Telecom. Adapun yang menjadi permasalahan adalah bagaimana batasan penetapan harga yang melanggar hukum persaingan usaha tidak sehat dengan penetapan harga yang dibuat oleh pemerintah/regulator, dan dasar pertimbangan Mahkamah Agung melalui Putusan No. 9K/Pdt.Sus-KPPU/2016 menolak alasan para pelaku usaha melakukan perjanjian penetapan harga. Untuk menjawab permasalahan tersebut, penelitian ini menggunakan metode penelitian hukum yuridis normatif dengan data sekunder.Kata Kunci: Perjanjian Penetapan Harga; Monopoli; KPPU.

Abstract

Acquisitions of limited-liability companies (Perseroan Terbatas, PT) in Indonesia continue to rise, yet not all of them generate maximum benefit for shareholders, creditors, employees, and the public. This study examines the application of legal entity theory at every stage of an acquisition—from the pre-acquisition phase, through the transaction itself, to the post-acquisition period—and analyses how the principle of “the greatest happiness for the greatest number” can be aligned with Indonesian positive law. KPPU Decision No. 06/KPPU-M/2024 affirms that every limited liability company (PT) is an independent legal subject, so the statutory notification of an acquisition must be filed by the PT that actually exceeds the concentration threshold. Using a qualitative method and a case-study approach, this article examines how the theory of legal entity is applied in the acquisition of PT Sumber Baru Hydropower by PT Tamaris Hidro. The findings are: (i) KPPU rejected the “single economic entity” doctrine and upheld the principle of legal-entity independence; (ii) procedural factors (wrong notifying party) obstructed economic utility, while the absence of a social-impact assessment hindered social utility. The article recommends integrating a “Joint Utility Plan” as a prerequisite for the conditional no-objection letter.
