Abstract

Dalam kelembagaan, koperasi rakyat ditempatkan sebagai subjek (people based) sekaligus pusat kegiatan ekonomi (people centered). Koperasi menjadi lembaga yang mengatur perekonomian berdasarkan semangat kekeluargaan dan gotong royong. Hal ini tertera dalam penjelasan Pasal 33 Undang-Undang Dasar 1945 (UUD 1945) yang menempatkan koperasi sebagai saka guru perekonomian nasional serta bagian integral tata perekonomian nasional. Koperasi merupakan lembaga ekonomi strategis yang mampu menjadi penarik dan pendorong seluruh kegiatan ekonomi. Melalui koperasi, masyarakat secara kolektif dan nyata dapat menciptakan dan memperoleh nilai tambah, keuntungan dan kesempatan usaha yang lebih besar. Apabila koperasi masih bertahan dengan pola kelembagaan dan pengelolaan manajemen seperti 20 tahun lalu, maka koperasi tidak akan mampu bersaing. Secara statistik, kondisi koperasi tetap berkembang dari tahun ke tahun, namun kontribusi terhadap perekonomian nasional tidak signifikan. Mengadopsi sistem ekonomi konglomerasi dengan dibentuknya konglomerasi koperasi, berarti mengadopsi model koperasi dengan usaha-usaha besar dan beragam sehingga diharapkan mampu meningkatkan kesejahteraan anggotanya. Mewujudkan konglomerasi koperasi dapat melindungi kepentingan masyarakat lokal di tengah arus globalisasi dan kapitalisme, karena koperasi menjadi organisasi yang modalnya dimiliki oleh anggotanya. Kepemilikan ini yang menyebabkan koperasi mampu bertahan pada berbagai kondisi sulit, yaitu dengan mengandalkan loyalitas anggota dan kesediaan anggota untuk bersama-sama koperasi menghadapi kesulitan tersebut.The Road to “Conglomerate Cooperatives” in Indonesia AbstractAs an institution, Cooperatives occupies the position as a subject (people-based) organization and also object of economic activities (people-centered). Article 33 of Indonesian Constitution places Cooperatives as an integral part of the national economy. Cooperatives is a strategic economic institution that serves as either stimulant or booster factor in the economic activities. Through Cooperatives, the society may create and obtain additional value, profit, and bigger business opportunities. Should Cooperatives maintain its institutional mechanism and management as with 20 years ago, it will not survive the competition. Based on the statistic, Cooperatives trend develops from year to year. However, its contribution to the national economy is hardly significant. Adopting the economic system of conglomerate by forming Conglomerate Cooperatives—a model of Cooperatives with gigantic variety of businesses so that it may improve the welfare of its members. The Conglomerate Cooperatives can protect the local society from globalization as a result of global capitalism, since Cooperatives is an organization owned by its members. Abstract

The business judgment rule doctrine becomes the protector of the director of a Limited Liability Company (PT) to take actions that affect companies whose elements are regulated in Article 97 paragraph (5) of Law Number 40 of 2007. Decision Number 121 K/Pid.Sus/2020 there are differences in the views of the first and second level courts in deciding the case of Defendant KA and other directors, the Supreme Court stated that this action was a business decision that must be protected this doctrine, this shows das sollen and das sein which need to be discussed in this study.The objectives of this study are: (1) How is the application of the business judgment rule in relation to the corporate actions of directors of BUMN subsidiaries; (2) How is the application of the business judgment rule doctrine in legal considerations in relation to the Supreme Court's Cassation Decision Number 121 K/Pid.Sus/2020. Based on the research results it is known: (1) The application of the business judgment rule doctrine to the actions of the directors of a BUMN subsidiary in BMG Australia transactions fulfills all the elements of the doctrine; (2) The application of the business judgment rule doctrine in the a quo has applied the business judgment rule doctrine from its considerations which state that the KA and other Company Directors develop the company by means of increasing oil and gas reserves so that it is protected by this doctrine as stipulated in Article 97 paragraph (5) of the Company Law .
