Abstract

AbstrakPerlindungan hukum terhadap pihak ketiga (pekerja, kreditur dan pemegang saham) akibat likuidasi Perusahaan Penanaman Modal Asing (PMA) di Indonesia berdasarkan UU Nomor 40 Tahun 2007 Tentang Perseroan Terbatas bertujuan untuk menemukan perlindungan hukum yang ideal terhadap pihak ketiga jika terjadi pembubaran dan likuidasi PT PMA di Indonesia. Metode Penelitian adalah metode kualitatif dan sifat penelitian adalah deskriptif analitis. Penulis menggunakan 2 (dua) pendekatan: (1) pendekatan undang-undang (statute approach), fokus kepada peraturan perundang-undangan yang berkaitan dengan penulisan ini, diperkuat oleh objek penulisan yaitu substansi hukum, artinya pendekatan ini meneliti ratio legis dan dasar ontologis, (2) pendekatan konseptual (conceptual approach), dilakukan dengan cara gagasan atau teori yang ideal kemudian berkembang menjadi tesis atau antitesis, sehingga menjadi doktrin. Hasil penelitian ini adalah perlu adanya perlindungan hukum ideal terhadap pihak ketiga akibat likuidasi PMA di Indonesia, yaitu dalam proses likuidasi sebaiknya ada harmonisasi antara peraturan perundang-undangan yang berlaku yaitu UU Nomor 40 Tahun 2007, UU Nomor 13 Tahun 2003, UU Nomor 16 Tahun 2009, UU Nomor 25 Tahun 2007, UU Nomor 2 Tahun 2004. Dengan adanya harmonisasi tersebut diharapkan dapat membuat proses likuidasi tetap dapat berjalan lancar jika terjadi masalah seperti perselisihan hubungan industrial, gugatan perdata dan perpajakan sehingga kepentingan pihak ketiga dapat terlindungi. AbstractLegal protection for third parties (workers, creditors and shareholders) due to the liquidation of a Foreign Investment Company (PMA) in Indonesia Based on Law Number 40 Year 2007 concerning Limited Liability Companies aims to find ideal legal protection for third parties if PT PMA was dissolved and liquidated in Indonesia. The research method is a qualitative method and the nature of the research is analytical descriptive. The author uses 2 (two) approaches: (1) the statute approach, focuses on the statutory regulations relating to this writing, reinforced by the object of writing in this approach is the legal substance, meaning that this approach examines the legis ratio and and the ontological basis (2) the conceptual approach, carried out by means of an ideal idea or theory which then develops into a thesis or antithesis, so it becomes a doctrine. The results of this reasearch are the need for ideal legal protection to third parties, due to the liquidation of the PT PMA in Indonesia, namely in the liquidation process there should be harmonization between the applicable laws and regulations namely the Law Number 40 Year 2007, Law Number 13 Year 2003, Law Number 16 Year 2009, Law Number 25 Year 2007, Law Number 2 Year 2004. This harmonization is expected to make the liquidation process continue to run smoothly in the event of problems such as industrial relations disputes, civil lawsuits and taxation so that the interests of third parties can be protected.
