ABSTRACT Toko Princess faces the problem of non-conformity of goods in the bag sale and purchase agreement. This research aims to analyze the supplier's responsibility, factors that cause discrepancies, legal consequences for suppliers, and settlement efforts that can be made by Toko Princess. The method used is empirical legal research, which looks at the application of law in the context of society. The results show that the sale and purchase agreement between Toko Princess and the supplier is generally done orally, without formal documentation. This condition increases the risk of non-conforming goods, caused by factors such as the complexity of the supply chain, distant production locations, and variations in quality standards. Such non-conformities result in material and immaterial losses, including a decline in the reputation of Toko Princess. The legal consequences for the supplier include claims for damages and potential reputational harm that can be detrimental to long-term business relationships. Therefore, this study recommends that agreements be made in writing, including product specifications, prices, and dispute resolution mechanisms. These steps are expected to strengthen business relationships and maintain customer satisfaction. Penelitian ini bertujuan untuk menganalisis tanggung jawab supplier, faktor penyebab ketidaksesuaian, akibat hukum bagi supplier, dan upaya penyelesaian yang dapat dilakukan oleh Toko Princess. Metode yang digunakan adalah penelitian hukum empiris, yang melihat penerapan hukum dalam konteks masyarakat. Hasil penelitian menunjukkan bahwa perjanjian jual beli antara Toko Princess dan supplier umumnya dilakukan secara lisan, tanpa dokumentasi formal. Kondisi ini meningkatkan risiko ketidaksesuaian barang, disebabkan oleh faktor seperti kompleksitas rantai pasok, lokasi produksi yang jauh, dan variasi dalam standar kualitas. Ketidaksesuaian tersebut berdampak pada kerugian materiil dan immateriil, termasuk menurunnya reputasi Toko Princess. Akibat hukum bagi supplier termasuk tuntutan ganti rugi dan potensi kerugian reputasi yang dapat merugikan hubungan bisnis jangka panjang. Oleh karena itu, penelitian ini merekomendasikan agar perjanjian dilakukan secara tertulis, mencakup spesifikasi produk, harga, dan mekanisme penyelesaian sengketa.
