ABSTRAK Penelitian ini bertujuan untuk menganalisis pengaturan hukum, penerapan, serta optimalisasi mekanisme competition check dalam merger dan akuisisi menurut hukum persaingan usaha di Indonesia. Latar belakang penelitian ini didasarkan pada meningkatnya intensitas transaksi merger dan akuisisi, khususnya di sektor strategis dan ekonomi digital, yang berpotensi menimbulkan praktik monopoli dan persaingan usaha tidak sehat akibat masih dianutnya rezim post-merger notification yang menimbulkan ketidakpastian hukum. Metode penelitian yang digunakan adalah penelitian hukum yuridis normatif dengan pendekatan peraturan perundang-undangan dan pendekatan konseptual, melalui studi kepustakaan terhadap bahan hukum primer dan sekunder. Temuan penelitian menunjukkan bahwa meskipun mekanisme competition check telah diatur secara komprehensif dalam Undang-Undang Nomor 5 Tahun 1999 beserta peraturan pelaksananya dan diterapkan oleh KPPU melalui penilaian berbasis rule of reason dan Substantial Lessening of Competition, penerapannya masih bersifat korektif, berisiko menimbulkan gun-jumping, serta kurang adaptif terhadap dinamika pasar digital. Kesimpulannya, optimalisasi mekanisme competition check perlu dilakukan melalui reformasi menuju sistem pre-merger notification atau hibrida, penyesuaian ambang batas berbasis karakteristik ekonomi digital, serta penguatan kapasitas kelembagaan KPPU guna meningkatkan kepastian hukum dan efektivitas pencegahan praktik monopoli di Indonesia. AbstractThis study aims to analyze the legal framework, implementation, and optimization of the competition check mechanism in mergers and acquisitions under Indonesian competition law. The background of this research is grounded in the increasing number of merger and acquisition transactions, particularly in strategic sectors and the digital economy, which pose risks of monopolistic practices and unfair competition due to Indonesia’s continued reliance on a post-merger notification regime that creates legal uncertainty. The research employs a normative juridical method using statutory and conceptual approaches, supported by library research on primary and secondary legal materials. The findings indicate that although the competition check mechanism has been comprehensively regulated under Law Number 5 of 1999 and its implementing regulations and applied by the Business Competition Supervisory Commission (KPPU) through a rule of reason and Substantial Lessening of Competition analysis, its application remains corrective in nature, prone to gun-jumping, and insufficiently responsive to the dynamics of the digital market. In conclusion, optimizing the competition check mechanism requires a transition toward a pre-merger notification or hybrid system, the adjustment of notification thresholds to reflect digital economic characteristics, and the strengthening of KPPU’s institutional capacity in order to enhance legal certainty and effectively prevent monopolistic practices in Indonesia.
