Business activities are closely related to various legal provisions concerning licensing, agreements, corporate governance, consumer protection, and other sector-specific legal aspects. The complexity of these regulations creates a need for business actors to obtain legal certainty regarding the consequences of every business decision. This study aims to analyze the position and function of a legal opinion in providing legal certainty and its role as a preventive instrument in business activities. This research employs a normative juridical method using a statutory and conceptual approach. The results indicate that a legal opinion constitutes one form of legal service that may be categorized within legal consultation and other legal actions as regulated under Law Number 18 of 2003 concerning Advocates. A legal opinion functions to provide legal analysis concerning relevant facts, applicable legal provisions, the rights and obligations of the parties, and the legal consequences of business actions. Furthermore, a legal opinion plays an important role in identifying, analyzing, and minimizing legal risks by providing recommendations before business decisions are implemented. Therefore, a legal opinion can serve as a preventive legal instrument that supports legal compliance and provides business actors with a clearer basis for making decisions.
