Abstract

An agreement is a legal instrument that regulates the rights and obligations of the parties and serves as the basis for implementing a legal relationship. Contractual clauses that are not drafted carefully may create uncertainty concerning performance, time limits, responsibilities, and legal consequences in the event of breach of contract. This research aims to analyze the application of the prudential principle in drafting contractual clauses and the legal consequences of failing to apply such principle in anticipating the risk of breach of contract. This research employs normative legal research using a statutory approach and a conceptual approach. The results indicate that the prudential principle can be implemented by verifying the identity and authority of the parties, ensuring the fulfillment of the validity requirements of an agreement, and formulating clear clauses concerning the subject matter and performance, time limits, breach of contract, compensation, penalties, force majeure, termination, and dispute resolution. Failure to apply the prudential principle may result in ambiguous contractual provisions, uncertainty regarding the fulfillment of obligations, difficulties in determining a breach of contract, and an increased potential for disputes and complexity in enforcing the parties’ rights.

Abstract

Business activities are closely related to various legal provisions concerning licensing, agreements, corporate governance, consumer protection, and other sector-specific legal aspects. The complexity of these regulations creates a need for business actors to obtain legal certainty regarding the consequences of every business decision. This study aims to analyze the position and function of a legal opinion in providing legal certainty and its role as a preventive instrument in business activities. This research employs a normative juridical method using a statutory and conceptual approach. The results indicate that a legal opinion constitutes one form of legal service that may be categorized within legal consultation and other legal actions as regulated under Law Number 18 of 2003 concerning Advocates. A legal opinion functions to provide legal analysis concerning relevant facts, applicable legal provisions, the rights and obligations of the parties, and the legal consequences of business actions. Furthermore, a legal opinion plays an important role in identifying, analyzing, and minimizing legal risks by providing recommendations before business decisions are implemented. Therefore, a legal opinion can serve as a preventive legal instrument that supports legal compliance and provides business actors with a clearer basis for making decisions.
