This research is motivated by the dualism in interpreting the financial status of State-Owned Enterprises (SOEs), which triggers the criminalization of directors business decisions through corruption offenses. The primary legal issue is the uncertainty surrounding the parameters of criminal liability for SOE directors regarding acquisition decisions. This study employs a descriptive normative legal method with statutory and case approaches, utilizing secondary legal materials through a literature review, and analyzed qualitatively-deductively. The analysis of Decision No. 68/Pid.Sus-TPK/2025/PN.Jkt Pst reveals that the conviction of the President Director of PT ASDP lacked any element of fault on the part of the SOE’s president director using their position unlawfully to enrich themselves or others, thereby invalidating the foundation of the conviction. Furthermore, the calculation of state losses in this case was not determined by the Supreme Audit Agency (BPK) as the institution constitutionally authorized to declare state losses. In conclusion, Decision No. 68/Pid.Sus-TPK/2025/PN.Jkt Pst, which convicted the President Director of PT ASDP despite the absence of any element of fault as the basis for criminal liability, violates the principle of nulla poena sine culpa (no punishment without guilt).
