Abstract

The agreement providing a corporate guarantee does not provide a limit on the nominal amount that will be guaranteed by the corporate guaranteed provider because the corporate guarantee provider will guarantee the entire debt including interest, fines, fees and other amounts of money that must be paid. In Indonesian limited liability company law, directors are required to seek shareholder approval in the case of pledging more than fifty percent of the company's assets, but in practice, approval from shareholders is not always required to provide a corporate guarantee. Especially in the case of corporate guarantees known as limited corporate guarantees, where the guarantee value does not exceed fifty percent of the Company's total assets. The aim of this research is to analyze the legal certainty of providing corporate guarantees without shareholder approval for credit applications whose value is less than fifty percent of the Company's assets. This type of research is normative juridical, namely a type of research with a conceptual approach. This research has the result that a corporate guaranteed agreement to guarantee the value of a credit facility whose value is not more than 50% of the company's assets provided without shareholder approval does not provide legal certainty.

Abstract

The progression of time and advancements in technology and information have provided many benefits to human life. Technological advancement is evident in several fields, such as photography, cinematography, and design, which fall under the scope of intellectual property, particularly copyright. However, technological and digital development has also brought several global impacts that transcend national borders. Indonesia's economy has largely relied on the tourism sector which has led to the growth of the creative industries that support this sector. Advertising, as a part of the creative industries, plays an important role in society. Various strategies have been applied to compete and to excel in the business category of communication and technology services to maintain competitiveness in the digital creative communication industry of an advertising agency in Indonesia. However, these developments have made uploading someone's work common. Subconsciously, easy and practical access to the virtual world can result in copyright infringement, in which the works uploaded on digital/online platforms can be misused by irresponsible parties for personal gain. The legal regulation for intellectual property rights in Indonesia, particularly copyright, is regulated under Law Number 28 of 2014 on Copyright. As specified in Article 40 Paragraph (1) of the Copyright Law, it addresses the creations protected under its regulations. However, with the changing times and technological advancements, there has been a blur in the norms of these regulations, which need adjustments.

This research uses quantitative methods and sampling is carried out using proportionate stratified random sampling technique. The total population is 190 students at Beringin Ratu High School. The sample size was 78 students. The data analysis method used is Pearson product moment correlation with computer assistance, namely using statistical packages for social science (SPSS) 21.0 for Windows release. The results of data analysis show a correlation (r) of -0.390 with p = 0.000 (p < 0.05). This proves that there is a relationship between the intensity of Instagram use and body image and it has a negative direction. The higher the intensity of Instagram use, the more negative the level of body image and vice versa, so the hypothesis proposed by the researcher is accepted.

The general aim of this research is the Development of BIPA Teaching Materials Based on Cross-Cultural Business Communication Using a Contextual Approach. This study used descriptive qualitative method. Descriptive research is research that describes the situations and events that occur. The research method uses literature study. Literature study is a research method in the form of searching for books, journal articles, literature, notes, reports and literary works related to the problem topic. The data analysis technique used in this research is qualitative data analysis. The research results of the communicative-contextual approach can be applied in BIPA learning. This can be realized in BIPA learning by paying attention to the five principles of the communicative-contextual approach, namely [1] communicative interaction, [2] authentic texts, [3] language learning and learning management, [4] personal experience, and [5] language relationships in the classroom and outside the classroom. The problem of the availability of teaching materials is an issue that continues to grow from year to year. This stems from the fact that existing teaching materials cannot be accessed easily and that existing teaching materials do not meet the needs of teachers and learners, especially in terms of intercultural competence. Therefore, this research develops culture-based teaching materials using a contextual-communicative approach.
