DOSEN PEMBIMBING:1. Sunarmi2. T. Keizerina Devi A3. Suprayitno Debt restructuring is one of the efforts to repair the credit quality to prevent a default. The Law No. 10/1998 is known as credit default redemption system as stipulated in Article 7 paragraph c. The objective of the research was to discover the mechanism of restructuring in conventional banks, to find out the criteria of problem credit that can be restructured, and to discover and analyze the process of restructuring in the Lubuk Pakam Branch Office of PT. Bank Rakyat Indonesia (Persero) Tbk. This is a normative legal research with descriptive analysis. The data studied consist of primary legal materials such as the civil laws and the law no. 10/1992 on the amendment of the Law No. 7/1992 on Banking and field research. The theory of Legal Certainty is applied in this thesis. The research employed qualitative method for the data analysis. The results of the research find out that credit is one of banking products that provides many advantages to banks, yet it has the highest risk as well among the other banking products. In case of problem credits, there are efforts to safe them from becoming credit default i.e. debt restructuring.Keywords: Bank;Credit Default;Restructuring.

Acquisitions are legal actions by a legal entity or an individual to acquire shares of the Company that result in the transfer of control over the Company. Due to the rapid development of economic globalization led to developments in acquisitions that led to the emergence of cross-border acquisitions. Cross-border Acquisitions are acquisitions made by parties with different nationalities. This thesis will discuss the acquisition process based on the regulation in Indonesia and the change of company status due to cross-border acquisition and prohibition of acquisition implementation.Keywords: Acquisition; Cross-border; Foreign investment.

Syafnil Gani Plantation revitalization is the effort to accelerate the development of smallholdings by expansion, rejuvenation and plant rehabilitation supported by loan investment from bank and subsidy from government. It involves companies in plantation field to be partners to develop the plantation, manufacturing and product marketing. However, there are several problems concerning the land in the plantation revitalization program i.e. a dispute over a piece of land between Maju Jaya Farming Group and PT. Bumi Daya Abadi in Kota Baharu Subdistrict. This thesis applies normative legal research which is descriptive analytical. It uses secondary data consisting of primary data such as the Constitution 1945, the Law No. 5/1960 concerning the Basic Regulations on Agrarian Principles, the Law No. 39/2014 concerning Plantation, Regulation of Head of National Land Department no. 4/2010 concerning the Procedures for the Issuance of Abandoned Land. The secondary legal materials consist of books, and the tertiary data are general and legal dictionaries The legal protection for the member farmers for the act done by their business partners who have abandoned the plantation revitalization land which has not been protected; the legal protection for the government is that it can revoke the license of the relevant plantation company; the legal protection for the business partner is that it has fulfilled its rights as executor of the revitalization program such as paying the expenses during the program and the commissions of the business partners. The efforts of the government to settle the dispute over the land between Maju Jaya Farming Group and PT. Bumi Daya Abadi against the plantation revitalization land that has been abandoned are providing mediation among the involved parties directly from the revitalization program by the regional administration to reappraisal.Keywords: Revitalization, Plantation, Land Dispute.

Jelly Leviza Passing off secara kepustakaan hukum Indonesia belum dikenal, namun dapat diartikan sebagai suatu perbuatan pemboncengan reputasi merek yang sudah terkenal di masyarakat. Jenis penelitian yang digunakan dalam penelitian ini adalah penelitian hukum normatif yaitu penelitian yang dilakukan terhadap Undang-Undang No. 20 Tahun 2016 tentang Merek dan putusan No. 450K/PDT.SUS-HKI/2016. Sifat penelitian ini adalah deskriptif analitis. Pasal 21 dan Pasal 83 UU No. 20 Tahun 2016 tentang Merek dan Indikasi Geografis. Putusan Mahkamah Agung No. 450.K/Pdt.Sus/2016 adalah bahwa majelis hakim Mahkamah Agung menyatakan bahwa perbuatan Pemboncengan Reputasi merek terdaftar yang sudah dikenal di masyarakat yaitu merek LGS milik JK yang dibonceng merek LGS 74 milik AX terbukti pada fakta persidangan sebagai perbuatan permohonan pendaftaran merek yang dilakukan tergugat AX dengan itikad tidak baik sesuai ketentuan Pasal 21 UU No. 20 Tahun 2016 tentang merek dan indikasi geografis, dan oleh karena itu perbuatan tersebut dinyatakan sebagai perbuatan melawan hukum.Kata kunci : Perlindungan Hukum, Merek Terdaftar, Passing Off

Suprayitno Notary is a Public Official as written in the Law of the Republic of Indonesia No. 30/2004 in conjunction with the Law No. 2/2014 on Notary, in Chapter I on General Provisions. This is a normative legal research, which is descriptive analytical, which approach to the problems done by studying the provisions in the prevailing laws and regulations in the field of notarial law, in this case, UUJN (Notarial Act) No. 3/2004 in conjunction with UUJN No. 2/2014. The results of the research finds out that the legal status of the notary candidate who is a former juvenile prisoner, with the provisions in Article 3 letter (h) of UUJN-P No. 2/2014. Article 28 D paragraph (1), (2), (3) and (4) of the Constitution 1945 has firmly secured human rights to have an occupation, to make a living that is decent for the benefit of humanity, as long as the occupation is not contrary to the laws. The validity of the provisions in Article 3 letter (h) of UUJN-P No. 2/2014 can be revoked by performing the rights of Material Test to the Constitutional Court so that the former juvenile prisoner can also be designated as a notary.Keywords: Legal Partiality, Former Juvenile Prisoner and Notary Designation

Mahmul Siregar The form of online clothing purchase agreement protected by ITE (Law on Electronic Transaction) Act in Indonesia is not specifically regulated in legislation in Indonesia, but it does not make a legal vacuum. With a special regulation governing this virtual agreement, it automatically agreements on the internet are subject to ITE legislation. Regarding electronic trading transactions, inseparable from conventional concepts of agreements as contained in those articles essentially describes the engagement of parties on the basis of the needs of each party to derive the achievement of the agreement. The contract on buying and selling clothes by online which is legally protected by ITE is an agreement in the form of electronic. Syafnil Gani Land has an important status in Customary Law because it is the only property which in spite of any condition will remain in the original state. Land title can be transferred by: Trading, Inheritance and Bequest. The selling method commonly applied by Mandailing people refers to Customary Law. This thesis discusses the frequently encountered problems in land trading among the society i.e. the land trading in which the land seller and buyer has a dispute over the buyer with good faith who has not made full payment, and the legal protection for the buyer with good faith who has paid part of the price with the agreed amount of money in advance when the seller does not acknowledge that his land has been sold. It can be concluded that the trading method performed by Mandailing people refers to the Customary Law. The preserved method is the culture that has been implemented for years by Maindailing people from generation to generation, but the long process of making the legal basis for the land so that it can become evidence that the transaction is actual, proofing that the title of the land has actually been transferred to the buyer which time limit is not made that it can cause uncertainty and dispute in the future.Keywords: Land, Trading, Customary Law

Tales Inti Sawit is a company which operates in PKS (Oil Palm Processing) Plant established with Memorandum of Association No. 28 on August 11, 2003 which has gotten the validity from the Minister of Justice and Human Rights No. C-30204 HT.01.01.TH.2003 on December 30, 2003 . The HGB was from HGU (Leasehold) owned by PT. Tamiang Sari in the area of 20 hectares of the total 494.57 hectares. The establishment of PT. Tales Inti Sawit was from the cooperation agreement between PT .Tamiang Sari and PT. Duta Marga Lestarindo. The transaction was bound in a contract under NJOP (Taxable Value of Property), followed by investing the capital. Meanwhile, according to Tax Law No. 16/2009, the basis for tax assessment is the true/appropriate transaction value which is in accordance with the value the sales object in the transaction. The research used juridical normative and descriptive method, using primary data supported by secondary and tertiary data. The data were gathered by conducting library research and interviews. The result of the analysis showed that BPN RI (National Land Agency) had implemented the process of the request for the right and title transfer of the Process of Request for Separation a part of HGU owned by PT. Tamiang Sari which had implemented even though its procedure was complicated and took a long time by the permit of releasing a part of HGU No. 14-V.B-2004 and was bound in a Sales Binding Contract with the price below NOJP. Abdul Rahim Lubis, SH, MKnLand as God’s blessing for the Indonesian people has social function and its use should be able to increase people’s welfare. The right of management is mostly used by the government or legal entities to carry out their tasks and social affairs in economic field; but, since it is not its scope, it needs cooperation with the third party because the land of the Right of Management can be given to the third party for regional development so that the right of ownership, The research used descriptive analytic with juridical empirical method which analyzed, explained, and described the implementation of the burden of hypothecation on the right of management. The research used legal and conceptual approach in order to find out the legality and obstacles in burdening hypothecation on building rights on the right of management. Building rights on the right of management can be used as the collateral for debt by doing the burden of hypothecation on building rights as it is regulated in Article 4, paragraph 1 of Law No. 4/1996 on Hypothecation on land and everything which is related to it.. The holder of building rights files a request for the extension to the Land Office, and he has to fulfill the requirements for the extension of building rights in order to obtain permit as the holder of the right of management in the burden of hypothecation in building rights on the right of management.Keywords: Hypothecation, Building Rights, Right of Management
