Abstract

Based on the assumption default is debt, the settlement of default case in contract law by using mechanisms of the law of Bankruptcy’s has become a new phenomenon in Indonesian business world. Though it is not infrequently the defendant of bankruptcy intentionally default to reply the counterparty that had already  been  in  default  (exceptio  inadimpleti  contractus  situation).  So  the research problem of this thesis is: Is the concept of default on the law of treaties can be fully applied to the concept of debt in bankruptcy law? This research used normative legal research methods by using statue approach, case-based approach, comparative approach and the conceptual approach. Analysis of legal materials is done with a qualitative approach to the exploratory nature of interpretive techniques, systematic, evaluative, constructive and argumentative. The results showed that not all defaults can be expressed as a debt in bankruptcy Law, except if the intended achievement is an achievement in the field of business activity (accounts payable). Default is determined from the agreement, regardless of whether there has been an exchange of rights and obligations or not, while the concept of debt has to be determined from the exchange between the rights and obligations which just happens sided (unilateral halt) though it is not preceded by a written agreement. Beside that, in contract law, tort only accountable to the creditors who have made a covenant only, but in bankruptcy law, the settlement will involve and affect a whole other creditors as well.

Abstract

This  journal  entitled  “Comparative  Study  Concerning  The  Principles  of  Government’s Shares in State Owned  Enterprise”.  Problems  being research  in this thesis are, first: the legal standing of the state’s equity in Persero according to Indonesian corporate law and its comparison to Singapore corporate law. The second problem, what are legal implications of the government’s shares in Persero. The  method  being  used  is  normative  legal  research  through  legislation  and  regulation approach  and  comparative  approach.  Legal  materials  used  are  primary  legal  materials, legal materials and secondary and tertiary legal materials, the analysis done by descriptive, evaluative, interpretative, analytical and argumentative. This research shows that according  to Indonesian  corporate law, the state’s equity being placed in Persero   belongs to Persero and according to Singapore Law, the government’s equity being  placed  in  Persero  as the Government  Linked  Company  belongs  to the said company.  Legal consequences of the government equity in Persero are: the management of the said equity is no longer subject to state budget’s principals but to good corporate government principals; contracts made by Persero binds Persero and not the government, hence compliance and liability arising from the said contracts are Persero’s liability only and therefore Persero’s claim arising from contracts belong to the said Persero. However, in practical level, there are still some inconsistency in Persero’s equity treatment (i.e. financial audit and Persero’s inability to act as the guarantor to another company). On  the  other  side,  the  Government  of  Singapore’s  equity  in  Temasek  is  managed  by corporate mechanism and almost without government intervention (except for past reserves). Therefore  Temasek  is  free  to  make  any  contract  with  third  parties  and  can  act  as  the guarantor for its subsidiary.

Abstract

The Article 43(3) Act Number 12, 2011 concerning Regulations Makingstipulatedthat theact draft from DPR,  President, or DPD must be accompanied the academic text. However the function was from the obligation enclosed by thesubmitting the academic text still not well understood, so as the academic text was still being considered unimportant and ignored in the submitting act draft. Starting fromthese problems, then the problem that emerged that is what is the normative character of the contents of the academic text according to the law and the doctrine of legal knowledge. The purposeis tounderstand thecharacter ofthe normativecontent of the academic text according to the law and the doctrine of legal knowledge. The research that used was the juridical  normativeresearch. The legal source took form the regulations, literatures, results of the researches, papers in the seminar, the journals, articles, and reading materials that were linked with the problem that was studied in this research, the dictionaries and the legal encyclopedias. The use ofthe word'shall' in the regulations, that wordsis usedforthe fulfillment ofa conditionorspecific requirements. If the obligation that was arranged this was not fulfilled, that was relevant did not receive something or the matter that necessarily will be got if the condition or this condition was fulfilled. So the regulation to the Article 43 (3) was valid. The characteristics from the regulation concerning the obligation enclosed the academic text in putting forward the act draft  was to be imperative. The word'shall' bind the DPR, President and DPD to submitting  the academic text. If the academic text was not submitted, then the consequences that the act draftcould not be processed to the further stage.
