Abstract

Jakarta Special Capital Region Regulation No. 7 of 2025 on Smoke-Free Zones (SFZs) restricts the sale and display of tobacco products, which has the potential to violate the constitutional rights of MSMEs to work and a decent livelihood (Article 27, Paragraph (2) of the 1945 Constitution). This study analyzes the conflict between the SFZ policy and the right to conduct business, legal protections for affected SMEs, and the role of local governments in balancing public health and social justice. The results indicate that while the regulation meets the principles of clarity and transparency, it conflicts with the hierarchy of regulations by disregarding the economic realities of SMEs. Supporting policies, such as SME capacity-building and the provision of proportionate smoking areas, are necessary.

Abstract

The assets of a foundation are primarily intended to achieve the foundation’s purposes and objectives; therefore, their use in business activities requires clear legal limitations. This study aims to analyze the limitations on the use of foundation assets for business activities from the perspective of foundation law. This study employs normative legal research using statutory, conceptual, and analytical approaches. The legal materials consist of legislation and legal literature relating to foundations and the management of their assets. The results of the study indicate that a foundation may conduct business activities through the establishment of a business entity and/or participation in a business entity, provided that such activities are related to the purposes and objectives of the foundation. However, such authority is subject to legal limitations to prevent the misuse of foundation assets in a manner inconsistent with the foundation’s purposes. These limitations include restricting the participation of foundation assets to a maximum of 25% of the foundation’s total assets, requiring a connection between the business activities and the foundation’s purposes and objectives, restricting concurrent positions between foundation organs and business entity organs, and prohibiting the distribution of business proceeds to foundation organs. Accordingly, the use of foundation assets for business activities does not constitute an unrestricted freedom but must be carried out within the framework of achieving the foundation’s purposes while complying with applicable legal provisions. These limitations also serve as an instrument to ensure that foundation assets continue to be used in accordance with the functions and purposes for which the foundation was established.
