Abstract

Notaries play an important role in preparing authentic deeds used as legal foundations for contractual relationships and corporate transactions. Legal issues may arise when a lease agreement involves corporate parties, since examination should extend beyond the identity of appearers to their legal capacity, authority to represent the corporation, validity of corporate documents, and legality of the leased object. This study examines the Notary's obligation to verify the legality of parties and the legal implications of delayed issuance of a deed copy when such document is required for corporate fund disbursement. The research applies a normative legal method using statutory, conceptual, and analytical approaches. The findings indicate that the duty of diligence under the Indonesian Notary Law is reinforced by Minister of Law Regulation Number 10 of 2026, which requires identification, verification, and monitoring of service users under specified circumstances. A delayed deed copy does not automatically establish liability for the failure or postponement of corporate fund disbursement. Liability requires evidence of fault, actual loss, and a causal relationship between the delay and the financial consequence. Clear service standards for deed-copy issuance and documented verification procedures are needed to improve legal certainty for notaries and service users.
