Abstract

Fiduciary guarantee institutions are guarantee institutions that are in great demand in Indonesia, in fact it is very possible that Fiduciary is currently the most widely used guarantee institution besides three other security institutions in Indonesia, namely Gadai, Hipotek and Hak Tanggungan. Determination when the default debtor, has its own rules, can not be interpreted arbitrarily, then in a pandemic like this, determining the default debtor certainly also needs to consider the economic conditions of many parties that decline, then it means, whether the use of debt collectors is still a matter that is worthy of attention to these two aspects. This is a normative legal research. The result of this research is that the Constitutional Court’s ruling drew many interpretations, one form of which was that the Fiduciary guarantee was no longer familiar with parate executies, and sales were underhanded, but had to go through the court. Even though the decree also emphasized default. This decision must be interpreted in full, not only related not to execute it, but also to understand about the default. Thus, will be clear what the purpose of the ruling of the constitutional court. This will also be useful for law enforcement on the civil debt relationship during this pandemic. Leasing as an institution that provides credit to the public, still requires classification rules for customers who can apply for credit. So that cases of customers who are negligent in debt payments and have problems with debt collectors do not occur.

Abstract

Pembebanan hipotek atas kapal laut dilakukan dengan menggunakan akta otentik, pembuatan akta otentik jaminan hipotek adalah kewenangan dari Pejabat Pendaftar dan Pencatat Balik Nama Kapal sebagaimana telah ditunjuk oleh undang-undang. Faktual, pembebanan hipotek selalu dilakukan dengan pembuatan Surat Kuasa Memasang Hipotek yang berisi janji-janji terlebih dahulu. Walaupun tidak diwajibkan, Surat Kuasa Memasang Hipotek dirasa oleh masyarakat dapat lebih menjembatani dan melindungi kepentingan para pihak. Hipotek merupakan jaminan kebendaan, maka harus memenuhi asas publisitas, yaitu dengan mendaftarkan jaminan hipotek tersebut dalam register umum yang sifatnya terbuka. Pemenuhan asas publisitas ini akan membawa implikasi kepada pihak ketiga di luar perjanjian jaminan hipotek tersebut.The imposition of a ship mortgage should be done by using an authentic deed, the making of motrtgage’s deed is the authority of Pejabat Pendaftar dan Pencatat Balik Nama Kapal as it is designated by the law. Factually before the parties go to the Pejabat Pendaftar dan Pencatat Balik Nama Kapal for the imposition of a ship mortgage they will go to the notary to make such an attonery, which called Surat Kuasa Memasang Hipotek that contains some promises and agreements made and agreed by the parties. Eventhough this Surat Kuasa Memasang Hipotek is not a must but the substance of this deed could even more in giving protection and could accommodate the willingness of the parties, and also give more protection to the parties. Ship mortgage is a property rights guarantee, thats why it must fulfil the publicity principle which is done by registering the mortgage into the general register.

Abstract

Lahirnya hak kebendaan akan melahirkan kreditor, kreditor yang terlahir akibat dari adanya jaminan kebendaan adalah kreditor preferen dimana kreditor preferen itu mempunyai berbagai ciri-ciri unggulan, antara lain yaitu didahulukannya pelunasan hutangnya daripada kreditor-kreditor lain. Namun ciri istimewa ini akan tampak kabur saat berbenturan dengan kreditor privilege yang eksistensinya juga diatur dalam undang-undang. Benturan antara kreditor privilege dengan kreditor preferen ini melemahkan posisi kreditor preferen, hal ini terutama terkait dengan pelunasan hutang karena terjadinya force majeure, dan pembayaran jaminan oleh pihak asuransi. Hal ini dikarenakan pada saat terjadi force majeure, kreditor preferen sudah seyogyanya menjadi kreditor konkuren namun tetap memegang karakter sebagai kreditor preferen karena janji-janji dalam pembebanan hipotek kapal laut.Property rights will engender creditors, creditors which are produced due to the existence of zakelijke zekerheid (property guarantee) are preferred creditors who has various superior characteristics, including the payment will be prioritized than other concurrent creditors. But the superior characteristics of the preferred creditors will looks weak when it crashed with privilege creditors which the existence are regulated in Law. The conflict between preferred creditors and privilege creditors makes the preferred creditors character become so weak, it is related to debt fulfillment because of force majeure and guarantee payment by the insurance company. This situation happened because when there was a force majeure, then the preferred creditors now should be just a concurrent creditors but they still hold the characters of preferred creditors because of the implication of the promises when the ship mortgage agreement made.

Abstract

Perkembangan Hukum Jaminan, juga membawa perkembangan atas lembaga jaminannya, antara lain lembaga jaminan yang merupakan bentuk perkembangan Hukum Jaminan adalah Fidusia. Fidusia sebagai lembaga jaminan yang cukup diminati, pengaturannya juga dikembangkan demi kemudahan dalam keseluruhan prosesnya, antara lain yaitu dengan diadakannya pendaftaran online untuk lembaga jaminan Fidusia. Pendaftaran online yang tentunya memiliki mekanisme yang berbeda dengan pendaftaran biasa, sudah barang tentu memiliki karakter perlindungan yang berbeda untuk kreditornya. Tentunya saat beranjak dari konsep pendaftaran online, kedudukan kreditor bukannya cenderung membaik, namun berpotensi menjadi rawan. Tujuan dari penelitian ini adalah menemukan cara agar kedudukan baik itu kreditor dan debitor dalam pendaftaran online Fidusia itu tidak menjadi rawan dan sama-sama terlindungi oleh hukum yang baik. tidak Penelitian ini merupakan penelitian normatif. Hasil dari penelitian ini adalah adanya rekomendasi bagi pemerintah, untuk membuat suatu aturan lanjutan terkait pendaftaran jaminan Fidusia yang dilakukan secara online, khususnya mengenai pemenuhan asas spesialitas pada Sertifikat Fidusia.The development of the Security Law, also brought the development of its security law institution, among others institution which is the form of the development of the Security Law is Fiduciary. Fiduciary as a security institution is quite attractive, the arrangement is also developed for ease in the whole process, such as online registration. Online registration that certainly has a different mechanism with regular registration, it certainly has a different protection character for its creditors. Surely when starting from the concept of online registration, the position of creditors rather than tend to improve, but potentially become prone. The purpose of this study is to find a way for both creditors and debtors who register the Fiduciary online, not to be vulnerable and equally protected by law. This research is a normative study. The result of this research is a recommendation for the government, to make a follow-up regulation related to registration of Fiduciary done online, especially regarding the fulfillment of speciality principle on Fiduciary Certificate.

Abstract

Peristiwa perdata, sudah barang tentu terjadi lebih banyak daripada peristiwa pidana. Sementara itu peristiwa perdata yang paling banyak terjadi, itu sudah pasti adalah peristiwa perikatan. Perikatan cukup mendominasi karena dapat terjadi atas dasar antar subyek hukum saling mengikatkan dirinya, atau atas dasar antar subyek hukum dipaksa saling mengikatkan dirinya oleh undang-undang. Subyek hukum yang saling mengikatkan dirinya, menjadi peristiwa perikatan yang mendominasi di masyarakat, bentuknya adalah perjanjian. Perjanjian terdapat beragam jenisnya, yang pada intinya ada perjanjian bernama, ataupun perjanjian tidak bernama. Salah satu contoh perjanjian tidak bernama yang dewasa ini marak digunakan sebagai pendukung kegiatan bisnis, adalah perjanjian pre project selling, perjanjian di mana penjualan dilakukan saat obyek tersebut belum nyata ada. Perjanjian pre project selling ini kerapkali dilakukan dalam bidang penjualan properti. Kendati demikian, perjanjian semcam ini tidak selamanya berakhir dengan baik, berulang kali timbul kerugian kepada pembeli (calon pemilik) baik itu dalam bentuk obyeknya tidak kunjung jadi, ataupun dalam bentuk obyeknya sudah jadi namun tidak sesuai dengan kehendak pembeli (calon pemilik) sebagaimana dalam penawaran. Tujuan dari penulisan ini adalah untuk mencari penyebab kerugian tersebut, dan penyelesaiannya. Hasil dari penelitian ini, adalah dibutuhkan mekanisme pembatas atau pengendali atas asas kebebasan berkontrak dalam peristiwa pre project selling.Civil events, of course, occur more than criminal events. While most civil incidents occur, it is definitely an engagement event. Engagement is quite dominating because it can occur on the basis of legal subjects binding to one another, or on the basis of legal subjects being forced to bind themselves to each other by law. Legal subjects that bind themselves to each other, become engagement events that dominate in society, the form is an agreement. There are various types of agreements, which basically have a named agreement, or an anonymous agreement. One example of an anonymous agreement that is currently widely used as a supporter of business activities, is the pre-project selling agreement, an agreement where sales are made when the object is not yet real. These pre-project selling agreements are often done in the field of property sales. Nevertheless, this kind of agreement does not always end well, repeatedly causing losses to the buyer (prospective owner) either in the form of the object not being finished, or in the form of the object is ready but not in accordance with the wishes of the buyer (prospective owner) as in the offer. The purpose of this paper is to find the cause of the loss, and its resolution. The results of this study, is the limiting or controlling mechanism for the principle of freedom of contract in the event of pre-project selling.
