Haryono 169 Malang 65145, Telp (0341) 553898 Fax (0341) 566505 Email: widianagari@gmail.com Abstrak Direksi dalam menjalankan tugasnya melakukan pengurusan perseroan, setiap anggota Direksi wajib dengan itikad baik dan penuh tanggung jawab menjalankan tugas untuk kepentingan dan usaha perseroan. kewajiban Direksi tersebut ditegaskan dalam Pasal 97 Undang-Undang Perseroan Terbatas. Dengan berlandaskan itikad baik, undang-undang bermaksud agar setiap anggota Direksi dapat menghindari perbuatan yang menguntungkan kepentingan pribadi dengan merugikan kepentingan perseroan. Pasal 105 Undang-Undang Nomor 40 Tahun 2007 menyebutkan bahwa Direksi dapat sewaktu-waktu diberhentikan berdasarkan keputusan RUPS dengan menyebutkan alasannya, Akan tetapi dalam Undang-Undang Perseroan Terbatas, baik dalam pasal –pasal maupun penjelasan tidak menjabarkan lebih lanjut mengenai batasan-batasan atau hal-hal apa saja yang dapat dijadikan alasan kuat untuk memberhentikan Direksi. Pemegang kekuasaan tertinggi dalam perseroan terbatas menurut Undang-undang Perseroan Terbatas Nomor 40 Tahun 2007 adalah di tangan Rapat Umum Pemegang Saham (RUPS) sehingga dalam struktur organisasi perseroan terbatas, organ RUPS seolah-olah menempati posisi di atas organ Direksi dan Komisaris. Akan tetapi, meskipun RUPS memiliki kekuasaan tertinggi, bahkan RUPS dapat memberhentikan organ lain dari jabatannya, yaitu dapat memberhentikan Direksi dan Komisaris, tidak berarti RUPS dapat bertindak sewenang-wenang. Hal ini mengingat RUPS juga harus memperhatikan kaidah undang-undang dan anggaran dasar Perseroan Terbatas yang memberikan kedudukan sebagai pemegang kekuasaan tertinggi. Pemegang saham PT. USI telah memberhentikan anggota Direksi secara tetap dan permanen dari kedudukannya dalam keputusan Rapat Umum Pemegang Saham, namun pemegang saham PT. USI tidak menggunakan mekanisme pemberhentian yang benar menurut Undang-undang Perseroan Terbatas. Kata kunci: perlindungan hukum, direksi , perbuatan melawan hukum pemegang saham.   Abstract The company director is responsible to run a limited liability company, and a director must perform his/her tasks with good faith for the interest of the company. This responsibility is governed in Article 97 of Law concerning Limited Liability Company. With good faith, the law is intended to assure that no directors intend to gain benefit only for themselves by harming the interest of the company. Article 105 of Law Number 40 of 2007 implies that a director can be terminated from his/her position at anytime along with the reasons of termination according to the Decree of General Meeting of Shareholders. However, this issue is not explained at length in any articles of the Law concerning Limited Liability Company in terms of factors on which the termination of the directors is based. The highest position in a company lies in the General Meeting of Shareholders, and this board can even terminate a director or a commissary from his/her position. However, this power should not be abused where a director can be terminated arbitrarily since this board must refer to the law in place and the articles of association of limited liability company that approves this power. The shareholder of PT. USI has terminated a director permanently from his position through the decision made in the General Meeting of Shareholders, but this termination, however, does not refer to the appropriate mechanism as governed in Law concerning Limited Liability Company.   Keywords: legal protection, board of directors, tort committed by shareholder [1] Mahasiswi, Ilmu Hukum, Fakultas Hukum Universitas Brawijaya, Malang. Abstract

The purpose of this study was to determine and analyze the husband's position in the Nyeburin marriage according to Awig-Awig in the Peliatan Traditional Village, Ubud and inheritance in the Nyeburin marriage, in the Peliatan Traditional Village, Ubud. Writing in this journal uses empirical research types, statutory approaches and legal concept analysis. Based on the results of the research, the following conclusions can be drawn: (1) the position of the husband as pradana in the marriage of nyeburin according to the village awig-awig, if the marriage is broken up whether the one who lives is still at his wife's residence or has returned to his original residence, no one has clearly discussed it on Indonesian positive law regulations; and (2) inheritance in the Nyeburin marriage in the Peliatan Traditional Village, the position of the male heir is clear, that is, he is not an heir, so his rights as an heir at his home have been lost, and he does not have rights as an heir at his wife's house.
