Abstract

Pasar Modal Syariah merupakan bagian dari pasar modal Indonesia yang mempunyai peran penting sebagai alternatif pembiayaan bagi dunia usaha dan pemerintah, serta sarana bagi pemilik modal untuk memperoleh return melalui instrumen-intrumen investasi yang ditawarkan di pasar modal. Salah satu instrumen pasar modal syariah yang mempunyai potensi besar dalam menyerap dana masyarakat pasca krisis  adalah Sukuk (surat berharga syariah). Indonesia dianggap memiliki potensi besar untuk menjadi pasar sukuk, mengingat populasi muslim yang besar serta besarnya pinjaman lintas negara. Namun demikian, pertumbuhan sukuk sebagai alternative pembiayaan dan investasi belum berkontribusi secara signifikan dalam mendorong pertumbuhan pasar modal syariah serta pembangunan ekonomi nasional secara umum. Salah satu isu strategis dalam pengembangan sukuk Indonesia adalah kesiapan infratruktur hukum yang belum optimal, sehingga dalam praktik masih menimbulkan mispersepsi terhadap sukuk yang seringkali dipadankan dengan obligasi, mengakibatkan sukuk belum dianggap sebagai instrumen alternatif yang menarik baik bagi dunia usaha maupun investasi. Berdasarkan hasil penelitian diperoleh hasil bahwa regulasi sukuk di Indonesia masih bersifat parsial dan tersebar dalam berbagai aturan, sehingga mengakibatkan rendahnya pemahaman pelaku usaha dan investor terhadap kerangka hukum sukuk, serta jaminan kepastian hukum bagi pemegang sukuk. Regulasi sukuk yang terintegrasi merupakan syarat utama untuk memberikan jaminan dan kepastian hukum bagi pelaku usaha dan investor.  Indonesia, khususnya regulator perlu mengupayakan keberagaman jenis sukuk baik akad maupun underlying assets nya agar investor dapat memilih jenis-jenis sukuk yang sesuai dengan harapan. Selain itu, diperlukan kebijakan yang bersifat top down dari pemerintah untuk mendorong pertumbuhan sukuk negara dengan membuat kebijakan bagi BUMN untuk berinvestasi pada sukuk.

Abstract

The development of the Indonesian Capital Market is currently running very rapidly. The rapid development Indonesian Capital Market can’t be separated from the role of Investors and Issuers as the main actors in the capital market. Bond as one of the investment instrument in Indonesian Capital Market which currently circulating in line with high demand among investor considering bond have lower risk than other capital market instruments. However, investing in bond is not without risk, because Issuer may fail to pay their obligation. The Coronavirus Disease 2019 (Covid-19) Pandemic has caused bond default rates to increase. Such condition can lead to a crisis of Investors confidence in Indonesian Capital Market. Therefore, this study aims to find out and understand the form of legal protection for Investors who suffer losses due to default during Covid-19 Pandemic and the legal actions that can be taken by Investors for losses arising from default. The research method used is normative juridical with descriptive analytical research specification. Based on the Indonesian Civil Code and Indonesian Capital Market Law, it can be concluded that the Issuer who issue bond is responsible for paying bond interest and returning the principal of the bond loan on the maturity date to Investors. Bond default give Investors the right to demand the return of their rights to bond interest and to the principal of maturing bond through the Trustee. Legal actions that can be taken by bondholders are internal dispute settlement, external dispute settlement through Integrated Alternative Dispute Resolution Institution, or through litigation.

Abstract

Personal Data Protection law (PDP) as enacted on 17th October 2022 is create new dimension in Indonesia legal system. PDP law not only “cherry on top” of the previous regulation, but also to perfection the law that focus on protection of the personal or individual rights, especially if that person is bank customer. Financial services is one of the most highly regulatory industry, banking industry as the part of financial services industry have holy grail obligation to protect as we called bank secrecy. PDP law is to complement bank secrecy regulation, since PDP provide specific and strict regulation regarding personal data processing activities in banking. Until February 2026, PDP law not have an implementation regulation and specific regulator as mentioned before at law, this condition can raise the challenge for the banking industry to comply. Banking industry is an industry that process personal data in large number, this industry shall to response the situation carefully, since Bank DNA must compliance with the prevailing law and regulations, unfortunately the regulation not yet enough regulate personal data protection in detail. Moreover, PDP law mandates the creation of a special intuitions related to the regulator and enforcement of PDP Law infringement. The creation of this institution can raise dualism for banking industry, considering that banking is already regulated and supervised by the Financial Services Authority (OJK).

Abstract

The Auction Implementation of Guidelines Regulation confirmed that the execution auction of collateral objects related to Mortgage Rights is a method designed to protect the rights of all parties involved. One of the key principles is the requirement to establish a limit value for mandatory auctions, including those related to Mortgage Rights. However, the current practices of execution auctions do not align with regulatory expectations that seek to ensure optimal pricing and a fair and legally certain process. Debtor objections to the determination of Limit Value and low selling prices have led to legal disputes against creditors. Therefore, an examination is essential to understand how risk mitigation can be achieved through the establishment of limit value. This study adopts a normative juridical approach with a descriptive-analytical research specification. The findings reveal that Articles 55-60 of Auction Implementation Guidelines Regulation outline the obligation to establish a limit value and provide criteria for determining that value. The establishment of limit value can function as a risk mitigation tool for Bank creditors, allowing them to adhere to prudential principles while providing legal certainty and protection for debtors, ultimately facilitating the attainment of the best possible price for their collateral objects.
