Abstract

Adanya sinyalemen bahwa telah terjadi distorsi perekonomian di Indonesia, memang ada benarnya. Perekonomian di Indonesia seharusnya selalu mengacu pada kehendak Pasal 33 UUD 1945. Maka adanya kasus-kasus perekonomian yang tidak sejiwa dengan pasal tadi, bisa disebut sebagai suatu distorsi perekonomian. Menurut Nindyo Pramono, solusi dan hal ini bukanlah masalah yang sederhana, untuk itu diperlukan sinergi dari interdisipliner ilmu.

Abstract

The rapid development of international business law requires judges to re-scrutinise principles of contract law in the Civil Code. Therefore, principles of good faith, protection of third-party, retroaction, and restoration to pre-contract position will be analysed to provide objectively constructive feedback for judges when hearing over request for contract annulment.  Pesatnya perkembangan hukum bisnis internasional mengharuskan hakim untuk mempelajari kembali asas-asas hukum perjanjian dalam KUHPerdata. Prinsipprinsip itikad baik, perlindungan bagi pihak ketiga, retroaktif, dan kembali ke keadaan semula akan dianalisis dalam tulisan ini sehingga memberikan konstruksi obyektif kepada hakim dalam memutus permohonan pembatalan perjanjian agar jangan sampai menimbulkan perkara baru.

Abstract

ABSTRACT Member countries of the Organisation for Economic Co-operation and Development (OECD), make MSMEs a default factor in every economic law, especially investment law. However, the role of MSMEs in Indonesia is still often underestimated and has not received adequate opportunities to play their role in national economic development. The main problem in this research is to question how the issue of providing opportunities for the development of MSMEs in the rule of law in the economic sector in Indonesia. By using the normative juridical legal research method, it appears that MSMEs have an important role in national economic development, and therefore become an important target in efforts to achieve the State's Goal in promoting general welfare. The data collection technique in this study uses secondary data with qualitative data analysis techniques. From this research, it was found that there is an awareness of the importance of the role of MSMEs in national economic development, which is contained in various policies and legal regulations. The problem is that the implementation of these policies and regulations are still not in line with expectations. From the results of this research, it is recommended that the Government of Indonesia to reform the investment law in which it is mandated to provide opportunities for the development of MSMEs, so that MSMEs can really play an important role in the national economic development. Abstract

In Indonesia, matters concerning limited liability companies is mainly governed by Law Number 40 of 2007 on Limited Liability Company (Companies Law). The Companies Law regulates all aspects from the formation of company until the dissolution of company along with the legal consequences. In forming a limited liability company, a company must be formed by 2 (two) or more people. This mandatory provision creates the practice of a limited liability company with 50-50 shareholder composition, especially for private company. Structurally, a limited liability company consists of General Meeting of Shareholders (GMS), the Board of Directors (BOD), and the Board of Commissioners (BOC). Both members of BOD and BOC serve the company with limited terms of office and shall be re-appointed by the GMS. In practice, there is a condition where the GMS fails to re-appoint or replace the BOD and BOC even when all the members of BOD and BOC’s terms of office have been ended. During this period, those members of BOD and BOC can no longer act on behalf the limited liability company. The possibility of such company facing such situation is quite high, especially if the company’s shareholder composition is 50-50. This research aims to discuss and analyse the BOD and BOC whose terms of office have ended without re-appointment or replacement by the GMS. The result shows that since the Companies Law has yet to regulate provision to overcome the described issue, this condition may endanger the operation and the existence of limited liability company. Consequently, the existing Company Law has to be amended to address the aforementioned issue.
