Abstract

A notary is a public official who is only authorized to make an authentic deed regarding all actions, agreements, and stipulations required by general regulation or by an interested party who is required to be stated in an authentic deed, guarantees the certainty of the date, keeps the deed, and gives Grosse, copies, and the quotation, as long as the making of the deed by general regulation is not assigned or excluded to other officials or people. This research uses Philipus M. Hadjon's legal protection theory and Sudikno Mertokusumo's legal certainty theory. The normative juridical study uses literary or secondary data from primary, secondary, and tertiary legal sources. The Statute Approach, Conceptual Approach, Analytical Approach, Case Approach, and the method of identifying and inventorying positive legal rules, literature, books, journals, and other legal sources are utilized for research. Analyzing legal documents involves legal interpretation, systematic interpretation, and legal construction. The study found that a Notary is a public authority who facilitates community legal actions. The Law on Notary Positions encompasses most legal ties in society. Protection and legal certainty for Notaries summoned as witnesses in criminal proceedings, notably on their obligation to keep their positions secret. As said earlier, a Notary is a trusted position that must be kept hidden.

Abstract

In the banking industry, it is a well-known fact that there are frequently issues with joint assets that have not been divided after a divorce and that are used as collateral for mortgage rights. The case of court decision number 177/Pdt. G/2019/PN Bks is illustrative. In this study, the problem to be addressed is the legal consequences of the deed of mortgage on shared assets that have not been divided post-divorce without the ex-husband/consent wife's and the legal certainty of the deed of mortgage on shared assets that have not been divided post-divorce without the ex-husband/consent, wife's using Soeroso's theory of legal consequences and Jan Michelle Otto's Legal Certainty theory. In this work, the author employs a normative legal methodology supported by an empirical methodology. The results of the study indicate that the legal consequences of the mortgage deed on joint assets that have not been divided after the divorce without the consent of the ex-husband or ex-wife can result in the mortgage being made and a cancellation lawsuit being filed because it violates the ex-rights. spouse's Based on Jan Michel Otto's legal certainty theory, a mortgage deed formed on joint assets that have not been divided after divorce without the approval of the ex-husband/wife has no legal certainty value because the mortgage is made without the consent of the ex-husband/wife.

Abstract

The Board of Directors manages the firm in line with laws, rules, the articles of incorporation, and GMS decisions. Setbacks and lack of funds may force a company's board of directors to sell its assets. For legal processes to transfer or sell corporate assets, the company's articles of association must be examined, and if the transfer exceeds 50%, agreement from the Company's GMS is required. Taking the step by the board of directors will have legal consequences. This study uses normative legal research to get relevant data. The author used statutory methodology, authority, and legal consequences as analytical tools. Legal papers are studied by recognizing and cataloging grammatical and systematic interpretations of secondary data. The study obtained the authority of the board of directors, where in carrying out the responsibilities of managing the company is limited by laws and regulations, as stated in the articles of association of the PT in accordance with Article 100 paragraph (1) of the Limited Liability Company Law, and legal consequences for the parties in the case of misuse of such authority in the transfer. PPJB is agreement cancellation with compensation. In accordance with Civil Code Articles 1243 and 1244, which refer to the reimbursement of costs, damages, and interest in the case of a contract violation, parties aggrieved by the cancellation of the PPJB have filed a lawsuit for recovery of all costs and interest.

Abstract

Berdasarkan Pasal 1 ayat (1) Undang-Undang Nomor 2 Tahun 2014 tentang Perubahan Atas Undang-Undang Jabatan Notaris Nomor 30 Tahun 2004 tentang Jabatan Notaris menyebutkan, “Notaris adalah Pejabat Umum yang berwenang untuk membuat akta autentik dan memiliki kewenangan lainnya sebagaimana dimaksud dalam Undang-Undang ini atau berdasarkan Undang-Undang lainnya.” Sehubungan dengan jabatan Notaris yaitu “suatu jabatan kepercayaan bagi masyarakat dan secara transparan yang sudah dijelaskan bahwa akta Notaris mempunyai karakter yuridis yang individual atau tersendiri pada pembentukannya yang menggunakan lambang negara, dimana dalam penggunaan lambang negara burung garuda sebagai stempel dan cap pada aktanya, sebagai salah satu bukti yang autentik sebagai salah satu bukti adanya pelimpahan wewenang dari Negara bagi Notaris dalam hal perbuatan hukum, serta sebagai salah satu alat bukti yang autentik didalam bentuk keabsahan formal dan untuk menjamin suatu kepastian hukum. Dalam penelitian ini, penulis menggunakan metode penelitian kualitatif deskriptif. Pengumpulan bahan-bahan hukum dilakukan dengan cara mengindentifikasi dan menginventarisasi aturan hukum positif, meneliti bahan pustaka (buku, jurnal ilmiah, laporan hasil penelitian), dan sumber-sumber bahan hukum lainnya yang relevan dengan permasalahan hukum yang dikaji. Bahan-bahan hukum yang sudah terkumpul, selanjutnya klasifikasi, diseleksi dan dipastikan tidak bertentangan satu sama lain, untuk memudahkan analisis dan konstruksi. Kata Kunci: Notaris, Akta Partij, Perlindungan Hukum
