Abstract

The Bankruptcy and PKPU mechanism is the best debt moratorium at this moment because the creditor may estimate the debtor's ability to pay by looking at his good faith and the peace plan's debt moratorium. The surge in commercial court lawsuits and other economic repercussions led to the bankruptcy and PKPU moratorium, which is not the proper solution. If unsure, the moratorium can be reviewed. The moratorium on bankruptcy and PKPU cases is not an effective solution because bankruptcy institutions and PKPU were born from Law Number 37 of 2004, so the idea of a moratorium must go through a legislative process to be in sync with that law, which is difficult and takes a long time. Technically, this moratorium limits commercial courts' competence, requiring legislative and judicial responsibilities to be synchronized. Implementing it will generate several issues.

Abstract

Abstract

A commercial distribution agreement is an important legal instrument in trading activities that establishes a contractual relationship between producers and distributors, often on a long-term basis. In practice, such relationships may be affected by breaches of contract (wanprestasi), as occurred in the dispute between PT Parit Padang Global and PT Maesindo Indonesia, which resulted in Supreme Court Decision Number 555 K/Pdt/2025. This study aims to examine the qualification of breach of contract in commercial distribution agreements under Indonesian civil law and the legal considerations of the Supreme Court in the decision. This study employs a normative legal research method using a statutory approach, a conceptual approach, and a case approach. The legal materials consist of primary, secondary, and tertiary legal materials, which are analyzed qualitatively using deductive reasoning. The results show that the breach of contract committed by PT Maesindo Indonesia as the principal was qualified as a total failure to perform its obligations (algehele niet nakoming), namely the failure to take back the remaining products stored in the distributor's warehouse after the distribution agreement had ended, based on the fulfillment of the elements of breach of contract as stipulated in Articles 1320 and 1338 of the Indonesian Civil Code. The Supreme Court rejected the Defendant's appeal and upheld the Judex Facti decision, reasoning that a valid agreement remains legally binding after the contractual relationship has ended and that the Defendant was required to pay compensation amounting to IDR 5,035,642,749.32 pursuant to Articles 1243, 1246, and 1250 of the Indonesian Civil Code. The decision also rejected the obscuur libel objection and the exceptio non adimpleti contractus defense, reflecting an emphasis on substantive justice rather than a formalistic approach in resolving commercial contract disputes

Abstract

This study aims to analyze the legal regulation concerning the form and content of wills under the Indonesian Civil Code (Kitab Undang-Undang Hukum Perdata/KUHPerdata) and to examine the legal status of wills created in digital form in light of these provisions. The development of information technology has brought changes to various aspects of life, including the expression of a person's last wishes through electronic media, such as digital documents, electronic mail (e-mail), and video recordings. On the other hand, the Indonesian Civil Code, as one of the legal foundations governing inheritance in Indonesia, continues to regulate wills in conventional forms that require certain formalities, thereby raising questions concerning the validity of digital wills under Indonesia's positive legal system. This study employs a normative legal research method using a statutory approach and a conceptual approach. The legal materials consist of primary legal materials, including the Indonesian Civil Code and Law Number 11 of 2008 on Electronic Information and Transactions, as most recently amended by Law Number 1 of 2024, as well as secondary legal materials in the form of books, scientific journals, and relevant research findings. The results show that the Indonesian Civil Code regulates wills in a limited number of forms, namely holographic wills, public wills, and secret wills, each of which must satisfy certain formal and substantive requirements to have legal force. Although electronic information and electronic documents are recognized as valid evidence under the Law on Electronic Information and Transactions, such recognition does not alter the formal requirements for making a will as stipulated in the Indonesian Civil Code. Therefore, a will created in digital form, including a video recording, cannot yet be classified as a valid will under the Indonesian Civil Code but may have evidentiary value in demonstrating the testator's last wishes, provided that it satisfies the applicable rules of evidence. Accordingly, legal reform is needed to accommodate developments in information technology without disregarding the principles of legal certainty, protection of the testator's wishes, and compliance with the formal requirements for making a will.
