Abstract

This study aims to analyze the effectiveness of Indonesia’s Personal Data Protection Law (Law No. 27 of 2022) in protecting social media users from the perspective of data subjects. The research employs an empirical legal method with a socio-legal approach, integrating normative analysis of statutory provisions with primary data obtained through an online questionnaire distributed to social media users in Indonesia. The collected data were examined using descriptive-qualitative analysis to identify patterns of understanding, experience, and perception regarding personal data protection. The findings reveal that although the law establishes a relatively comprehensive regulatory framework, including recognition of data subject rights and obligations of data controllers, its practical implementation remains in an early stage. A significant proportion of respondents demonstrate limited understanding of the broader scope of personal data and insufficient awareness of their rights, such as the rights to access, rectification, and erasure. While many respondents report experiences related to suspected data misuse, including unsolicited marketing and online fraud attempts, most are unfamiliar with available complaint and enforcement mechanisms. The effectiveness of the law is further constrained by low levels of digital and legal literacy, limited public dissemination, and enforcement challenges involving cross-border social media platforms. The study concludes that legal effectiveness depends not only on normative adequacy but also on public awareness, institutional capacity, and consistent enforcement.

Abstract

Penelitian ini mengkaji pengaruh Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas (Undang-Undang Perseroan Terbatas) terhadap tanggung jawab direksi, dengan fokus pada dua rumusan masalah (1) bagaimana Undang-Undang Perseroan Terbatas mengubah dan memperkuat tanggung jawab direksi dibandingkan undang-undang sebelumnya, dan (2) apa faktor penghambat implementasi serta strategi penguatannya. Sebelum Undang-Undang Perseroan Terbatas, tanggung jawab direksi longgar dan menimbulkan banyak penyimpangan. Undang-Undang Perseroan Terbatas hadir untuk memberikan kepastian hukum dan mempertegas prinsip fidusia, kehati-hatian, serta akuntabilitas. Metode penelitian menggunakan pendekatan yuridis normatif dengan studi kepustakaan, analisis perbandingan undang-undang, dan kajian putusan pengadilan. Hasil penelitian menunjukkan bahwa Undang-Undang Perseroan Terbatas secara signifikan memperkuat tanggung jawab direksi melalui pengaturan business judgment rule (Pasal 92, 97), business judgment rule (Pasal 97 ayat 5), serta tanggung jawab pribadi dan tanggung renteng (Pasal 97 ayat 3-4, Pasal 104). Namun implementasinya dihambat oleh lemahnya penegakan hukum, interpretasi business judgment rule yang tumpang tindih, rendahnya kapasitas direksi UKM, tidak adanya perlindungan whistleblower, serta ketidakjelasan batas antara kesalahan bisnis dan kelalaian pidana. Strategi penguatan meliputi empat pilar: penguatan kepastian hukum melalui revisi terbatas Undang-Undang Perseroan Terbatas dan pedoman business judgment rule; peningkatan kapasitas direksi melalui sertifikasi; optimalisasi pengawasan internal dan eksternal; serta penegakan hukum yang konsisten dan proporsional. Kesimpulan menegaskan bahwa dengan penguatan implementasi, Undang-Undang Perseroan Terbatas dapat mewujudkan direksi yang profesional, bertanggung jawab, dan berorientasi pada kepentingan jangka panjang perusahaan.

Abstract

The development of digital business platforms in Indonesia has fundamentally changed market structure and business competition dynamics. Digital platforms such as e-commerce, ride-hailing, and fintech bring efficiency and innovation, but also create risks of anti-competitive practices that are not fully accommodated in the existing legal framework. Law Number 5 of 1999 concerning the Prohibition of Monopolistic Practices and Unfair Business Competition (Competition Law), which has been in force for more than two decades, faces significant challenges in regulating the digital economy characterized by dual roles of platforms, network effects, and two-sided market dominance. This study aims to analyze the influence of competition law on digital business platforms in Indonesia, identify law enforcement challenges, and formulate necessary regulatory adaptations. The method used is normative legal research with statutory, conceptual, and comparative approaches. The results indicate that the Competition Law has not accommodated digital economy dynamics, particularly regarding dual roles of platforms as both marketplace providers and business operators, data-based anti-competitive practices, algorithmic discrimination, and two-sided market dominance. Furthermore, the non-adoption of extraterritoriality principles limits the authority of the Commission for the Supervision of Business Competition (KPPU) in enforcing the law against foreign platforms. This study recommends modernization of the Competition Law, strengthening of KPPU capacity, and establishment of specific digital platform regulations to create a healthy and innovative competition ecosystem.
