This study analyzes the legal consequences of a buyer's breach of contract and the legal protection available to sellers in transactions conducted through a purchase order and invoice system. The research employs a normative juridical method using statutory, case, analytical, and conceptual approaches. The primary legal materials include the Indonesian Civil Code and three court decisions: Palu District Court Decision Number 16/Pdt.G/2023/PN.Pal, Surabaya District Court Decision Number 40/Pdt.G/2022/PN.Sby, and Karawang District Court Decision Number 60/Pdt.G/2019/PN.Kwg, which was subsequently upheld at the appellate and cassation levels. The findings demonstrate that purchase orders and invoices may establish and evidence a binding contractual relationship when the requirements for a valid agreement are satisfied and performance has been carried out by the parties. A buyer who fails to make payment after receiving the goods may be declared in breach of contract and held liable for the outstanding debt, damages, moratory interest, and litigation costs. Legal protection for sellers may be provided preventively through proper transaction documentation and formal notices of default, and repressively through civil litigation to restore the seller's contractual rights.
