Abstract

Gelombang merger dan akuisisi lintas negara (cross-borders mergers and acquisitions) dipicu oleh berbagai faktor seperti liberalisasi perdagangan, integrasi ekonomi regional, deregulasi pemerintah, privatisasi, dan motif perusahaan yang ambisius dan ekspansif. M&A lintas negara ini sebenarnya telah dimulai ketika hampir semua negara baik maju dan berkembang menerapkan program privatisasi pada dekade 1980an. Dari sisi kuantitas, jumlah M&A lintas negara telah meningkat dua kali lipat pada dekade 1990an. Sementara itu dilihat dari nilainya terdapat peningkatan hampir sepuluh kali lipat pada periode yang sama. Namun demikian M&A lintas negara sebagian terbesar masih didominasi oleh tiga kekuatan ekonomi yakni Amerika Utara, Eropa Barat dan Jepang.  Kata-kata kunci: merger dan akuisisi lintas negara, strategi korporat, sinergi, abnormal return.

Abstract

Time is the secret weapon of business. Advantages in response time provide leverage for all the other competitive differences that make up a company’s overall competitive advantage. The new generation of competitors is obtaining remarkable results by focusing its organizations on flexibility and responsiveness. Time-based competition is a competitive strategy that seeks to compress the time required to propose, develop, produce, market and deliver the products to the customers.  Several tools can be used in applying this strategy in manufacture industry, such as, Total Quality Management, Quality Function Deployment, Work Team Empowerment, Taguchi Methods, and Just-in TimeKeywords: Time-based Competition, Total Quality Management, Quality Function Deployment, Work Team Empowerment, Taguchi Methods, Just-in Time.

Abstract

This article presents the re-emergence of Corporate Social Responsibility (CSR) concept which nowadays become a positive trend in business world to use it as a source of sustainable competitive advantage. The concept has been re-emerging because of factors of globalisation, technology and media revolution, and terrorist attacks. This article also pre¬sents some parties which have capability to endorse business to implement CSR, such as gov¬ernment, community as well as business organizations, corporation itself and society. And in order to bring unimpair description, this article describes the implementation of CSR as cor¬porate strategic competitive advantage in Vodafone and Thiess. Abstract

Companies need programs to facilitate easy movement of employees across bor¬ders. To establish a global program, the companies should first step back and make sure that the culture and belief structures in various countries will support the type of program they intend. In this millennium, international human resources (HR) will undergo a rapid trans¬formation. Strategic areas such as the integration of compensation, global staffing and busi¬ness strategy, and various issues of international HR are challenging. Expatriate compensa¬tion, for example, is presently the hottest issues in today’s discussion of international HR Compensation system should support the overall strategic intent of the organization but be customized for local condition.Keywords: Global, Compensation, Expatiate.

Abstract

Basically, the role of human being in companies in tight competition situation like this time is to take the decision and yield the innovation which cannot be replaced by technology as sophisticated as any. Therefore human resource empowerment through learning is important be achieved because empowerment itself represent a way to: - entrepreneurship people; - sense of belonging Cultivation (Ownership); - shape the commitment (engagement); - Entangle the activity insider (Involvement). Human resource empowerment represent difficult concept to understand fully and hard in applying. However if human resource empowerment disregarded of course waste in the appliance which can make a company reach the efficacy in the future. Through learning, employee was expected to show a behavioral change in work, this behavioral always refer to what have been known or comprehended by employees in learning (knowledge), what they do (skills), what can they think (attitudes) and they were reflected on what they do (action).  Keywords: Human Resource, Learning, Empowerment, Behavior.

Abstract

Divestasi Bank Danamon menjadi perhatian yang sangat serius bagi kalangan legislatif maupun kalangan perbankan. Hal ini dikarenakan Bank Danamon merupakan bank yang mempunyai prospek sangat baik. Divestasi selalu membawa dampak terhadap fluk¬tuasinya harga saham di bursa. Peneliti ingin menuji apakah informasi-informasi yang ber¬kaitan dengan divestasi Bank Danamon mempunyai dampak yang signifikan terhadap harga sahamnya.Setelah diuji dengan uji dua sample berpasangan Wilcoxon ternyata tidak ada perbedaan abnormal return yang signifikan sebelum dan sesudah informasi divestasi. Demikian pula dengan aktivitas volume transaksi juga tidak ada perbedaan yang signifikan antara sebelum dan sesudah informasi divestasi.
