Abstract

Perkebunan kelapa sawit sebagai salah satu cabang dari sektor perkebunan yang turut serta meningkatkan pertumbuhan ekonomi dan kesejahteraan masyarakat Indonesia. Dari perkebunan tersebut terdapat kebun yang dikelola masyarakat secara mandiri secara perorangan maupun dengan kerjasama pengelolaan dengan perusahaan dengan melakukan perjanjian pengelolaan. Dalam prakteknya terdapat permasalan yang berkaitan dengan perjanjian kerjasama pengelolaan perkebunan tersebut pasalnya pihak perusahaan sebagai pihak yang memiliki kekuatan modal lebih tinggi daripada masyarakat serta dukungan politis yang lebih kuat, akan lebih leluasa untuk menentukan segala tindakan yang hendak dilakukan dalam kerjasama tersebut sedangkan masyarakat memiliki kekuatan yang jauh berada dibawahnya, sehingga posisi tawar yang dimiliki sangatlah rendah meskipun pada perjanjian tersebut terdapat keterlibatan pemerintah dalam hal ini kepala daerah dan dinas terkait yang turut membubuhkan tanda tangan pada perjanjian. Kenyataan demikian menyebabkan terjadinya permasalahan permasalahan dalam pengelolaan kebun kelapa sawit diantara petani dan perusahaan. Artikel ini memaparkan konsep perjanjian pengelolaan perkebunan kelapa sawit berdasarkan asas proporsionalitas yang terdiri dari tahapan pra kontrak, pembentukan kontrak, serta pelaksanaan kontrak. Dengan pembahasan berfokus pada urgensi asas proporsionalitas serta penerapannya dalam perjanjian pengelolaan perkebunan kelapa sawit yang seimbang dan proporsional dalam pengelolaan kebun kelapa sawit yang berkeadilan

Abstract

This research discusses the thoughts of Professor Soetandyo Wignjosoebroto as outlined in the book “Dari Hukum Kolonial ke Hukum Nasional” which discusses the development of socio-political dynamics in the development of law in Indonesia during the period of half a century (1840-1990). This research aims to identify the development of national law during the reign of President Soekarno, the development of national law during the reign of the New Order regime, and the relevance of the development of national law at the beginning of independence to the development of Indonesian law today. This is a normative juiridical research with statutory, case, comparative, and conceptual approach. The findings of this research indicate that the development of national law during the early years of independence was confronted with the desire to form a national law that was independent of colonial law and faced with legal certainty and development. The relevance of the law development at the beginning of independence with the current Indonesian law development suggests that law development cannot be separated from the existing values in the society.

Abstract

Through the jurisprudential lens of Roscoe Pound, particularly his doctrines of legal realism and sociological jurisprudence, this article explores palm oil plantation management contracts. By situating contract law within the broader framework of social engineering, the study critiques the prevailing contractual practices in Indonesia's palm oil sector, which often privilege corporate profit at the expense of local communities and environmental sustainability. The analysis reveals a persistent asymmetry in power and legal capacity between plantation companies and rural populations, resulting in contracts that fail to deliver substantive justice. Drawing from Pound’s tripartite interest theory, individual, social, and public, the study argues that current contractual frameworks inadequately integrate ethical, ecological, and communal considerations. This research offers a normative proposal to redesign plantation management contracts as instruments of equitable governance. It advocates for a participatory and inclusive legal drafting process that recognizes local wisdom, ensures environmental accountability, and promotes distributive justice. By embedding Roscoe Pound’s vision of law as a dynamic, purposive institution, the article contributes to the evolving discourse on legal reform in natural resource management. Ultimately, it calls for a reconceptualization of contracts not merely as tools of economic transaction but as living legal instruments capable of reconciling corporate interests with the imperatives of social justice and environmental stewardship
