Abstract

This research aimed to analyze about Interpretation Forms village-owned enterprises According to Law No. 6 of 2014 About the Village. To answer the legal issues mentioned above, the type of research conducted by the researchers are using a normative juridical research, by using the approach the statute approach and conceptual approach. From the analysis of Law No. 6 of 2014 About the village and its implementing regulations, it was concluded that the establishment of village-owned enterprises, the Government does not impose the form of a particular enterprise, this is an effort to grow the rural economy naturally through a form of business entity characterized by village, Rule further that in terms of business activities can run and well developed, it was possible at the time village-owned enterprises follow legal entities established in the provisions of the legislation, here the researchers interpret of legislation, that the legal entity in question is Village Public Company. Additionally village-owned enterprises can consist of business units that are legal entities which may be institutions whose business is derived from its ownership village-owned enterprises and communities.

Abstract

Abstract

Badan Usaha Milik Desa yang selanjutnya disebut BUMDes merupakan salah satu alternatif untuk meningkatkan ekonomi di pedesaan. Tetapi sayangnya kedudukan BUMDes belum sepenuhnya diatur secara lengkap dalam peraturan perundang-undangan yang ada. Permasalahan lain yang lebih kompleks adalah dalam hal memilih bentuk badan hukum yang tepat bagi pendirian BUMDes. Permasalahan pertama seputar pembentukan BUMDes dapat diatasi dengan melakukan revisi terhadap Perda yang belum tepat, maka permasalahan kedua ini tidak akan berhenti dengan merevisi Perda payungnya, melainkan harus membenahi bentukan badan hukum BUMDes tersebut dalam bentuk badan hukum yang tepat.

Abstract

One of the obstacles for micro and small businesses to develop is the low quality of organizational operations. The Employment Creation Act selects the legal entity form of an individual company in order to empower micro and small businesses. Based on the Employment Act, companies that meet the criteria for micro and small businesses can be established by one person, whereas so far a legal entity has been established based on an agreement of at least two shareholders. The author chooses the formulation of the problem regarding the fulfillment of an individual company as a company that meets the criteria for micro and small businesses against the legal principles regarding a PT legal entity, so when viewed from the basic norms of establishment, organs, capital, and dissolution. By using a legal approach, it can be ascertained that companies that meet the criteria for micro and small businesses, judging from the basic norms of establishment, organs, capital, and dissolution, do not meet the legal principles regarding the legal entity PT.

Abstract

Pasal 78 Ayat (1) Undang-Undang Nomor 6 Tahun 2014 Tentang Desa mengatur bahwa Pembangunan Desa bertujuan meningkatkan kesejahteraan masyarakat Desa dan kualitas hidup manusia serta penanggulangan kemiskinan melalui pemenuhan kebutuhan dasar, pembangunan sarana dan prasarana Desa, pengembangan potensi ekonomi lokal, serta pemanfaatan sumber daya alam dan lingkungan secara berkelanjutan. Dalam rangka melaksanakan pembangunan Desa, Desa dapat mendirikan Badan Usaha Milik Desa. Pasca keberlakuan Undang-Undang Nomor 11 Tahun 2020 tentang Cipta Kerja yang telah menegaskan kedudukan BUM Desa sebagai badan hukum. Penulis selanjutnya melihat adanya isu hukum yaitu apakah Interpretasi Bentuk Badan Usaha Milik Desa Pada Undang-Undang Nomor 11 Tahun 2020 tentang Cipta Kerja peraturan pelaksanaannya, serta implikasi yuridis pengaturan tersebut. Berdasarkan isu hukum tersebut di atas, maka penelitian ini bersifat “normatif” (dogmatik), dengan menggunakan pendekatan yakni : statute approach (pendekatan perundang-undangan). Hasil pembahasan pada penelitian ini adalah bahwa Undang-Undang Nomor 11 Tahun 2020 tentang Cipta Kerja dan peraturan pelaksananya yaitu Peraturan Pemerintah Nomor 11 Tahun 2021 Tentang Badan Usaha Milik Desa telah menegaskan kedudukan BUM Desa sebagai badan hukum, tetapi mengenai apa bentuk badan hukumnya hal ini belum diatur secara jelas dan tegas. Undang-Undang Nomor 11 Tahun 2020 tentang Cipta Kerja justru memuat norma yang membuka ruang multi tafsir mengenai bentuk badan usaha dari BUM Desa dan mengaburkan status BUM Desa sebagai badan hukum publik.

Abstract

AbstractThis research aims to analyze existing norms conflict between Article 16 Paragraph (1) c of Act No. 2 of 2014 on the Amendment Act No. 30 of 2004 concerning Notary which provides that the Notary required to attach the fingerprint of the parties facing the Minuta Deed, and Article 77 of Act No. 40 of 2007 on Limited Liability Company which provides that the Annual General Meeting of Shareholders (AGMS) through media teleconference, videoconference, or other means of electronic media. It also examines the juridical implications of the Notary and Acts of the AGMS through electronic media if the Notary does not fulfill the obligation to attach the fingerprint of the parties facing the Minuta Deed. To answer the above norm conflict, the type of research conducted by researchers is a normative juridical research using the statute approach and conceptual approach. The results of this research, that there is a conflict of norms in the form of obscurity norm, disharmony and emptiness norm in the relevant legislation. Regarding the juridical implications of the notary when not fulfilling the obligation to attach the fingerprint of the parties facing the Minuta Deed, then the notary may be subject to sanctions pursuant to Article 16, paragraph (11) of Act No. 2 of 2014 on the Amendment of Act No. 30 of 2004 on the Notary. As against the deed of the AGMS, fingerprint embedding function within minutes of notarial deed is not a legal action to determine the validity or authenticity of the certificate, but only serves to ensure the correctness identity of the facing parties. AbstrakPenelitian ini bertujuan menganalisa konflik norma yang ada antara Pasal 16 Ayat (1) huruf c Undang-undang Nomor 2 Tahun 2014 tentang Perubahan Undang-undang Nomor 30 tahun 2004 tentang Jabatan Notaris yang mengatur bahwa Notaris wajib untuk melekatkan sidik jari penghadap pada Minuta Akta, demikian dengan Pasal 77 Undang-undang Nomor 40 tahun 2007 tentang Perseroan Terbatas (UUPT) yang mengatur bahwa penyelenggaraan Rapat Umum Pemegang Saham (RUPS) melalui media telekonferensi, video konferensi, atau sarana media elektronik lainnya. Selain itu juga mengkaji implikasi yuridis terhadap Notaris dan akta RUPS melalui media elektronik apabila Notaris tidak memenuhi kewajiban untuk melekatkan sidik jari penghadap pada minuta akta. Untuk menjawab konflik norma tersebut di atas, jenis penelitian yang dilakukan oleh peneliti adalah penelitian yuridis normatif dengan menggunakan pendekatan statute approach (pendekatan perUndang-undangan) dan conceptual approach (pendekatan konsep). Hasil penelitian, bahwa terjadi konflik norma berupa kekaburan norma, disharmonisasi maupun kekosongan norma di dalam peraturan perUndang-undangan terkait. Mengenai implikasi yuridis terhadap Notaris apabila tidak memenuhi kewajiban untuk melekatkan sidik jari penghadap pada minuta akta, maka Notaris dapat dikenai sanksi sesuai pasal 16 ayat (11) Undang-undang Nomor 2 Tahun 2014 Tentang Perubahan Atas Undang-undang Nomor 30 Tahun 2004 Tentang Jabatan Notaris. Sedangkan terhadap akta RUPS, fungsi melekatkan sidik jari dalam minuta akta Notaris bukan suatu tindakan hukum dalam menentukan keabsahan atau otentisitas dari akta tersebut melainkan hanya berfungsi untuk menjamin kebenaran identitas penghadap.

Abstract

For a legal entity, legality is the most important element, because it indicates a state of legality or legitimacy so that it is recognized by law and society as a legal subject. Limited Liability Company, requires a special establishment procedure to legalize legal entity status, as stated in Article 109 number 2 Law Number 6 of 2023 concerning Stipulation of Government Regulation in Lieu of Law Number 2 of 2022 concerning Job Creation to become Law which has changed the arrangements regarding the establishment of a Limited Liability Company which was previously regulated in Article 7 of the Law Number 40 of 2007 concerning Limited Liability Companies. After the amendment, the arrangement regarding the acquisition of Limited Liability Company legal status is “after being registered with the Minister and obtaining proof of registration”. The Research Team sees a legal issue, namely whether changing the arrangement meets the principle of clarity of formulation as stipulated in Article 5 letter f of Law Number 12 of 2011 Concerning the Establishment of Legislation. Furthermore, the Research Team also analyzed the proper legal reconstruction in the regulation regarding the acquisition of Limited Liability Company Legal Entity status, so that the principle of clarity of formulation was fulfilled as one of the principles for the Formation of good Legislation. This research is a type of normative juridical research using statutory and conceptual approaches. Based on the analysis of the Research Team, the arrangement regarding the time of acquiring the legal status of a Limited Liability Company does not meet the clarity principle of the formulation. While the proper legal reconstruction is to provide a formulation that uses a choice of words or terms, as well as the clarity of legal language in which understandable so that it minimizes the excessive interpretations in its implementation.
