Abstract

Applying the principle of good faith in the choice of law is one of the most common problems of international business contract, particularly in foreign direct investment contracts. The implementation of the principle of good faith in the choice of law increasingly reduced by the emergence of some problems in the investment contract, which of course, the most aggrieved entities are domestic investors who also host country. The choice of law has an important role in the contract because it concerns the interests of each of the parties, and the principle of good faith as a priority principle of international contract law should be applied as the basis for determining the choice of law for the parties to a contract. This paper examines the principle of good faith in the choice of law to realize justice among the parties with different laws, especially on private and public investment contracts between foreign investors and domestic investors in Indonesia, in the process of formation, implementation, or post-contract. This paper is legal research that is normative, meaning that this research is based on the prevailing laws and regulations in Indonesia. Then, the approach used is statute approach and conceptual approach. So it is expected that between the rules and the concept of existing topics will be aligned. Keywords: Choice of Law, Foreign Direct Investment Contracts, Principles of Good Faith.

Abstract

One alternative to accelerate infrastructure development in Indonesia is by involving the private sectors in the financing and development. In principle, Public Private Partnerships (PPP) can be classified into two, namely: a partnership project which idea came from the initiation of the government (solicited) and partnership project which idea came from the initiation of the business entities (unsolicited). To facilitate the implementation of the Public Private Partnership (PPP), the financing instruments that exist currently may be used to support the implementation of the Public Private Partnership (PPP). The importance of involving a third party other than investor and the government is related to the fulfillment of capital requirements and risks sharing in the event of loss. Although the rules clearly have been enacted, the infrastructure projects in Public Private Partnership (PPP) seem less attractive to investors. One of the causes is that the capital required by investors is too great with very high risk when investment in infrastructure is slow yielding. It is important to propose the scheme of sustainable financing which may allocate the PPPs’ risks proportionally.Until now, the government is too fixated with large cooperation projects with the private sectors, while the scheme offered is a Build-Operation-Transfer (BOT) scheme. This scheme is sometimes burden the investors, because the greatest risk is in the hands of investors. Regarding the financing of the Public Private Partnership (PPP), conventional financing such as a bank guarantee or sharia financing (‘kafalah’) can be carried out. Two such financing can be used in the Public Private Partnership (PPP), so it will increase the interest of investors to build infrastructure using Public Private Partnership (PPP). It is because such financing can overcome the difficulties of gaining large capital and also reduce the burden of risk borne by investors.

Abstract

Setiap warga negara Indonesia memiliki hak yang sama dalam hal mendapatkan kesehatan, pedidikan dan pekerjaan yang layak. Hal tersebut merupakan amanah dari Undang-Undang Dasar Republik Indonesia yang harus diwujudkan oleh Pemerintah. Untuk itu perlahan namun pasti, Pemerintah telah mensosialisasikan beberapa program yang pro rakyat, salah satunya adalah dengan menghadirkan program Badan Penyelenggara Jaminan Sosial (BPJS). BPJS memiliki 2 program besar yaitu dalam hal kesehatan dan ketenagakerjaan. Untuk pendampingan ini lebih di fokuskan kepada BPJS Ketenagakerjaan. Hal ini karena di beberapa daerah masih banyak dijumpai ketidak pahaman atau bahkan tidak peduli terhadap program BPJS Ketenagakerjaan ini, terutama bagi pengusaha atau si pemberi kerja. Jika hal ini terus terjadi maka hak-hak para pekerja akan terabaikan dan tentu akan merugikan para pekerja itu sendiri. Sehingga dengan adanya pendampingan ini, diharapkan para pengusaha nantinya akan lebih peduli terhadap kesejahteraan dan keselamatan pekerja. Pada pendampingan ini pula, nantinya akan di berikan tutorial terkait bagaimana cara mendaftarkan para pekerja ke BPJS Ketenagakerjaan. Selain itu akan di beri penjelasan pula terkait hak dan kewajiban sebagai anggota dari BPJS Ketenagakerjaan, serta tidak lupa cara mengajukan klaim apabila ada pekerja yang mengalami kecelakaan saat menjalankan pekerjaannya. Pendampingan ini dilakukan di Kediri, dengan sasaran utamanya adalah pekerja tradisonal.

Abstract

AbstractOne of the Government’s efforts to develop the tourism sector is to line up in villages. Some villages that have natural potential have been developed into tourist villages. The development of tourist villages is not only in nature which is the attraction but also can be a means of education that must be optimized. Gerbo Village is one of the villages in the Pasuruan area that seeks to develop its educational tourism. An understanding of the legal aspects, including permits, business contracts, and so on, needs to be given to village officials, tourism awareness groups, and the local community. This goal is intended as a preventive effort to prevent legal problems that may arise in the future.Keywords: Tourism; Villages; Permits; Business Contract.AbstrakSalah satu upaya Pemerintah untuk pengembangan sektor kepariwisataan adalah berlini pada desa. Beberapa desa-desa yang mempunyai potensi alam di kembangkan menjadi desa wisata. Pengembangan desa wisata tidak hanya pada alam yang menjadi daya tarinya, namun juga bisa menjadi sarana edukasi yang harus dioptimalkan, Hal inilah yang dilakukan oleh Desa Gerbo, salah satu desa di kawasan Pasuruan yang berupaya untuk mengembangkan wisata edukasi yang dimiliki. Pemahaman mengenai aspek hukum yang meliputi perizinan, kontrak bisnis, dan sebagainya perlu untuk diberikan bagi perangkat desa, kelompok sadar wisata dan juga masyarakat setempat. Tujuan tersebut diperuntukkan sebagai upaya preventif untuk mencegah problematika-problematika hukum yang kemungkinan timbul di kemudian hari.Kata Kunci: Kepariwisataan; Desa; Perizinan; Kontrak Bisnis.

Abstract

Recent development to claim damages on the basis of either wanprestatie or onrechtmatige daad would not provide saticfactory grounds to the question of justice. There will be a situation in which that no one shall be unjustly enriched at the expense of another which all outside the scope of contract and tort. This has led to the existence of an independent legal doctrine known as unjust enrichment. It is among the most debated private law subjects today in asking for justice. Corrective justice brings to the remedial relation between the plaintiff and the defendant; it is solely concerned with the norm of justice that provides reasons to restitution. Corrective justice properly evaluates the structure of injustness to the both sides, the plaintiff and the defendant. It gives effect to restitutionary proprietary interests rather than compensatiton. This article elaborates the law of unjust enrichment as ground for restitution in conjunction with the corrective justice. Furthermore, this article focuses on the theoritical foundation of corrective justice to meet the unjustified enrichment criteria.

Abstract

Perkembangan dalam dunia bisnis meningkat dalam era globalisasi seperti saat ini, salah satu contohnya, semakin banyaknya masyarakat yang melakukan kegiatan investasi online. Namun, seiring dengan berkembangnya dunia bisnis, banyak juga masalah-masalah dalam investasi online yang bermunculan. Pada masa pandemic seperti saat ini, hampir seluruh kegiatan dilakukan secara online, kegiatan tindak kriminal pun bisa dilakukan dengan online, salah satunya di bidang investasi online, banyak juga pihak-pihak tidak bertanggung jawab yang menggunakan kesempatan ini untuk menjebak para calon penanam investasi online ke dalam investasi palsu miliknya. Oleh sebab itu, demi kepentingan nasional dan kesejahteraan umum, maka penting diadakannya penyuluhan kepada masyarakat tentang investasi online guna memberikan bekal bagi masyarakat dalam penyelenggaraan investasi online. Adapun metode yang akan digunakan dalam kegiatan ini adalah (1) Metode Pendekatan terhadap Tokoh Kunci, (2) Kelas Pendampingan Hukum Investasi Online dan (3) Metode Diskusi Partisipatif. Dari kegiatan penyuluhan hukum tentang aspek legalitas investasi online ini masyarakat diharapkan mendapat pemahaman mengenai legalitas investasi online, sehingga mampu membedakan dan menghindarkan diri mereka dari investasi palsu. Legal Counseling on Legal Aspects of Online Investment Developments in the business world are increasing in the era of globalization as it is today; one example is the increasing number of people who carry out online investment activities. However, as the business world develops, there are also many problems in online investment have emerged. During a pandemic like today, almost all activities are carried out online, and criminal activities can also be carried out online, one of which is in the field of online investment; many irresponsible parties use this opportunity to trap prospective online investment growers into their fake investments. Therefore, for the sake of national interest and general welfare, it is important to hold counseling to the public about online investment to provide provisions for the public in the implementation of online investment. The methods that will be used in this activity are (1) Approach Method to Key Figures, (2) Online Investment Legal Assistance Class, and (3) Participatory Discussion Method. From this legal counseling activity on the legality aspects of online investment, the public is expected to understand the legality of online investment to distinguish and avoid themselves from fake investments.

Abstract

Financial technology has become an inseparable part of people’s life activities. As technology advances, financial technology makes it easy for people to get instant cash loans to fulfil their needs in life, known as the peer-to-peer lending concept. In Indonesia, this concept is known as Information Technology-Based Joint Funding Services. In practice, the implementation of peer-to-peer lending is often confused by the implementation of online loans that are not registered and do not have any permission from the Financial Services Authority. Various problems arise from the existence of illegal online loans, for example, very high interest rates and collections with pressure and intimidation, which can bring losses to the debtor. This encourages the need for community empowerment activities in Tawangmangu Subdistrict, Karanganyar Regency, Central Java Province regarding the legal aspects of information technology-based joint funding services so as to avoid legal problems related to such lending and borrowing methods. This community service aims to provide insight and increase community literacy to increase the community’s ability to understand the various risks and efforts that can be taken regarding problems arising from online loans. The method used is socialisation and consultation on the problems faced. The results obtained from this activity include increased public knowledge and solutions to the problems faced.   Abstrak Pemberdayaan Masyarakat Tawangmangu dalam Ekonomi Digital: Literasi Hukum tentang Peer-to-Peer Lending dalam Perspektif Hukum Pidana dan Hukum Perdata. Financial technology telah menjadi bagian yang tidak terpisahkan dari aktivitas kehidupan masyarakat. Sebagai teknologi, financial technology memberikan kemudahan bagi masyarakat untuk mendapatkan pinjaman dana instan dalam rangka memenuhi kepentingan dalam kehidupannya yang dikenal dengan konsep peer to peer lending. Di Indonesia, konsep ini dikenal dengan nama Layanan Pendanaan Bersama Berbasis Teknologi Informasi. Dalam praktiknya, penyelenggaraan peer to peer landing seringkali menjadi rancu dengan adanya penyelenggaraan pinjaman online yang tidak terdaftar dan tidak memiliki izin dari Otoritas Jasa Keuangan. Berbagai masalah yang timbul dari adanya Pinjaman Online illegal misalnya bunga sangat tinggi maupun penagihan yang disertai tekanan danintimidasi yang dapat membawa kerugian bagi masyarakat. Hal ini mendorong diperlukannya kegiatan pemberdayaan masyarakat Kecamatan Tawangmangu, Kabupaten Karanganyar, Propinsi Jawa Tengah mengenai aspek hukum Layanan Pendanaan Bersama Berbasis Teknologi Informasi sehingga terhindar dari masalah hukum yang berkaitan dengan metode pinjam meminjam seperti itu. Pengabdian kepada Masyarakat ini bertujuan untuk memberikan wawasan dan peningkatan literasi masyarakat untuk meningkatkan kemampuan masyarakat memahami berbagai risiko dan upaya yang dapat dilakukan terkait permasalahan yang timbul dari pinjaman online. Metode yang digunakan adalah sosialisasi dan konsultasi permasalahan yang dihadapi. Hasil yang diperoleh dari kegiatan ini adalah meningkatnya pengetahuan masyarakat dan solusi atas permasalahan yang dihadapi.

Abstract

The Indonesian government carries out goods/services procurement activities in the framework of the welfare of its people. From time to time the procurement of goods/services has developed and, in the current digital era, it has begun to switch to electronic-based procurement. To answer the challenges of these developments, as well as to prevent fraud or violations of the law, a solid system is needed that can accommodate all of this. The blockchain concept can be an alternative to answer this issue because the blockchain system has advantages in terms of security and transparency. The research method used in this article is legal research with a statute and conceptual approach. The purpose of this article is to become a reference regarding the probability of using the blockchain system in the law of procurement of goods and services in Indonesia. The findings of this study are that no country has yet implemented a blockchain system for the procurement of goods/services. Blockchain technology has been implemented by the private sector, namely by Walmart, Nestle, and Unilever who use blockchain technology as the basis of their supply chain management which, with this system, can increase effectiveness and efficiency as well as afford a good level of security. Thus the blockchain system for procuring goods/services in Indonesia can be a method that can be applied to increase efficiency and aspects of transparency to reduce misuse in the procurement of goods/services.
