Abstract

The authors have presented a snapshot of Indonesia’s legal system in a manner that breaks down the justification, significance and definitions of the country’s past and existing laws. Delivered in the format of a monograph, Lindsey and Butt were able to masterfully deduce as well as extract key points relating to the basic foundation of the country’s laws. The book underlines the importance of understanding history before delving into the law, such is the case in the book’s writing on the Constitution, in which the country’s state ideology was first explained and its developments detailed through the account of Indonesia’s formative years.

Abstract

Recently, there have been several cases of default that have caused unrest in the community, one of which is that the Investment Company, the State and OJK have an important role in supervising and protecting the law and its various regulations. In view of this default, it is important to avoid and to prevent the same case and also to provide special protection to investors. This study aims to analyze the responsibilities of investment companies and examine and examine more deeply how the legal protection for investors. The research method used in this research is normative juridical and analytical descriptive research, namely by solving the problem being investigated by describing the current state of the research object based on visible facts, which is then analyzed through applicable regulations. The results of the study show that investment companies in the event of default (default) Investor protection is needed in the form of information disclosure, and also the existence of collateral (collateral) accompanied by the existence of reserve funds or known as sinking funds. Apart from that, preventive and repressive legal protection as well as the application of sanctions that are up to date are deemed necessary to be presented from the Laws and Regulations of the Financial Services Authority (POJK). because it is an institution that has the authority to protect investors' legal rights, so that in the future there will not be a similar case in case of default, because investors get rights and legal protection.

Abstract

This undergraduate thesis discusses the analysis of local content requirements for the electric vehicle industry in Presidential Regulation Number 55 Year 2019 regarding the Acceleration of Battery-Based Electric Vehicles Program for Road Transportation in terms of its compliance with the regulations in the General Agreement on Tariffs and Trade (GATT) and the Agreement on Trade-Related Investment Measures (TRIMs Agreement). The research in this undergraduate thesis is juridical normative. The results of this research conclude that the provisions of local content requirements in Presidential Regulation Number 55 Year 2019 Regarding Acceleration of Battery-Based Electric Vehicles Program for Road Transportation are not in accordance with the regulations of the GATT and the TRIMs Agreement. Article 17 states that companies that meet the requirements of Local Content Value (TKDN) as mentioned in Article 8 can receive fiscal and non-fiscal incentives from the government. This is inconsistent with the provisions of the TRIMs agreement as well as Article III:2 and Article III:4 of the GATT. Therefore, the Indonesian government must make adjustments to the local content requirements for electric vehicles in Presidential Regulation Number 55 Year 2019 so that it is more consistent with its obligations as a member country of the World Trade Organization (WTO).

Abstract

Artikel ini menganalisis tentang keabsahan surat kuasa yang dikeluarkan oleh direksi yang telah berakhir masa jabatannya dan dampaknya terhadap sahnya Rapat Umum Pemegang Saham Luar Biasa (RUPSLB) pada saat terjadi kekosongan jabatan direksi. Artikel ini menyoroti pentingnya prosedur yang tepat dalam RUPSLB untuk memastikan keabsahan tindakan pengesahan yang dilakukan oleh mantan direktur, serta konsekuensi hukum yang mungkin timbul jika prosedur tersebut tidak diikuti. Dengan menggunakan pendekatan metodologi doktrinal, penelitian ini menggali asas-asas hukum dari undang-undang dan putusan pengadilan, serta menghubungkan norma-norma hukum dengan peristiwa-peristiwa yang relevan. Analisis menunjukkan bahwa apabila surat kuasa yang dijadikan dasar penyelenggaraan RUPSLB dikeluarkan oleh direksi yang telah habis masa jabatannya, maka RUPSLB tersebut menjadi tidak sah. Oleh karena itu, pengesahan tindakan direksi yang telah berakhir masa jabatannya tidak dapat dilakukan tanpa mengikuti tata cara RUPSLB yang benar, yaitu pemegang saham meminta pelaksanaan RUPSLB melalui Pengadilan Negeri atau melalui keputusan sirkuler oleh pemegang saham di luar RUPSLB. Ketidakpatuhan terhadap prosedur RUPSLB dapat mengakibatkan batalnya tindakan yang telah diratifikasi.

Abstract

Tulisan ini menganalisis bagaimana proses penerbitan serta bentuk tanggung jawab dari akuntabilitas hasil investasi Blue Bond yang diterbitkan oleh Indonesia di Pasar Obligasi Jepang. Tulisan ini disusun dengan menggunakan metode penelitian doktrinal. Indonesia menerbitkan Blue Bond di Pasar Obligasi Jepang pada tahun 2023 untuk mendukung proyek-proyek yang memperhatikan kelestarian laut sesuai dengan kerangka kerja Republic of Indonesia SDGs Government Securities Framework dan panduan Blue Finance yang diterbitkan oleh ICMA. Penerbitan Blue Bond oleh Indonesia ini dapat menegaskan dukungan Indonesia terhadap sustainable financing. Dikarenakan Blue Bond diterbitkan di Pasar Obligasi Jepang, penting untuk memastikan bahwa proses penerbitannya sesuai dengan peraturan yang berlaku, seperti Peraturan Menteri Keuangan No. 215/PMK.08/2019 tentang Penjualan dan Pembelian Kembali Surat Utang Negara dalam Valuta Asing di Pasar Internasional. Selain itu, penting juga untuk diketahui mengenai bagaimana bentuk tanggung jawab dari akuntabilitas hasil investasi Blue Bond terhadap para investor. Hal ini penting dilakukan untuk menjaga integritas Indonesia di pasar sustainable financing dunia. Langkah-langkah konkret yang dapat dilakukan Indonesia antara lain dengan menggunakan framework yang diterima oleh investor, menyusun laporan tahunan, serta melakukan external review. Dengan demikian, Indonesia dapat membangun reputasi yang kuat dalam komunitas keuangan global sebagai negara yang bertanggung jawab secara ekologis dan berkomitmen terhadap pembangunan berkelanjutan.
