Abstract

This research aims to determine the reasons for the invalidity of deeds of sale and purchase agreements, power of attorney for sale and purchase, and/or release of rights to objects mortgaged to banks, as well as the legal consequences of this invalidity. The research methode used is normative juridical, where theoretical aspects are analyzed and interpreted. Secondary data originating from primary and secondary legal sources is the basis for research. Primary legal sources include authoritative legal documents, while secondary legal sources include publications about law such as books, texts, legal journals, and comments on court decisions. then processed and studied using qualitative descriptive methods. The research results show that the causes of the invalidity of the deed can be explained by several factors. First, a power of attorney to sell does not have executory power to settle debts, and the absolute prohibition on the use of power is particularly important in the context of property sales. Second, the principle that the granting of power of attorney must be in line with the rights of the person giving the power of attorney is very important in determining the validity of these documents. The Sales and Purchase Agreement (PPJB) also plays an important role in ensuring there is a clear understanding of the rights and obligations in the legal relationship between the seller and the buyer. The notary as the official in charge of making deeds must ensure that the legal documents he makes comply with the provisions of the laws and regulations. Non-compliance can result in losses for all parties involved, especially in terms of rights protection and legal certainty.

Abstract

The development of information technology has influenced contract law, particularly in electronic transactions such as clickwrap and browsewrap agreements. This study examines the binding force of both agreement types from the perspective of Indonesian contract law and core legal principles such as freedom of contract and good faith. Using a normative juridical method and both statutory and conceptual approaches, the study analyzes relevant legislation and finds that clickwrap agreements are more binding due to explicit consent, while browsewrap agreements are often disputed due to the lack of clear user assent. For validity, general contract requirements and information transparency must be fulfilled. This research recommends updating electronic contract regulations and strengthening the principle of informed consent in digital transactions to ensure legal certainty.

Abstract

ABSTRAKPraktik outsourcing di Indonesia menjadi strategi umum perusahaan untuk menekan biaya dan meningkatkan fleksibilitas kerja. Namun, praktik ini sering menimbulkan masalah ketidakadilan bagi pekerja, terutama terkait perlindungan hak-hak dasar seperti upah layak, kepastian hubungan kerja, dan jaminan sosial. Artikel ini membahas bagaimana hukum ketenagakerjaan Indonesia mengatur praktik outsourcing serta sejauh mana prinsip keadilan sosial diterapkan dalam perlindungan pekerja outsourcing. Fokus kajian adalah Putusan Mahkamah Agung Nomor 517 K/Pdt.Sus-PHI/2019, yang menjadi preseden penting dalam perlindungan pekerja kontrak. Hasil kajian menunjukkan bahwa regulasi yang berlaku, seperti UU No. 13 Tahun 2003 dan UU Cipta Kerja, belum memberikan kepastian hukum yang memadai. Banyak perusahaan menggunakan celah hukum untuk menghindari tanggung jawab terhadap pekerja outsourcing. Putusan MA No. 517/2019 menyatakan bahwa pekerja yang menjalankan tugas inti perusahaan tidak boleh dikontrak melalui perjanjian kerja waktu tertentu (PKWT) dan harus mendapat hak sebagaimana pekerja tetap, termasuk pesangon dan perlindungan PHK. Putusan ini menunjukkan bahwa Mahkamah Agung menempatkan prinsip keadilan sosial sebagai pertimbangan utama dalam menyelesaikan sengketa hubungan industrial. Putusan ini tidak hanya melindungi pekerja dalam kasus tersebut, tetapi juga menjadi dasar bagi pembaruan kebijakan ketenagakerjaan yang lebih adil.Kata Kunci: Outsourcing; Keadilan Sosial;Hukum Ketenagakerjaan; Perlindungan Pekerja; Putusan Mahkamah Agung.

Abstract

This study aims to analyze and examine the extent to which legal certainty is realized in fulfilling leave rights for outsourced workers employed by vendor companies in Indonesia. The main focus is to examine vendor responsibilities following the enactment of Law Number 11 of 2020 concerning Job Creation and Government Regulation Number 35 of 2021. The research method used is normative juridical, focusing on the analysis of statutory regulations and principles of employment law. The results show that, normatively, legal certainty regarding leave rights has been guaranteed and is binding on vendor companies. This is based on the principle that vendor companies have full responsibility as direct employers for workers, and are therefore obliged to fulfill all normative rights, including a minimum of 12 working days of annual leave and various special leaves as stipulated in Article 79 of the Manpower Law as amended by the Job Creation Law. This certainty is reinforced by the provision that vendors are responsible for all work conditions and any disputes that arise. Despite the strong legal basis, implementation in the field faces challenges, primarily due to the complexity of the triangular employment relationship (worker-vendor-client). Coordination between workers, vendors, and service providers often creates bureaucratic hurdles in the leave application process, potentially reducing the operational certainty of these rights. Furthermore, variations in Employment Agreements drawn up by vendors can create uncertainty in implementation. The study concluded that enforcing legal certainty depends heavily on consistent supervision by the Manpower Office and the vendor company's obligation to explicitly and consistently include leave rights in employment contracts. The existence of legal sanctions for employers who violate leave obligations underscores the legal enforcement instruments available to protect the rights of outsourced workers.
