Abstract

Penelitian ini berfokus pada pertanggungjawaban notaris dalam pengesahan Akta Pernyataan Keputusan Rapat Umum Pemegang Saham Luar Biasa (RUPS-LB) No.103, berdasarkan putusan nomor 41 PK/Pid/2021, dan kedudukan akta tersebut yang dibuat berdasarkan putusan nomor 635 PK/Pdt/2020. Studi ini bertujuan untuk memahami peran notaris dalam kasus-kasus pemalsuan yang melibatkan RUPS, mengingat seringnya notaris terjerat dalam masalah hukum terkait pemalsuan dalam akta. Studi ini menggunakan metode penelitian hukum normatif yuridis dengan studi kasus. Hasil penelitian menunjukkan bahwa 1) Notaris tidak dapat dimintakan pertangung jawaban hukum secara pidana atas pembuatan Akta Pernyataan Keputusan Rapat Umum Pemegang Saham Luar Biasa PT. BRM No.103, karena pembuatan akta PKR Luar Biasa, yang dibuat berdasarkan Berita Acara Rapat Umum Pemegang Saham Luar Biasa (RUPSLB) PT. Bali Rich Mandiri (PT.BRM) , dibawah tangan dan dilakukan secara sirkuler (Circuler Resolution) sah dan mengikat hasilnya menurut pasal 91 UUPT No. 40 tahun 2007. 2) RUPS di bawah tangan atau Pengambilan Keputusan di Luar RUPS adalah prosedur yang banyak terjadi di perseroan-perseroan. Prosedur tersebut dianggap sah dan mengikat serta dilindungi oleh Undang-Undang Perseroan Terbatas selama memenuhi peraturan dan persyaratan yang berlaku

Abstract

Moral law in the application of the principle of recognizing service users by notaries is the main principle in using notary authority in limited liability company change transactions, where steps and actions are implemented to ensure that notaries carry out their duties by complying with the quality of complying with the law, being independent, neutral, and adhering to ethics. notary profession and preventing money laundering crimes. This is in line with integrity, justice and moral principles that apply in law, both in the government environment and in the community that uses notary services. The position of the principle of recognizing service users for notaries based on legal morals is illustrated through two main aspects. First, the internal aspect which involves internal monitoring and sanctions mechanisms that ensure notaries comply with these principles through a supervision system within notary organizations and supervisory councils in the DKI Jakarta area. Second, external aspects through coordination with government agencies or policy makers to ensure notaries can implement the principle of recognizing service users, including through outreach activities and compliance audits in the DKI Jakarta area

Abstract

The notary makes a deed in the form of a PPJB deed based on a power of attorney agreement, which means that a legal relationship exists between the giver and the recipient of the power of attorney based on an agreement. The authority of a Notary to make an Authentic Deed comes from the provisions of Article 15 paragraph (1) UUJN. In order to avoid violations that could lead to Notarial actions that could be charged by criminal articles, Notaries in making Authentic Deeds, especially PPJB deeds, must always pay attention to the applicable legal rules. The formulation of the problem in this research is that regarding the position of the PPJB deed, it is known that the object is still in dispute in court and the legal consequences of the PPJB. This thesis uses normative legal research methods (library) with qualitative analysis of secondary data to obtain conclusions about the position of the PPJB deed, it is known that the object is still in dispute in court and is invalid because the legal act of buying and selling through the PPJB does not meet the requirements. the validity of the agreement regulated in Article 1320 of the Civil Code and the material requirements in making a PPJB deed. As a legal consequence of the PPJB deed, it is known that its object is still under dispute in court, namely that it is null and void and is not binding on the parties who made it. So, the achievements that have been made will return to normal. Apart from that, this results in the Notary being asked to take responsibility under UUJN and the code of ethics in making PPJB deeds where it is known that the object is still in dispute in court.
