Abstract

Pengadaan Barang dan Jasa menetapkan prosesnya melalui Swakelola dan Penyedia. Hubungan hukum Pengadaan barang/jasa yang digunakan adalah surat perintah kerja (SPK). SPK adalah adalah surat yang digunakan untuk memberikan perintah kepada seseorang agar melakukan suatu pekerjaan. Keberadaan SPK muncul sebagai bagian dari proses terlaksananya pengadaan barang/jasa yang merupakan program kerja pemerintah yang sangat signifikan, untuk memacu pertumbuhan dan perkembangan potensi ekonomi nasional. Tujuan dilakukan penelitian ini untuk mengetahui kekuatan hukum mengikat dari surat perintah kerja menurut hukum perjanjian di Indonesia. Penelitian ini menggunakan metode yuridis normatif dengan memiliki sifat deskriptif analitis serta menggunakan analisis data yakni data kulitatif. SPK merupakan proses pelaksanaan pengadaan barang dan jasa yang melibatkan para pihak dengan memberikan adanya hak dan kewajiban yang telah disepakati dan mengikatkan dirinya dalam suatu perjanjian yang sesuai dengan hukum perjanjian di Indonesia. Kata Kunci : Kekuatan Hukum Mengikat dan Surat Perintah Kerja

Abstract

One of the updates presented through UUCK also has an impact on the provisions in UUPT, namely the recognition of a legal entity of an Individual PT that meets the criteria of micro and small businesses that do not require a Notary deed in the process of establishing it. The simplification of these provisions has brought in practice various problems. The absence of a notary position in the establishment of an Individual PT can result in a legal vacuum when determining the clarity of the deed and the authenticity of the deed that is opened online in recording the establishment of an Individual PT. This research is a normative juridical legal research with a descriptive research nature. The research approach uses a regulatory approach (statutory approach) and a contextual approach (conceptual approach). The data used is secondary data consisting of primary, secondary and tertiary legal materials. Data collection techniques and tools use literature studies and field studies through interviews with Notaries, the Regional Office of Law and Human Rights and banks. Based on the research results, it was found that the non-obligation to establish an Individual PT using a Notarial Deed aims to make it easier for MSMEs to develop their businesses by forming a legal entity in the form of a Limited Liability Company at a low cost and quickly as long as it meets the MSME criteria. However, on the other hand, the establishment of an Individual PT does not provide legal certainty because a notarial deed is seen as binding and perfect evidence. A notary is able to guarantee the capabilities of the founder through the company's deed of establishment and is able to provide legal certainty.

Abstract

Monopolistic practices arise when one or more business entities dominate the production and/or distribution of certain goods and services, resulting in unfair business competition. Article 17 of Law No. 5 of 1999 regulates monopolistic practices. The company handling the export transportation of transparent lobster seeds is called Aero Citra Kargo. It is one of the companies holding an Export Time Determination Letter, which is required for exports. In November 2020, Aero Citra Kargo became the market leader in the transportation of lobster seed exports. Aero Citra Kargo was found to have violated Article 17 in 2021. To address the Aero Citra Kargo issue, the Commission used competition law regulations, such as Government Regulation No. 44 of 2021, Competition Commission Regulation No. 1 of 2019, and Law No. 5 of 1999. By collecting secondary data encompassing primary, secondary, and tertiary legal materials, the author employed a normative literature review research method. In this case analysis, the Rule of Reason approach was applied. This method demonstrates that Aero Citra Kargo has eliminated competition in the market for export transportation services for lobster larvae in Indonesia. The Decision of the Business Competition Supervisory Commission No. 04/KPPU-I/2021 shows that Aero Citra Kargo was proven to be involved in monopolistic practices. This decision was supported by the facts of the trial and the Rule of Reason approach. Therefore, the company was not subject to fines because it did not have the ability to pay.
