Abstract

Suatu hubungan bisnis dan perjanjian, selalu ada kemungkinan timbulnya sengketa. Sengketa menurut kamus bahasa indonesia adalah sesuatu yang menyebabkan perbedaan pendapat,pertengkaran, perbantahan, pertikaian, perselisihan. Menurut hukum, sengketa hukum terjadi apabila terdapat salah satu dari dua orang atau lebih yang saling mengikat diri keperdataannya terhadap apa yang diperjanjikan. Dalam proses penyelesaian sengketa, pelaku usaha membutuhkan kepastian dan perlindungan hukum demi terjaminnya kelangsungan kegiatan ekonomi. Salah satu cara penyelesaian sengketa diluar pengadilan adalah arbitrase, cara penyelesaian sengketa di luar pengadilan iniyang paling disukai oleh para pengusaha, karena dinilai sebagai cara yang paling serasi dengan kebutuhan dalam dunia bisnis. Permasalahan yang akan dibahas pada penelitian ini adalah bagaimana upaya penerapan “keuntungan dan kekurangan dari penyelesaian sengketa melalui arbitrase terhadap sengketa antara investor asing dan partner lokal”, kemudian efektivitas Peranan BAPMI dalam penyelesaian sengketa pasar modal, dan gagasan keterbukaan untuk umum atau disebut open baar dalam arbitrase. Permasalahan tersebut akan dianalisis dengan metode penelitian normatif, yang menggunakan bahan hukum dengan membaca dan mempelajari bahan hukum primer maupun sekunder yang telah ada untuk dijadikan acuan. Berdasarkan hasil penelitian diketahui bahwa arbitrase luar negeri sebagai tempat penyelesaian sengketa memiliki banyak keuntungan dibandingkan kerugiannya, Rendahnya jumlah sengketa pasar modal yang diselesaikan melalui arbitrase BAPMI, dan dibutuhkannya Gagasan keterbukaan untuk umum atau disebut open baar dalam arbitrase.

Abstract

Introduction: The principle of Dalihan Natolu regulates three important aspects of vertical relationships between descendants, horizontal relationships between siblings, and relationships with the wider community. Dalihan Natolu reflects three important pillars, namely Hula-hula (in-laws), Dongan Sabutuha (brothers), and Boru (daughters).Purposes of the Research:  The purpose of this article is to the settlement of inheritance disputes can be pursued through customary mediation using the Dalihan Natolu customary principle.Methods of the Research: This research is a normative legal research, namely legal research to examine a norm, principle and/or legal doctrine.Results of the Research: The results of the research obtained are as follows: First, the process of resolving inheritance disputes through Dalihan Natolu customary mediation emphasizes the value of deliberation and local wisdom. In practice, Dalihan Natolu functions as a mediator who creates conducive dialog conditions between the disputing parties, involving three important elements: Hula-hula, Dongan Sabutuha, and Boru. Second, the legal position of the Dalihan Natolu customary mediation decision in inheritance disputes has an important role both socially and culturally. Although this mediation decision does not have formal legal force, it is respected by indigenous people and serves as a strong moral basis.

Abstract

Acquisition (takeover) can be one of the company's development strategies for the economic interests of each takeover company or company that is taken over, one way of acquisition is carried out through a share sale and purchase agreement, either all or most of the company's shares which results in the transfer of control of the company. In this case, it will be reviewed regarding the acquisition made by a subsidiary of PT Krakatau Steel with PT Chandra Asri Petrochemical in accordance with applicable regulations. The purpose of this writing is to find out how the acquisition process occurred at PT Krakatau Steel with PT Chandra Asri Petrochemical. Next to find out what legal consequences occur after the acquisition. The research method used in this study is normative juridical, which is based on positive legal rules or norms through the relevant legislation. The research specification used is descriptive analysis, which is carried out by analyzing and describing completely and thoroughly which is associated with legal theory regarding the process and legal consequences of the acquisitions made by the two companies above. Based on the writing, it was obtained: First, the acquisition made between Krakatau's subsidiary and CAP is categorized as a vertical acquisition with the aim of strengthening the supply chain of business fields carried out by CAP. Then the process of acquiring shares carried out by CAP against KSI through its subsidiaries, namely KTI and KDL is by purchasing shares in each company as stated in the Deed of Takeover. Second, due to the law of the acquisition of PT Krakatau Daya Listrik and PT Krakatau Tirta Industry by PT Chandra Asri Petrochemical Tbk is a change in control of PT Krakatau Daya Listrik company by PT Chandra Asri Petrochemical, changes in shareholder composition, as well as the obligation to report material information to OJK and the public as well as notification to KPPU regarding the takeover. Acquisitions can also have an effect on the company's structure and workforce structure.
