Abstract

Hukum perusahaan Indonesia didasarkan pada asas legalitas, terutama melalui Undang-Undang No. 40 Tahun 2007 tentang Perseroan Terbatas, yang menetapkan kerangka peraturan yang terperinci. Rapat Umum Pemegang Saham (RUPS) berdiri sebagai otoritas tertinggi dalam tata kelola perusahaan, dengan kekuasaan yang melebihi yang dipegang oleh Dewan Direksi dan Dewan Komisaris. Studi ini berfokus pada validasi yuridis keputusan RUPS, memanfaatkan Putusan Pengadilan Negeri Jakarta Barat No. 825/PDT.P/2019/PN JKT.BRT untuk menjelaskan implikasi hukum dalam rapat pemegang saham dan pengambilan keputusan. Mengadopsi metode penelitian hukum normatif, penelitian ini menganalisis hukum perundang-undangan, keputusan pengadilan, dan komentar akademis melalui analisis kualitatif. Temuan utama menunjukkan bahwa RUPS memiliki wewenang eksklusif atas tindakan perusahaan yang penting, seperti menyetujui laporan tahunan dan laporan keuangan, dengan prosedur yang diwajibkan oleh hukum termasuk pemanggilan tepat waktu, kuorum mayoritas, dan pemungutan suara yang ditetapkan secara resmi. Pasal 78 mengamanatkan rapat tahunan dalam waktu enam bulan setelah akhir tahun fiskal. Studi ini menggunakan Teori Keagenan untuk menjelaskan hubungan principal-agent antara pemegang saham dan manajemen, dengan menyoroti RUPS sebagai mekanisme pengawasan. Terdapat kesenjangan yang signifikan dalam Undang-Undang Perseroan Terbatas: meskipun direksi dan komisaris bertanggung jawab secara individual atas kegagalan, sanksi eksplisit bagi perusahaan yang mengabaikan RUPS wajib masih kurang, sehingga melemahkan tata kelola perusahaan yang baik dan perlindungan pemegang saham. Penelitian ini menyimpulkan bahwa reformasi hukum diperlukan untuk penegakan hukum dan akuntabilitas yang lebih efektif. Putusan pengadilan Jakarta yang dikutip memberikan yurisprudensi penting, yang menekankan kepatuhan dan perlindungan pemangku kepentingan dalam tata kelola perusahaan.

Abstract

Online loans that make it easy to get funding turn out to have a negative effect. In some cases, it can be found that there are debtors who choose to end their lives because they are not mentally strong in facing the threat accompanied by the spread of personal data. Lack of caution in filling out the terms and conditions submitted makes the chances of personal data leakage even greater. For this reason, legal protection is needed for debtors in terms of personal data. The purpose of the research is to find out the implementation of personal data rules in online loan transactions linked to the UUPK, to know the legal protection of debtors against personal data that is leaked without the knowledge of the debtor and what legal remedies can be taken by debtors in the misuse of personal data. The method uses a normative juridical approach, with secondary data in the form of data obtained based on literature studies and supporting data. There are still collection actions carried out by one of the online loan application services by distributing the debtor's personal data to several contacts of fellow debtors either through SMS or email short messages. This is contrary to the UUPK and also POJK 22/2023 Article 62 paragraph (2) letter c which explains that collection officers are not allowed to collect from parties other than Consumers.

Abstract

Penelitian ini bertujuan untuk menganalisis pengelolaan sampah di Tempat Pembuangan Akhir (TPA) Jalupang Desa Wancimekar Kabupaten Karawang, dampaknya terhadap kesehatan masyarakat, serta efektivitas pengaturan berdasarkan Undang-Undang Nomor 32 Tahun 2009 dan Peraturan Daerah Kabupaten Karawang Nomor 9 Tahun 2017. Metode penelitian yang digunakan adalah penelitian hukum empiris dengan pendekatan perundang-undangan, konseptual, dan sosiologis. Data diperoleh melalui observasi, wawancara, dan studi dokumentasi, kemudian dianalisis secara deskriptif kualitatif. Hasil penelitian menunjukkan bahwa pengelolaan sampah di TPA Jalupang masih menggunakan metode open dumping dan controlled landfill. Praktik open dumping serta pembakaran sampah yang tidak terkontrol menimbulkan pencemaran udara dan air, serta berdampak pada kesehatan masyarakat, seperti diare, penyakit kulit, dan gangguan pernapasan. Dari aspek yuridis, pengelolaan sampah telah diatur dalam Peraturan Daerah Kabupaten Karawang Nomor 9 Tahun 2017, namun implementasinya belum berjalan secara optimal karena lemahnya pengawasan dan kurangnya sarana pendukung. Kesimpulannya, terdapat kesenjangan antara ketentuan hukum dengan praktik di lapangan, sehingga diperlukan peningkatan pengawasan, perbaikan sistem pengelolaan sampah, serta partisipasi masyarakat guna meminimalkan dampak negatif terhadap lingkungan dan kesehatan.

Abstract

The increasing incidence of drug abuse among street children in Karawang Regency has become a serious social and legal concern. As a vulnerable group, street children often fall victim to drug exploitation due to the absence of family supervision and their exposure to high-risk environments. This study aims to analyze the victimological factors that make street children vulnerable to drug abuse and to interpret this phenomenon through the Lifestyle Exposure theory. Using an empirical juridical method, this research combines normative analysis of legal regulations with field studies through interviews with street children, law enforcement officials, the National Narcotics Agency of Karawang Regency, and social institutions. The findings reveal that economic hardship, social pressure, and a lack of legal awareness significantly contribute to children’s exposure to drugs. In the context of Lifestyle Exposure theory, their street-based lifestyle increases the likelihood of contact with perpetrators and risky situations. Legally, these children qualify as potential victims requiring special protection. Therefore, integrated efforts between government institutions, law enforcement, and the community are urgently needed to strengthen prevention, protection, and rehabilitation mechanisms for street children affected by drug abuse.

Abstract

The circulation of cosmetics containing hazardous dyes remains a serious problem in Indonesia despite being regulated under Law No. 8 of 1999 on Consumer Protection. Based on findings by the Indonesian Food and Drug Administration (BPOM) in 2025, cosmetic products containing hazardous substances that pose potential health risks to consumers are still being found. This study aims to analyze the government’s role through the BPOM in overseeing the circulation of cosmetics containing hazardous dyes, as well as to analyze the form of liability of business operators for consumer losses based on Articles 4, 7, 8, 19, 29, and 30 of Law No. 8 of 1999 on Consumer Protection. The research method used is a normative legal approach with a legislative and conceptual framework, utilizing secondary data comprising primary, secondary, and tertiary legal sources through a literature review. The research findings indicate several issues in the oversight of hazardous cosmetics, namely the suboptimal post-market supervision of products circulating in digital media, weak oversight of product distribution in regional areas, and the persistent discrepancy between the registered product composition and the products actually circulating in the market. Furthermore, business operators continue to violate regulations by selling products containing hazardous dyes despite existing prohibitions in the law. Businesses fulfill their responsibilities through product recalls, suspension of distribution, revocation of marketing authorizations, and compensation for consumers. Therefore, it is necessary to strengthen BPOM oversight, enhance monitoring of digital distribution, and enforce the law more rigorously to ensure optimal consumer protection.

Abstract

This study aims to analyze the evidentiary strength of receipts as proof in land sale transactions and the legal implications on the validity of agreements and transfer of rights when the seller’s whereabouts are unknown, as reflected in Decision Number 11/Pdt.G/2024/PN Majalengka. The research employs a normative juridical method with statutory and case approaches. The results indicate that a receipt, as a private document, has valid evidentiary value under Articles 1866 and 1874 of the Civil Code, provided it is supported by other evidence such as witness testimony, village records, and physical possession of the land. Although not executed in the form of a Sale and Purchase Deed (AJB), the agreement remains materially valid as it fulfills the requirements of Article 1320 of the Civil Code. However, administratively, the transfer of land rights cannot be registered without an AJB as required by Government Regulation No. 24 of 1997. In cases where the seller cannot be located, a court decision serves as a substitute legal basis to ensure legal certainty and protect good faith buyers.

Abstract

This study examines legal protection for consumers using online motorcycle taxi services in areas commonly referred to as red zones of conventional motorcycle taxi bases. The issue arises due to operational restrictions imposed on online motorcycle taxi drivers in certain areas, which limit consumers’ ability to freely choose transportation services. The purpose of this research is to analyze the forms of legal protection for consumers and the responsibilities of service providers and the government in ensuring consumers’ freedom to choose transportation services. This research uses a normative legal research method with statutory and conceptual approaches through the analysis of legislation, legal literature, and legal doctrines related to consumer protection and transportation services. The results indicate that legal protection for consumers of online motorcycle taxi services is guaranteed through consumer protection regulations that recognize the rights of consumers to safety, comfort, and freedom to choose services. In addition, the responsibility of service providers and the government is essential in ensuring a fair transportation system that provides legal certainty for society. Therefore, cooperation between service providers and the government is necessary to ensure optimal protection of consumer rights.
