Abstract

The purpose of this study is to find out waqf land as debt security in Tandem Hilir Village, Hamparan Perak District, Deli Serdang Regency and also to find out waqf land as debt security according to Islamic law and Law No. 41 of 2004. This study used a descriptive method of analysis. This type of research is empirical research, the research used in this research is qualitative method. The collection technique in this study used interviews, observation, and documentation. The problem with the waqf land used as collateral for the debt occurred because of the ignorance of the waqf where his brother made the waqf land as collateral for debt, so that the waqf land could not be used as the initial designation of the waqf land for the expansion of the mosque area, until now the problem has not been resolved because the waqf's brother has not settled the debt, so the waqf land is still a collateral for the debt. Basically, changes in designation are not allowed, because it has been regulated by Law Number 41 of 2004 concerning Waqf article 40 that waqf assets are prohibited for collateral, confiscated, granted, sold, bequeathed, exchanged, transferred in other forms of transfer of rights. The criminal provisions regarding waqf land as debt security are regulated in Law No. 41 of 2004 Article 67. With the existence of criminal provisions and sanctions for perpetrators who violate the rules of Law No. 41 of 2004 concerning Waqf article 40, making it a person who commits the violation deterred with legal consequences and makes the community reluctant to violate.

Abstract

Keadilan Restoratif atau Restorative justice dalam penyelesaian tindak pidana di Indonesia diatur Peraturan Polri Nomor 8 Tahun 2021 tentang Penanganan Tindak Pidana berdasarkan Keadilan Restoratif. Dalam Upaya Penyelesaian Tindak Pidana Penipuan Terhadap Perusahaan Asuransi Jiwa Bersama Bumiputera 1912 Jakarta, Keadilan Restoratif telah diterapkan berulang kali. Spesifikasi penelitian ini adalah deskriptif analitis. Pendekatan yang digunakan adalah pendekatan yuridis normatif yang didukung dengan pendekatan yuridis empiris dengan penelitian ke lapangan yaitu di Kantor Pusat Asuransi Jiwa Bersama Bumiputera 1912 Jakarta. Berdasarkan hasil penelitian, diperoleh Pertama, penerapan Restorative Justice dalam penyelesaian tindak pidana penipuan terhadap perusahaan Asuransi Jiwa Bersama Bumiputera 1912 telah memenuhi seluruh syarat formil dan materil penerapan Restorative Justice yang tercantum Peraturan Polri Nomor 8 Tahun 2021 tentang Penanganan Tindak Pidana berdasarkan Keadilan Restoratif. Kedua, Upaya Penanggulangan Tindak Pidana Penipuan Terhadap Perusahaan Asuransi Jiwa pada Asuransi Jiwa Bersama Bumiputera 1912 terbagi menjadi dua yaitu tindakan Represif dan Preventif.

Abstract

The principle of freedom of contract is a principle that is used as the basis for the existence of standard contracts in regulating legal relations between business actors and consumers, but the application of this principle requires that the parties to the contract have a balanced position so that the rights and obligations, provisions in the contract can accommodate all interests. the parties. Freedom of contract is an essential legal aspect of individual freedom. In its development, it turns out that freedom of contract can bring injustice because this principle can only achieve its goal, namely bringing optimal welfare as possible if the parties have balanced bargaining power. In reality, this often does not happen so the state considers it necessary to intervene to protect the weak party. The imbalance in the position of business actorsa and consumers causes the provisions in standard agreements to be more profitable for business actors and detrimental to consumers. Therefore, it is necessary to limit the application of the principle of freedom of contract in standard contracts by enforcing regulations that prohibit certain clauses from being included in standard contracts, as well as monitoring the use of standard contracts in business activities.

Abstract

Law Number 40 of 2007 concerning Limited Liability Companies provides that the Board of Directors is a company organ with authority and full responsibility for managing the company for the interests of the company in accordance with the company's aims and objectives, as well as representing the company, both inside and outside the court in accordance with the provisions articles of Association. Just as humans who have organs that are subject to the will of the human brain, the analogy is that directors often appear as the personification of the legal entity itself, namely a Limited Liability Company with the limitation that the scope of the business established must not conflict with morality, public order and statutory regulations. invitation. In Indonesia, in general the responsibilities of directors are divided into two stages, namely before the Limited Liability Company obtains status as a legal entity and after the Limited Liability Company obtains status as a legal entity. In relation to the composition and number of directors in a company, generally it consists of one director. Procedures for nominating, appointing, replacing (changing) and dismissing members of the board of directors are regulated in the articles of association of a company. GMS decisions regarding the appointment, replacement and dismissal of members of the board of directors should determine when the appointment, replacement and dismissal of one or more members of the board of directors will come into effect. If the appointment of the director is the first director, then the appointment must be stipulated in the deed of establishment. As a result of the legal consequences of not including the first director in the deed of establishment, the Minister can declare that the establishment of the company is invalid according to law. This research was conducted using normative juridical research methods.

Abstract

The role of transparency and legal certainty in business contracts is crucial to prevent failures. This research, conducted through case study analysis and qualitative research methods, found that transparent business contracts, where the rights and obligations of the parties are clearly defined, significantly reduce the risk of misunderstandings and enhance trust among the involved parties. Meanwhile, legal certainty establishes a solid foundation, providing guidance for dispute resolution and reinforcing the integrity of business relationships. This study delves into the dynamics of transparency and legal certainty in the contract theory proposed by Roscoe Pound. Against the backdrop of rapid changes in the global business environment, questions about the extent to which Pound's concepts of legal certainty and transparency can be applied and integrated into modern business contract practices become paramount.The analysis indicates that while legal certainty is a key element in building a stable legal foundation, transparency is necessary to facilitate legal adaptation to social and economic changes, as grounded in Pound's research. The most significant findings of this study reflect the tension between the need for high legal certainty and the need for transparency to address the complexities of the modern market. In the context of Pound's theory, social justice through law is a crucial foundation in the design and implementation of business contracts. This study not only contributes to the understanding of Roscoe Pound's contract theory but also provides new insights into how these concepts can be applied in the dynamic legal and business framework of today. It is recommended that business practitioners collaborate with legal professionals and governments to establish clearer guidelines on transparency and legal certainty. In an increasingly complex business era, these steps are expected to assist business practitioners in building relationships based on integrity, trust, and long-term success.

Abstract

Komitmen Indonesia dalam mempercepat pembangunan iklim investasi yang kondusif ditunjukkan dengan diterbitkannya Keputusan Presiden (Keppres) pada tanggal 4 Mei 2021 yang tertuang dalam Nomor 11 Tahun 2021 tentang Gugus Tugas Percepatan Penanaman Modal. Untuk mewujudkan program tersebut, penanaman modal memerlukan peran aktif dengan pengawasan, termasuk penyelesaian kendala terkait dunia usaha dan pelaksanaan usaha oleh Satgas Percepatan Penanaman Modal yang telah dibentuk dan diluncurkan oleh pemerintah. Metode penelitian yuridis normatif digunakan dalam karya ilmiah ini. Penelitian hukum kepustakaan dilakukan dengan cara meneliti bahan pustaka atau data sekunder yang berkaitan dengan topik penelitian. Penelitian ini menghasilkan suatu rumusan dimana penyusunan peta proyek strategis yang dilakukan pemerintah dibarengi dengan kajian informatif yang komprehensif mengenai studi kelayakan yang membutuhkan biaya yang tidak sedikit. Sehingga investor akan mendapatkan sinyal baik (good news) atau sinyal buruk (bad news) dalam menjalankan usahanya. Lebih lanjut, pemerintah hendaknya memberikan peraturan atau kebijakan paten, mulai dari perizinan, serta ketersediaan lahan dan kepastian hukum, tanpa mengurangi keberpihakan pihak-pihak tertentu.

Abstract

This study aims to examine the dynamics of resolving disputes arising from unilateral termination of employment (PHK) through litigation involving severance pay. This case study analyzes the Decision of the Industrial Relations Court at the District Court of Pekanbaru Number 80/Pdt.Sus-PHI/2021/PN Pbr. The research method employed is empirical research, involving the analysis of legal documents and data examination. The research findings reveal factors influencing the resolution of such cases, including applicable legal provisions, judicial considerations, and legal strategies employed by the parties involved in the litigation. Additionally, the study also scrutinizes the social and economic impacts of severance pay in the context of unilateral employment termination. The implications of these research findings are expected to provide insights for legal practitioners, companies, and employees in addressing similar situations in the future.

Abstract

This research explore the aspect of legal protection of brand rights users by other registered brands ini Indonesia based on the Law Number (No.) 20 of 2016 on Trademark and Geographical Indicatios. Brand holds important role in the world of trade and economics, create a crucial legal protection of infringement prevent that could harm brand owners. This research review the mechanism of legal protection that applied for registered brands and conflict resolution procedure related to brand right users by other registered brands in the same classification. This research describe that Indonesia has a suffice legal framework in legal protection with Law Number (No.) 20 of 2016 on Trademark and Geographical Indicatios as the main law. Registered brand owner gets 10 years legal protection that can be extended, give them legal certainty while running their business. For further, various types of sanctions, not only criminal, civil, but also administrative, available to handle trademark infringements. Nonetheless, this research aslo indentify challenges, especially in knowledge and awareness of trademark protection. Both law subjects and government need to perform more effective socialization and actively solve this problem to increase the awareness of trademark registration. To be concluded, comprehensive knowledge of trademark protection and the awareness of trademark registration is the main element to support business growth and trademark protection in Indonesia. In this context, the effective law enforcement becomes important to prevent trademark infringements and maintain public justice.

Abstract

This research discusses the judicial review Unfair Business Competition Against Large Businesses and MSMEs in the Perspective of Law no. 20 of 2008. The primary focus of the study is the violation of Article 35 paragraph (1) of Law No. 20 of 2008 concerning Micro, Small, and Medium Enterprises, which prohibits "large enterprises from owning and/or controlling MSMEs as partners in their partnership relationships." Through a case study of the decision by the Business Competition Supervisory Commission (KPPU), this research analyzes the legal implications of such violations and their impact on business competition. The research methodology involves legal analysis and the comparison of related cases. The findings reveal the importance of law enforcement in maintaining a fair and healthy business competition environment, safeguarding MSMEs, and promoting sustainable economic development. These findings provide insights for policymakers and legal practitioners in preserving fair and equitable business competition within the MSME sector.
