Abstract

Penerapan post merger notification yang diberlakukan di Indonesia sangat mempersulit dalam pelaporannya itu sendiri dan keuangan para pelaku usaha. Hal tersebut, karena beban yang ditanggung oleh pelaku usaha tidak hanya proses pelaporan tetapi juga besarnya denda yang didapat jika terjadi keterlambatan pelaporan. Mengingat, merger dan akuisisi dilakukan untuk memaksimalkan nilai perusahaan bagi pemegang saham. Melakukan merger dan akuisisi mengarah pada posisi dominan dan praktik monopoli. Oleh karena itu, merger, dan akuisisi memerlukan persetujuan KPPU. Namun, permintaan persetujuan dilakukan sebelum atau setelah transaksi dijalankan. Pelaporan akan dilakukan setelah transaksi dilakukan dengan menggunakan standar yang ditetapkan oleh peraturan Pemerintah berdasarkan Undang-Undang Nomor 5 Tahun 1999. Penelitian ini menunjukkan efektivitas laporan yang dijalankan setelah terjadinya transaksi. Penelitian ini menggunakan pendekatan hukum, pendekatan kasus, dan pendekatan komparatif. Pendekatan komparatif dengan membandingkan hukum beberapa negara lain. Kajian tersebut sampai pada kesimpulan bahwa transaksi nilai tertentu harus dilaporkan ke KPPU agar tidak menimbulkan ketidakpastian dan biaya transaksi yang tinggi. Selain itu, regulasi Indonesia tidak serupa  dengan transaksi di negara lain, khususnya ASEAN yang menerapkan sistem pre-merger. Kata kunci: Keterlambatan Pelaporan Pengambilalihan Saham Perusahaan, Sistem Post Merger, Notification, Undang-Undang Persaingan Usaha di Indonesia.   AbstractThe application of post merger notification in Indonesia makes it very difficult for the reporting itself and the finances of business actors. This is because the burden that is borne by business actors is not only the reporting process but also the amount of fines obtained if there is a delay in reporting. Given, mergers and acquisitions are carried out to maximize the value of the company for shareholders. Performing mergers and acquisitions leads to dominant positions and monopolistic practices. Therefore, mergers and acquisitions require KPPU’s approval. However, approval requests are made before or after the transaction is executed. Reporting will be carried out after the transaction is carried out using the standards set by government regulations based on Law Number 5 of 1999. This study shows the effectiveness of reports that are carried out after the transaction occurs. This research uses a legal approach, a case approach, and a comparative approach. Comparative approach by comparing the laws of several other countries. The study came to the conclusion that certain value transactions must be reported to KPPU so as not to cause uncertainty and high transaction costs. In addition, Indonesian regulation is not similar to transactions in other countries, particularly ASEAN that implemented pre-merger notification system. Abstract

Hukum Persaingan Indonesia menganut sistem post-merger notification setelah tanggal berlaku efektif yuridis merger dan akuisisi telah mengakibatkan keterlambatan notifikasi oleh pelaku usaha. Di masa pandemi Covid-19, kurun waktu 1 tahun lebih (11 Februari 2020 sampai dengan 11 April 2021), KPPU telah memeriksa dan memutus 17 (tujuh belas) perkara keterlambatan notifikasi yang memenuhi batasan nilai aset dan/atau nilai penjualan dan berakibat wajib dinotifikasi tetapi terlambat karena ketidaktahuan pelaku usaha. KPPU dalam putusan menjadikan ketidaktahuan pelaku usaha sebagai alasan yang meringankan sanksi denda keterlambatan. Majelis KPPU dalam 6 (enam) putusannya memberlakukan ketentuan penyerahan salinan dokumen jaminan bank sebesar 20% (dua puluh persen) dari nilai denda kepada KPPU paling lama 14 (empat belas) hari kerja setelah menerima pemberitahuan putusan ini, jika Terlapor mengajukan keberatan. Di masa mendatang, diharapkan KPPU menjadikan alasan ketidaktahuan pelaku usaha sebagai alasan memberatkan karena kebijakan notifikasi ini telah berlaku sejak ditetapkannya PP No.57 Tahun 2010. Kata Kunci: Merger, Notifikasi, Keterlambatan, Ketidaktahuan.   AbstractIndonesia’s Competition Law adopts a post-merger notification system after the legally effective date of merger and acquisition has resulted in notification delays by business actors. During the Covid-19 pandemic, for more than 1-year (11 February 2020 to 11 April 2021), KPPU has examined and decided 17 (seventeen) cases of late notification which meet the limits on asset value and/or sales value and result in mandatory notification but late because of ignorance of business actors. KPPU in its decision made the ignorance of business actors as a reason to ease the late penalty fine. The KPPU Assembly in its 6 (six) decisions enforces a provision for submitting a copy of the bank guarantee document in the amount of 20% (twenty percent) of the value of the fine to the KPPU no later than 14 (fourteen) working days after receiving the notification of this decision if the Reported Party submits an objection. In the future, it is hoped that KPPU will use the reasons for the ignorance of business actors as a burdensome reason because this notification policy has been in effect since the enactment of Government Regulation No. 57 of 2010. Abstract

Perpindahan ibu kota negara sebagai upaya untuk pemerataan ekonomi sehingga perlu ditinjau dari beberapa aspek terutama dalam aspek ekonomi, hukum dan masyarakat. Tinjauan umum dalam perpindahan ibu kota negara pada aspek persaingan usaha tentu menjadi hal yang menarik untuk dikaji sebagaimana terdapat investor yang akan masuk dalam proses pembangunan ibu kota negara. Permasalahan pada penelitian ini adalah apa saja faktor yang melatarbelakangi perpindahan ibu kota negara dalam pemulihan ekonomi dan bagaimana dampak perpindahan ibu kota negara terhadap pemulihan ekonomi. Tujuan penelitian untuk mengkaji dan menganalisis faktor dan dampak perpindahan ibu kota negara dalam pemulihan ekonomi. Pemulihan ekonomi tentu berhubungan dengan konsep ekonomi pembangunan hingga iklim persaingan usaha pada pelaku usaha sehingga penting untuk melihat aspek persaingan usaha hingga peran Komisi Pengawas Persaingan Usaha (KPPU) dalam menjaga iklim persaingan usaha. Hasil penelitian ini tentu menjelaskan faktor dan dampak perpindahan ibu kota negara dalam pemerataan ekonomi yang berakibat pada pemulihan ekonomi. Peran Usaha Mikro Kecil dan Menengah (UMKM) dalam pemulihan ekonomi sangatlah penting salah satunya terciptanya lapangan kerja. Beberapa negara yang berhasil memindahkan ibu kota negara salah satunya Kazakhstan sebagaimana terdapat pertimbangan sebelum perpindahan ibu kota negara sehingga Negara Indonesia dapat mencontoh atau dapat gambaran terhadap proses perpindahan ibu kota negara. Perpindahan ibu kota negara tidak hanya sekedar memindahkan pusat Pemerintahan namun ada beberapa hal yang perlu diperhatikan terutama masyarakat di wilayah Provinsi Kalimantan Timur. Kesimpulan dari penelitian ini bahwa perpindahan ibu kota negara harus mencerminkan masa depan bangsa Indonesia sehingga perpindahan ibu kota negara tidak hanya sekedar memindahkan atau memisahkan pusat Pemerintahan dan bisnis namun ada nilai dan norma yang diterapkan dalam perpindahan ibu kota negara. Pemerataan ekonomi akan memberikan peluang bagi pelaku usaha di wilayah timur sehingga menumbuhkan daya tarik pelaku usaha untuk menciptakan lapangan kerja sehingga terjadinya pemulihan ekonomi di wilayah tersebut. Abstract The relocation of national’s capital as an effort for the economic equity need to be studied/reviewed from several aspect especially within economic, legal and society aspect. An overview in national’s capital relocation within business aspect surely will become an interesting thing to be reviewed as for the investors who will join in the process of national capital development. This research aims to study and analyze about the factors and impacts of national capital relocation within economic recovery. The economic recovery is definitely related to the concept of economic development as well as the business competition’s scene for the business actors for it is essential to look up the aspect of business competition up to the role of business competition supervisory commission in maintaining the scene of business competition. The result of this research explained about the factors and impacts of the national’s capital relocation within economic equity which caused the economic recovery. Micro, Small and Medium Enterprises (MSME) has very important roles in economic recovery which one of them is the jobs creation. There are some countries that have succeeded in relocated their national capital, one of them is Kazakhstan which has some consideration before doing the relocation of national capital as for Indonesia can imitate or get an overview to the process of national capital relocation. The national’s capital relocation is not only about relocating the central government yet there are several things need to be concern of especially relate to the society in the East Kalimantan Province. This research conclude that the national capital relocation need to reflect the future of Indonesian so that it won’t be just relocating or separating the central government and business but also having the applied values and norms in the national’s capital relocation. The economic equity will provide the opportunities for business actors in eastern region in rising the business actors’ attractiveness to creating jobs field as well as the economic recovery in the region. Abstract

Penelitian ini bertujuan untuk menganalisis perlindungan hukum pelaku usaha pesaing terhadap penyalahgunaan posisi dominan yang dilakukan oleh pelaku usaha yang memiliki kekuatan secara ekonomi yang memungkinkan untuk beroperasi di pasar tanpa terpengaruh oleh persaingan dan melakukan tindakan yang dapat mengurangi persaingan, serta penerapan azas rule of reason dalam posisi dominan sesuai dengan ketentuan Undang-Undang Nomor 5 Tahun 1999 tentang Larangan Praktik Monopoli dan Persaingan Usaha Tidak Sehat. Metode yang digunakan adalah metode penelitian normatif. Penelitian ini menunjukkan bahwa perlindungan yang diberikan kepada pelaku usaha pesaing adalah dapat melaporkan ke Komisi Pengawas Persaingan Usaha (KPPU), dalam hal ini KPPU dalam penerapannya dapat menggunakan azas rule of reason. Kata Kunci: Dominan; Rule reason; Perlindungan.   AbstractThis study aims to analyze the legal protection of competing business actors against abuse of dominant position by business actors who have economic power that allows them to operate in the market without being affected by competition and take actions that can reduce competition, as well as the application of the rule of reason principle in a dominant position. In accordance with the provisions of law number 5 of 1999 concerning the prohibition of Law Number 5 Year of 1999 concerning the prohibition of monopolistic practices and unfair business competition. The method used is normative research method. This research shows that the protection given to competing business actors is that they can report to the KPPU, in this case KPPU in its application could use the rule of reason principle. Abstract

Through this paper, the author will describe about the probability of Predatory Pricing practices using the proceeds of crime as a business capital in Indonesia, and the sanctions that should be imposed on such cases. This research is motivated by the potential for business actors to carry out predatory pricing because they have additional capital power that comes from criminal acts, which has happened in Pennsylvania in the 'Pizza Connection Case'. The type of research used in this paper is normative research with a conceptual, statute, and comparative approach. Through this paper, it can be concluded that: (a) In the scheme of using proceeds of crime in the business sector, the use of proceeds of crime as company capital can raise the probability of predatory pricing in the business sector, which causes competitors to go out of business, as in the case of the 'pizza connection cases' in Pennsylvania; and (b) In the event of a predatory pricing practice using the proceeds of a criminal act as business capital, business actors may be charged with money laundering, business competition crimes, and predicate crimes. As for the company itself, it is possible to be subject to money laundering by a corporation.

Abstract

Green Economy is a medium that can reduce the adverse effects of climate change. However, the implementation of the Green Economy sometimes encounters obstacles in the prohibition of unfair business competition and monopolistic practices. In fact, the legal aspects of business competition can promote and accelerate the implementation of the Green Economy. The researcher analyzed the concept of Green Economy, Rule of Reason, and various cases such as “Washing Machine” and “Chicken for Tomorrow” to support this research. The results obtained by the researchers are: (1) environmental aspects have not been explicitly recognized in business competition law in Indonesia but can be interpreted as being included in the phrase "public interest" (2) the inclusion of explanations regarding environmental aspects can create legal certainty and legal benefits for business owners and society, (3) in applying concessions for the sake of the environment, as long as it makes a "significant" contribution to the environment, concessions should still be given even though it is detrimental to consumers in a cost-benefit analysis. Thus, Indonesia needs to firmly recognize the environmental aspects of business competition law in Indonesia to accelerate the implementation of the Green Economy. Abstract

This study aims to examine more deeply the pricing carried out by clinic service providers in the Gilimanuk area by using the views of Law No. 5 of 1999 concerning Prohibition of Monopoly Practices and Unfair Business Competition. This research is empirical juridical research and using a sociological juridical approach, the data collected is primary and secondary data with data collection methods through observation, interviews, and documentation studies. This research in data processing and analysis goes through several stages: Editing, Classifying, Analyzing, and Verification. Pricing below the market price that is only done by a certain group of swab service providers causes losses and even the closure of competitor swab clinic businesses, although setting prices is the freedom of each company but according to Article 20 of the Law. No. 5 of 1999, the act of pricing below market prices does not need to be based on an agreement to prove legal or illegal, because the truth can be seen from the economic influence that has been compiled in a rule of reason, it is verified until the determination of prices destroys the market and seeks to eliminate its competitors at below prices in general. Abstract

Abstrack Conspiracy is one of the activities that often occurs in the government procurement process of goods and services. The occurrence of conspiracy has the potential to cause state losses due to the end user unable to obtain goods/services with competitive prices. KPPU as a quasi-judicial has made Compliance Program Guidelines as one of the instruments in the framework of establishing fair business competition which is a derivative form of Law No. 5/1999. However, KPPU requires a strategy so that the Compliance Program Guidelines can run effectively for business entity. Referring to the Competition Compliance Toolkits compiled by the Association of Southeast Asian Nations (ASEAN), it is necessary to understand the role of KPPU and business entity, increase awareness and inculcate a culture of fair business competition, establish measurable policies and its business processes, conduct training and also self-assessment for the implementation of the Compliance Program Guidelines under KPPU’s supervision. The Indonesian Government also has to reformulate persuasive regulations, so that business entity could voluntarily comply with Law No. 5/1999.

Abstract

The Omnibus Law concept is a scheme to build the economy to attract investors and be a solution to simplify many regulations and it is hoped to create a more conducive investment climate, overcome overlapping regulations and reduce problems in the bureaucracy. Looking at the contents of the Articles of the Job Creation Law, it is known that there are substantial changes to the Law on the Prohibition of Monopolistic Practices and Unfair Business Competition relating to law enforcement on the prohibition of monopolistic practices on Indonesian business competition, changes to objections from the District Court to the Commercial Court, the abolition of the period for reading the decision on objections and cassation by the Commercial Court and the Supreme Court, the abolition of the maximum fine limit, the elimination of criminal threats for violations of monopolistic practices. The formulation of the problem is whether the legal certainty of the rules of monopolistic practice and unfair business competition in the law on job creation. The purpose of this research is to analyze legal certainty and analyze the legal implications it causes. The type of research used in this scientific paper is a normative juridical research type.

Abstract

Pandemi Covid-19 sudah terjadi selama 2 (dua) tahun. Dampak yang diberikan pandemi ini sangat berpengaruh pada sektor perekonomian. Banyak perusahaan besar maupun kecil yang mengalami kebankrutan. Usaha kecil seperti UMKM dapat membuat perjanjian kemitraan dengan usaha besar, guna menyelematkan perekonomiannya. Dengan menggunakan metode yuridis normatif, diharapkan penelitian ini dapat memberikan gambaran yang dapat dijadikan sebagai evaluasi bagi pelaksanaan pengawasan hubungan kemitraan. Penelitian ini berfokus pada pelaksanaan pengawasan hubungan kemitraan yang dilakukan oleh KPPU di masa pandemi Covid-19.. Didapatkan dalam penelitian ini bahwa pengawasan hubungan kemitraan yang dilakukan di masa Pandemi Covid-19 sudah sangat baik. Hal ini terlihat dari kasus Putusan Perkara No. 16/KPPU-K/2019. Pengawasan dan penanganan kasus sudah sesuai dengan PP No. 17 Tahun 2013 tentang pelaksanaan UU No. 20 Tahun 2008 tentang Usaha Mikro, Kecil, dan Menengah.  Kata kunci: Hubungan Kemitraan; UMKM; Pandemi.   Abstract The COVID-19 pandemic has been going on for 2 (two) years. The impact of this pandemic has greatly affected the economic sector. Many companies, large and small, have gone bankrupt. Small businesses such as MSMEs can make partnership agreements with large businesses, in order to save their economy. By using a method called normative juridical, This research has a goal to provide an overview that can be used as an evaluation for the implementation of partnership relationship supervision. This research will focus on the implementation of supervision of partnership relations carried out by KPPU during the COVID-19 pandemic. It was found that the supervision of partnership relations carried out during the COVID-19 Pandemic was very well. This can be seen from the case of Decision No. 16/KPPU-K/2019. Supervision and handling of cases is in accordance with Government Regulations No. 17 of 2013. Keywords: Partnership Relation; Small and Medium Enterprise; Pandemic.
