Abstract

The provisions regarding a director’s power in Indonesia is stipulated in UUPT (the Law on Limited Company) Article 103, its explanation and the company’s article of association. The director’s power shall be subject to the provisions in Article 123 of HIR and SEMA No. 1/1971 in conjunction with SEMA No. 6/1994 regarding Special Power of Attorney. The position of the General Manager of PT.Pelindo I (Persero) was considered as the Branch Head of the port appointed and terminated by the board of directors. The General Manager could represent the company in and out of the court based on the Decree of the General Manager’s Appointment, the power delegation was determined in the director’s decree, and a special power of attorney was granted from the board of directors to represent the company in and out of the court where the details written in the power of attorney. The legal consequence of this power transfer from the Board of Directors to the General Manager to represent the company was that the board of directors was obliged to fulfill the agreement made by the general manager based on his power. Abstract

ABSTRACT As the incumbent leader who gained the trust of stakeholders, shareholders to carry out the duties and responsibilitieshis responsibility. Abstract

ABSTRACT A contract is a legal act which is in line with the formalities of the prevailing rules, depending upon the agreeing statement of the wish of two or more parties other party’s burden or for the sake of the interest of and on the burden of each party mutually. The result of the research showed that some factors which cause problematic financing were economic factor, the complaint of fraud by a debtor, deptor character, and the priority of other urgent uses. When a problematic financing occursuch as the case of Said Fahli, PT Astra Credit Company (ACC), Medan branch would take actions by intern solution, followed by the solution by Astra Credit Company (ACC) Jakarta. Some abstacles in solving problematic finance are deptors good faith, debetor’s complaint about the execution of fiduciary collateral, complaint about the sale price of fiduciary collateral, and the vehicle is in the hand of the third party. It is recommended that in other to decrease the factors which cause the debtor’s problematic financing related to his character (good faith), Astra Credit Company (ACC) should make stricter the analysis which is related to thedebtor’s data and make cross-check with those who know the debror well. It is also recommended that persuasive approach should be given the priority in order to know the factors which cause the debtor not to be able to take his responsibility to pay off his debt. In solving the problems, the company should be guided by the prevailing rules, especially by fiduciary collateral law. Abstract

ABSTRACT   The right to lease a building is the right of a person or a legal entity to construct and to have a building on a piece of land owned by other person by paying for the rent for a certain period of time which is agreed by both parties. In the case of the right to lease, the owner hands over his empty land to a tenant so that the latter can build a building on it. The leasing relation between the land owner and the tenant will not be broken off when the leasing object is sold by the owner. The leasing contract made orally by the land owner and the tenant did not cause the tenant’s rights vanished. The land right transfer which became the leasing object should not break off the leasing. The tenant could file compensation if the land he was renting would be sold without his knowledge, and had the right to pull down the house he had built and take it away with him. Abstract

ABSTRACT The objective if the research is to find out the status of fiduciary collateral confiscated by the State and legal protection for Consumer Financing company as the creditor of fiduciary holder in order to avoid financial loss. The exhibit is fiduciary collateral of PT. Oscar Kredit Ekspress which is bound in fiduciary collateral contract with Hariani as the fiduciary giver. The status of fiduciary collateral, based on the court’s ruling, has shifted to the ownership from PT. Oscar Kredit Ekspress to the State. In consequence, PT. Oscar Kredit Ekspress suffers financial loss; therefore, it lodges an objection to the Stabat District Court which hands down a Ruling No. 04/Pdt.Plw/2015/Pn.Stb which states that the fiduciary collateral confiscated by the State, becomes the authority of the holder of fiduciary collateral certificate, based on the principle of droit de suite and droit de preference stipulated in Law No. 42/1999 on Fiduciary. Abstract

ABSTRACT The problem of sales contract in the case number 126/PID/B/2009/PN.DUM is between Notary/PPAT (Official empowered to draw up land deeds) and land owner, land purchaser, and land broker. The land owner sign an empty form of Land Sale Contract and Never makes a Power of Attorney to sell the land. Therefore, first, it is necessary to know how about the legal consequence of land sales contract which is materially defective; secondly, how about the liability of the Notary/PPAT for land sales contrct which is materially detective, viewed from criminal law; and thirdly, how about the analysis of judge’s legal consideration on the Supreme Court's Ruling No.126/PID/B/2009/PN.DUM. Abstract

ABSTRACT   Consumer financing or the so-colled consumer credit is an operation of finance company which is incorporated and granted a permit for installment sale with leasing system for electronics and furniture to consumers. The research used normative judicial method which was analytical descriptive. The results showed that the levering of electronics by the lease seller which was a corporate without a permit in the leasing agreement was not an actual transfer of the ownership right from the lease seller to the lease buyer. Legal/valid because it had met all requirements stipulated in the Article. However, if it is reviewed form the Decree of the Minister of Finance of the Republic of Indonesia No. 448/KMK.017/2000 on Finance Company, a corporation without a permit which run the installment sale for electronics and furniture with the system of leasing agreement to the society had broken the law administratively because it did not have a permit issued by the authorized party to run all its activities.   Keywords : Lease Sale, Electronics and Furniture, Fiannce Company without Permit

Abstract

In order to increase road service, the road organizer needs to improve road network system by improving road condition and constructing toll roads. The Medan-Binjai toll road which has been planned by the government passes plantation area of PTPN (PT Perkebunan Nusantara) II. Therefore, it is necessary to coordinate with the party concerned about land clearing and about compensation on the land and asset of PTPN II which have the impact of the toll road construction. The research problems were as follows: how about the implementation of the renunciation of rights of the leasehold land of PTPN II for the Medan-Binjai toll road construction, how about the compensation of the land acquisition for the Medan-Binjai toll road construction, and how about legal protection for PTPN II in the renunciation of rights for the Medan-Binjai toll road construction. Abstract

ABSTRACT The openness of Indonesia for international activities and association has brought certain impacts on social relationship in term of family relationship, particularly on marriage. Batam lies on a strategic location in the international shipping passageway. It has caused quite many mixed marriages in its society. The presence of a child in a mixed marriage has a significant meaning. In reality, the presence of a child in a marriage does not necessarily mean happiness. It usually happens to an illegitimate child. He/she needs to be recognized by his/her parents regarding all consequences in inheritance, citizenship, custody, and so on. Recognition does not directly turn an illegitimate child into a legitimate one. He/she becomes a legitimate child when his/her parents solemnize their marriage. Abstract

The traditional inheritance law in Indonesia is much influenced by the kinship applied by the ethnic community, including in determining beneficiary of the part bequeathed. Simalungun Traditional Inheritance Law like other Batak Traditional Inheritance Law in general gives priority to a son as the main beneficiary. It is also applied by Simalungun Traditional Community who lives at Pematang Raya Subdistrict, Simalungun Regency. This has encouraged the conduct of this research. The results show that the inheritance distribution to daughters in Pematang Raya Subdistrict, Simalungun Regency has been developed. The factors that influence this development are parents’ affection, Religion, Education, Economy, and Social factors. Consequently, daughters receive the position as their parents’ beneficiaries; however, it does not mean that they can pass along their families’ names to the next generation or to replace sons’ position in the family. It is recommended that panatua adat and government hold counseling on inheritance distribution to daughters so that Simalungun Traditional community in Pematang Raya Subdistric have knowledge about it and give the chance to every daughter to pursue higher education, to join and to have a vote in the decision making in the tradition without underestimating of replacing the position of sons who pass along family’s name to the next generation.
