Abstract

Yayasan adalah badan hukum yang didirikan untuk mencapai tujuan tertentu di bidang sosial, keagamaan, dan kemanusiaan. Pendirian yayasan diawali dengan pemisahan harta kekayaan pendiri untuk dimasukkan sebagai modal awal yayasan. Pemisahan harta kekayaan pendiri ke dalam yayasan tersebut Ɵ dak dapat diberi makna investasi karena secara fi loso fi pendirian yayasan bersifat nirlaba. Dalam prak Ɵ knya terjadi penyimpangan dalam pengelolaan, kon fl ik antar pengurus serta penyalahgunaan lembaga yayasan. Tulisan ini akan mengkaji bagaimana prinsip dan aturan hukum dalam pengelolaan yayasan sebagai hukum privat dan bagaimana pengelolaan oleh organ yayasan berdasarkan prinsip transparansi dan akuntabilitas. Dengan menggunakan metode yuridis norma Ɵ f dapat disimpulkan bahwa berdasarkan cara pendiriannya yayasan tergolong badan hukum privat. Prinsip transparansi dan akuntabilitas dalam mewujudkan good governance dalam pengelolaan yayasan diperlukan untuk memas Ɵ kan bahwa organ yayasan menjalankan tugasnya semata-mata untuk mencapai tujuan yayasan, selain itu perlu adanya pemeriksaan terhadap yayasan untuk memas Ɵ kan organ yayasan Ɵ dak melakukan pelanggaran hukum dan lalai dalam menjalankan tugasnyaThe founda Ɵ on is a legal en Ɵ ty established to achieve speci fi c goals in the areas of social, religious, and humanitarian. The establishment of the founda Ɵ on begins with the separa Ɵ on of founder(s) assets to be incorporated as the authorized capital founda Ɵ on. Separa Ɵ on founder(s) assets into founda Ɵ ons can not be given meaning as investment, because the founding founda Ɵ ons philosophy is non-pro fi t. In prac Ɵ ce there are devia Ɵ ons in the management of the con fl ict between the board and the abuse of the ins Ɵ tu Ɵ on founda Ɵ on. This paper will examine how the principles and the rule of law in the management of a founda Ɵ on and how management by organs of the founda Ɵ on based on principles of transparency and accountability. By using norma Ɵ ve methods can be concluded that based on the way its establishment, the founda Ɵ on belonging to private legal en Ɵ Ɵ es. Principles of transparency and accountability in achieving good governance in the management founda Ɵ on required to ensure that the founda Ɵ on organ du Ɵ es solely to achieve the purpose of the founda Ɵ on, in addi Ɵ on to the need for an examina Ɵ on of the founda Ɵ on to ensure that the fund did not perform organ o ff ense and negligent in performing their du Ɵ es.

Abstract

Infrastructure is important and substantial in economic development in Indonesia. The limitations of state revenue to build new infrastructure oblige the government to utilize and fabricate the combination of funding sources in giving public service corporate to foreign entities. This paper dis-cusses the dispute over the Completion of the Construction Contract between the Government and Foreign Parties. The research method used is normative legal research and through a conceptual approach, legislation. The complex implementation of the construction infrastructure supply contract has to be minimized to avoid claiming construction which leads to construction dispute. The issue of Regulation of Indonesia Number 2 Year 2017 on Construction Service has arranged the regulation of construction dispute settlement. According to Article 47, one of the dispute settlements of construction is Dispute Board. There is a legal vacuum in the implementation of its construction service regulation proven by the absence of advanced regulation on the form and procedure of Dispute Board.  Keywords: dispute settlement, construction contract, dispute board

Abstract

Contractualization is kind of goverment activity in acquiring goods, services and infrastructure as well. Procurement contract has several important function especially in enhancing economic development in a state. In Indonesia, this kind of contract also has function in empowering micro economic scale. Since the aim of procurement study is to provide equal protection between public fund interest in one hand and privat sector in the other hand, general principle of contract law must be taken into consideration together with transparency as the most important principle in government contract.

Abstract

Dalam hukum kontrak, prinsip itikad baik merupakan salah satu prinsip yang terpenting. Itikad baik merupakan suatu kewajiban hukum bagi kontraktan yang harus dipatuhi. Ini dapat diketahui dari Pasal 1338 ayat (3) BW yang mewajibkan kontraktan untuk melaksanakan kontrak dengan itikad baik. Dalam kaitan dengan pemahaman bahwa kontrak adalah proses dalam mana terdapat tahap pre-contractual, penandatanganan dan pelaksanaan (performance), maka perlu adanya pemahaman bahwa itikad baik tidak saja harus dilaksanakan pada tahap pelaksanaan, tetapi juga pada tahap pre-contractual dan penandatanganan.

Abstract

Biological material is largely a free component, but the development of these materials can be objects that have commercial high value. Thus, the biological material is also associated with the ownership and control should be regulated by the misuse of biological materials hukum. According to the characteristics of MTA as a civil agreement, the parties will be decisive in the formulation of the agreement, but the characteristics of biological materials, including viruses, which can endanger the safety and threaten public health requires the use of surveillance capabilities sampled by the competent authority. Abstract

The arbitration agreement is the legal basis for the arbitration forum to examine and adjudicate the dispute which arose from a private relationship where the parties agree to settle the dispute in arbitration forum. As an agreement, the arbitration agreement still applies the principles of contract, including the principle of privity of contract. In the doctrine of privity of contract, an agreement is only binding and have legal effect only to the parties, the agreement in principle, cannot provide profit or loss to a third party. In the arbitration agreement, only the parties are bound by the arbitration agreement that can become parties to the case investigation. However, in the development of arbitration practice also shows that a third party, not a signatory to the arbitration agreement can be held accountable through an examination of the arbitration case. Such a situation is possible if the third party is resident as a holding company or shareholder of a limited liability company, in which the limited liability company is bound by an arbitration agreement, and the holding company or shareholder proven to perform actions through a subsidiary or a limited liability resulting harm the other party.

Abstract

Construction work in its implementation is carried out based on a contract. If there are problems in carrying out construction work, a dispute between the parties, in this case the service user and the service provider, will occur. Indonesia Law No. 2/2017 about Construction Services (hereafter called UU 2/2017) provides a new dispute resolution model option if problems occur in the construction sector, namely through the Dispute Board. The Dispute Board was created by the International Federation of Consulting Engineers / Federation Internationale des Ingenieurs-Conseils or FIDIC which was adopted into UU 2/2017. However, the regulation regarding the Dispute Board in UU 2/2017 needs to be studied further, especially regarding the nature of the final binding decision, because it still raises problems in its implementation. The purpose of this study is to examine the development of dispute resolution in the field of construction and the implementation of the final and binding nature of dispute board decisions. This study employed legal research methods with a conceptual and statute approach. The results of this study found that construction disputes can be resolved through litigation or non-litigation. The presence of the Dispute Board still does not provide legal certainty for the parties because the nature of the decision is final and binding but is not supported by an implementation mechanism.

Abstract

In the context of legal science, the value of justice for all Indonesian people as stated in Pancasila, the 5th Precept is termed as substantive justice, namely justice that is actually felt by the community and created through legal formation. In these precepts, the essence of justice is based on and imbued with justice in the life of the nation, justice towards the creator and fellow human beings. Laws in Indonesia must be in line with Pancasila. Equitable law enforcement means that every community must get equal treatment before the law (equality before the law) and fair or access to justice, especially civil servants in carrying out their duties and obligations as government officials. Legal aid has an important position in every criminal justice system and helps to achieve a "fair legal process". Law Number 20 of 2023 concerning State Civil Apparatus article 21 paragraph (2) letter (g) states that "State Civil Apparatus are entitled to obtain "legal aid". The provision of legal aid as part of access to justice for the community is elaborated in article 28D paragraph (1) of the 1945 Constitution which states that "everyone has the right to recognition, guarantees, protection and certainty of a just law and equal treatment before the law", this is also regulated in Law Number 16 of 2011 concerning Legal Aid in article 3 which states that "the organizer of the legal aid program shall be responsible for the provision of legal aid to the public".
