Abstract

The notary's covernote itself is issued because the authentic deed relating to the bank credit disbursement process has not been completely completed by the notary, so the covernote is issued as a temporary legal umbrella while the process of making the authentic deed is completed by the notary. So the aim of this research is to find out the legal position of notary covernotes which are used as the basis for credit disbursement if they cause problems in the future and what the responsibilities of notaries are in issuing covernotes that are not regulated in statutory regulations. This research uses normative juridical research methods. The results of this research show that the practice of making covernotes by notaries is a habit carried out by notaries because creditors or banks want credit disbursement to be carried out so they need a basis for this so that making covernotes by notaries is not regulated by law and is not is a legal product from a notary which results in the absence of legal certainty in the covernote.

Abstract

Sekuritasasi aset kredit menyebabkan beralihnya risiko kredit dan merubah aset pinjaman yang tidak likuid menjadi aset likuid. Permasalahan yang terjadi adalah pada saat peralihan tagihan KPR dari Originator kepada PT SMF (Penerbit EBA) sehingga mengakibatkan beralihnya hak tanggungan yang melekati piutang KPR tersebut kemudian tidak segera dicatatkan di Kantor Pertanahan. Penelitian ini bertujuan menganalisis akibat peralihan tagihan KPR dari Originator kepada Penerbit EBA dan kedudukan objek hak tanggungan dalam sekuritisasi aset KPR oleh PT SMF dan diharapkan dapat meningkatkan pemahaman masyarakat serta kepercayaan diri bank dalam memilih instrumen sekuritisasi tagihan KPR. Penelitian ini bersifat yuridis normatif dengan teknik pengumpulan bahan hukum studi kepustakaaan. Hasil penelitian menunjukkan Pemegang hak tanggungan semula bank penyalur selaku Originator kemudian beralih kepada Pemegang EBA-SP yang diwakili Wali Amanat dan/atau Bank Kustodian setelah adanya sekuritisasi atas tagihan KPR tersebut. Tanpa ada pendaftaran dan pencatatan di Kantor Pertanahan atas peralihan hak tanggungan yang melekati piutang mengakibatkan secara administrasi yang berkedudukan sebagai Pemegang Hak Tanggungan adalah tetap Originator sebagai Bank Penyalur KPR.

Abstract

The risk transfer mechanism from the insured to the insurer in insurance happens when both parties have fulfilled what has been agreed in insurance agreement along with obligatory insurance principle like the utmost good faith principle and the regulation regarding the insurance procedure. In the South Jakarta District Court Decision number: 16/Pdt.G/2016/PN.Jkt.Sel, Panel of Judges excluded what has been agreed by both parties on the basis of fulfillment of utmost good faith principle by the plaintiff. The excluded matter was regarding the written notification obligation that has been agreed by both parties, but the plaintiff did not notify it in writing but orally instead. Law No. 40 of 2014 does not clearly regulate claim notification, thus causing difficulty in determining whether certain notification is the application of the utmost good faith principle or not. Some foreign legislations regulate that matter, so they can become a reference for Indonesian regulators in perfecting the existing regulation.Keywords: insurance; the principle of utmost good faith; insurance policy closure; insurance claim; life insurance

Abstract

Government Regulation Number 42 of 2007 concerning Franchising (PP 42/2007), requires that the Franchisor must register the Franchise prospectus which is followed up with the registration of the Franchise Agreement by the Franchisee. Failure to register the Franchise Agreement results in the agreement being null and void because the Franchise Agreement is included in the form of a Formal Agreement. Void and void means returning the parties to their original state when the agreement had not yet been formed. However, if the Franchisee suffers a loss, he can sue the Franchisor for compensation on the basis of an Unlawful Act. The Franchisee will not experience such losses if the Franchisor registers its franchise prospectus. This study uses a normative legal research method with a qualitative approach.

Abstract

In order to guarantee smooth capital turnover, banks would often "withdraw" their capital even if the receivables (often from credit) that they currently own are not yet payable, by selling their receivables, followed by cession. However, in practice this is often problematic. Most of the problems revolving around this practice is that the cession that follows the selling of receivables is conducted not in accordance with applicable laws regarding cession and could therefore backfire and become a problem for the bank in question. The cession of Permata Bank on Debt Assignment Deed (Cession) Number 85 dated 5 May 2017, as stated in the Central Jakarta Commercial Court Decision Number 131/Pdt.SUS-PKPU/2018/PN.Niaga.Jkt.Pst is one of such problematic cessions. On this matter, the assignment of receivables was done through Debt Assignment Deed (Cession) Number 85 dated 5 May 2017, related to a Conditional Receivables Sale and Purchase Agreement that was novated and then amended. This article uses a normative juridical research method. The research specifications used in this study are descriptive analytical. The secondary data used by the author in this study consisted of primary legal materials, secondary legal materials, and tertiary legal materials. The data analysis method used is normative qualitative. The Conditional Receivables Sale and Purchase Agreement is carried out without the transfer of ownership with cession, so that the ownership has not yet been transferred to the buyer. The Novation and Amendment To the Conditional Receivables Sale and Purchase Agreement is also invalid because it was carried out without involving the debtor. So, it can be concluded that the cession of the Conditional Receivables Sale and Purchase Agreement which was later novated and amended is null and void because the cession was made under a receivables sale and purchase agreement that was invalidly novated. Abstract

This study aims to discuss the status of Freehold land located in the convertible production forest area (HPK) in Indragiri Hulu Regency, Riau Province. In Riau Province, there was a determination of forest areas which resulted in Freehold land being included in the forest area. This caused Freehold land to be unable to be guaranteed and transferred. This caused losses for the Community and also for the parties who were affected by this problem. This research is a normative legal research. The results of this study are that the status of Freehold land of the Inhu Regency Community which is included in the forest area remains as Freehold land because no one has revoked its Ownership Rights. The Certificate of Ownership for land owned by the Community remains proof of legal and strong land ownership. The Inhu Regency Community cannot utilize their lands as the nature of Freehold land as a hereditary, strongest and most complete right. The material rights attached to the Freehold land have not been fulfilled. This shows the absence of certainty and legal protection for Freehold land holders in Indragiri Hulu Regency. Settlement of the status of Inhu Regency Community Land Rights that are included in the forest area, namely by removing the Land Rights from the forest area.

Abstract

Yurisprudensi Mahkamah Agung No. 3597/K/Pdt/1985 menjelaskan bahwa jual beli dengan hak membeli kembali merupakan bentuk perjanjian menurut Pasal 1519 BW dan seterusnya, sedangkan jual beli tanah/rumah sesuai dengan UUPA dikuasai oleh hukum adat yang tidak mengenal bentuk jual beli dengan hak membeli kembali. Namun, pada praktiknya masih terjadi jual beli dengan hak membeli kembali pada tanah dan/atau bangunan sebagaimana dalam Putusan Peninjauan Kembali No. 958 PK/Pdt/2020 dan Putusan Peninjauan Kembali No. 1004 PK/PDT/2020. Berdasarkan hal tersebut, maka penelitian ini membahas mengenai legalitas jual beli dengan hak membeli kembali pada tanah dan/atau bangunan. Metode penelitian yang digunakan dalam penelitian ini adalah doktrinal dengan jenis sumber hukum antara lain bahan hukum primer dan bahan hukum sekunder. Hasil analisis menunjukkan bahwa belum terdapat kepastian hukum terkait legalitas perjanjian jual beli dengan hak membeli kembali pada tanah dan/atau bangunan karena hakim tidak mempunyai satu pandangan yang utuh tentang hal ini. Terdapat hakim yang membolehkan perjanjian jual beli dengan hak membeli kembali dengan dasar bahwa semua perjanjian yang dibuat secara sah berlaku sebagai undang-undang bagi mereka yang membuatnya sebagaimana diatur dalam Pasal 1338 KUHPerdata. Sementara itu, terdapat pula hakim yang tidak membolehkan perjanjian jual beli dengan hak membeli kembali dengan dasar perjanjian tersebut merupakan perjanjian utang piutang yang terselubung (semu) dan tidak sesuai dengan hukum adat yang tidak mengenal jual beli dengan hak untuk membeli kembali sebagaimana dijelaskan dalam yurisprudensi Mahkamah Agung No. 1729 K/Pdt/2004.

Abstract

The development of digital technology has introduced Non-Fungible Tokens (NFT) as a form of digital asset that has its own economic value and uniqueness.  This opens up the potential for NFTs as objects of inheritance, however the traditional inheritance law system in Indonesia has not fully accommodated non-physical entities such as NFTs, especially due to unclear regulations regarding the transfer of rights to these assets after the death of the owner.  This article discusses legal protection for heirs with NFT inheritance objects.  This research uses normative or doctrinaire research methods using secondary data and a comparative legal approach, which involves analysis of relevant laws and regulations and NFT practices in several jurisdictions that have recognized the existence of NFTs.  Based on the research results, NFTs can be inherited through a general will made by a notary, olographic, or private.  However, the main challenge is access to digital wallets that store NFTs and are at risk of being lost if there is not sufficient technical information regarding access.  To overcome this, inheritance planning with a dead's man switch mechanism in smart contracts can enable the automatic transfer of NFTs to heirs.  However, legal recognition of this mechanism is still limited.  This research highlights the need for clearer regulations and legal updates in Indonesia regarding digital asset inheritance, to provide legal certainty for owners and heirs as technology develops.  It is hoped that the results of this research can contribute to the formulation of clearer regulations and provide adequate legal protection for heirs and heirs who own digital assets in Indonesia.

Abstract

The research with this title aims to find out the implementation of the precautionary principle which is carried out by a notary in the process of making a retroactive marriage agreement deed, namely an agreement whose process begins after the marriage is carried out. The focus of this research is how the notary applies the precautionary principle so that the agreement does not harm third parties, such as creditors, and ensures that the agreement remains legally valid. In addition, this research also explores the mechanism of making a marriage agreement deed in the realm of still protecting the interests of third parties. The research methodology presented in this study is a normative juridical approach by analyzing relevant laws and regulations, legal doctrines, and case studies. The results show that the prudential principles of notaries include checking the status of assets, notifying related parties, and complying with legal regulations. The mechanism applied by the notary also plays an important role in ensuring that the marriage agreement does not have a detrimental impact on third parties, as well as providing legal certainty for the parties involved. This research provides a conclusion on the application of the precautionary principle by notaries which is a crucial step in maintaining justice and legal certainty, especially in the making of retroactive marriage agreement deeds.

Abstract

In the case of long-term contracts, parties might find it challenging to anticipate the relevant state of affairs that may affect the performance of the contract in the future or any change of circumstances. This paper argues that implementing a change of circumstances doctrine that allows the disadvantaged party to demand contract adjustment has been applied since long ago in Indonesia. This application is particularly evident when it comes to changes in currency. The principle of justice becomes the main consideration for the judges to make contract adjustments due to changes in circumstances. However, some court decisions accepted such requests for contract adjustment due to a change in circumstances, even though it was based on a force majeure defense. In order to provide legal certainty in the future, it is highly recommended that legislators separate the rules of force majeure from the rules of change of circumstances.
