Abstract

 Direksi menurut Undang-undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas memiliki dua kewenangan, yakni melakukan tindakan pengurusan  perusahaan dan mewakili perseroan baik di dalam maupun di luar pengadilan. Tindakan Direksi secara hukum dikualifikasi sebagai tindakan perseroan selaku badan hukum apabila dilakukan sesuai dengan kewenangan dan tujuan perseroan sebagaimana tercantum dalam anggaran dasar perseroan. Tindakan direksi yang dilakukan di luar kewenangan atau melampaui kewenangan (ultra vires) tidak dapat dikualifikasi sebagai tindakan perseroan. Akibatnya, tindakan hukum tersebut tidak mengikat perseroan dan hanya mengikat Direksi secara pribadi dengan pihak ketiga.Kata kunci: Tindakan Ultra Vires; Direksi; Perseroan Terbatas Directors according to Law Number 40 of 2007 concerning Limited Liability Company have two authorities, namely taking care of the company and representing the company both inside and outside the court. The actions of the Board of Directors are legally qualified as the actions of the company as a legal entity if they are carried out in accordance with the authority and objectives of the company as stated in the company's articles of association (company statute). The directors' actions that are carried out outside the authority or exceed the authority (ultra vires) cannot be qualified as a company action. As a result, these legal actions do not bind the company and only bind the Directors privately with third parties.Keywords: Ultra Vires Actions; the Directors; Limited Liability Company

Abstract

Artikel ini bertujuan untuk menganalisis dan mengkaji pengaturan perlindungan hukum terhadap anak korban kekerasan seksual di Indonesia dan untuk menganalisis dan mengkaji bagaimana pelaksanaan perlindungan hukum kekerasan seksual secara represif di Indonesia. Masalah difokuskan pada perlindungan hukum terhadap anak korban kekerasan seksual di Indonesia. Guna mendekati masalah ini dipergunakan acuan teori dari artikel atau karya yang sesuai dengan masalah penelitian. Data-data yang didapat dikumpulkan melalui studi kepustakaan dan studi dokumentasi yang bersumber dari peraturan perundang-undangan yang terkait dengan masalah penelitian, buku-buku hukum yang mengandung konsep-konsep hukum, dokumen resmi, publikasi, dan hasil penelitian dan dianalisis secara kualitatif. Kajian ini menyimpulkan bahwa, Perlindungan hukum terhadap anak korban kekerasan seksual telah diatur secara spesifik dalam berbagai peraturan perundang-undangan tentang anak. Kasus kekerasan seksual di Indonesia sangat beragam dengan berbagai motif dan tindakan yang berbeda yang melibatkan berbagai pihak. Bentuk perlindungan hukum di Indonesia dalam praktek sudah sesuai dengan peraturan yang berlaku. Hal tersebut dapat dilihat dalam Putusan Nomor 320/Pid.Sus/2022/PN.Kpn yang memutus perkara tindak pidana melakukan ancaman kekerasan terhadap anak untuk melakukan perbuatan cabul yang dilakukan oleh orang tua secara berlanjut.

Abstract

This research aims to analyze the role of female students in waste management based on Talcott Parson's imperatives. This research is empirical juridical research with a juridical approach through legal studies related to the research topic and an empirical approach through sociological facts in the field. This research provides a more comprehensive picture regarding the role of female students in waste management and effective and efficient regulatory strategies in waste management. The results of this research are that the role of female students is carried out by taking concrete actions in minimizing waste, sorting waste, utilizing waste, and understanding materials in waste management in formal institutions and Islamic boarding school environments. Waste management is carried out in line with Talcott Parson’s imperative called AGIL (adaptation, goal attainment, integration and latency) with the existence of waste management activities that are intracurricular, co-curricular and extra-curricular in formal institutions and at the Islamic boarding school level.

Abstract

This research focuses on a juridical analysis of the conformity of Indonesia's labor law framework in providing protection for workers in the gig economy sector, particularly those working through digital platforms. The method used is normative juridical research with a legislative approach and literature study on legal literature, international reports, and relevant jurisprudence. The research results show that Indonesian labor regulations, such as Law Number 13 of 2003 and the Job Creation Law, have not been able to reach new forms of work relationships that are flexible but have a structural dependency on platform companies. The absence of formal legal recognition for digital workers has created a void in social and employment protections, and has strengthened the dominant position of corporations through opaque algorithmic regulations. The implications of these findings underscore the importance of reformulating labor laws to be more adaptive, substantive, and contextual, in order to ensure distributive justice and the rights of digital workers in the era of technology-based economies.

Abstract

This study aims to examine the legal construction of the ijarah contract implemented in the leasing practices of Basmalah Stores owned by Sidogiri Islamic Boarding School and to compare it with Islamic banking ijarah and Ijarah Muntahiya Bit Tamlik (IMBT) within the framework of Indonesian positive law. Previous studies have predominantly focused on ijarah in Islamic financial institutions, leaving community-based implementations within pesantren economic institutions largely unexplored. This study contributes to the development of a community-based Islamic economic model by integrating legal validity, socio-religious values, and economic empowerment into the conceptual framework of ijarah. This research employed a normative legal approach with a comparative design. Data were obtained from twelve legal and academic sources, including statutory regulations, the Compilation of Islamic Economic Law, DSN-MUI fatwas, and contemporary scholarly literature. Data were analyzed qualitatively through descriptive, comparative, and prescriptive approaches. The findings reveal that Basmalah Stores apply pure ijarah (ijarah al-manāfi”˜), characterized by the transfer of usufruct rights without ownership transfer. The contract fulfills the legal requirements stipulated in the Compilation of Islamic Economic Law, DSN-MUI Fatwa No. 09/2000, and the Indonesian Civil Code, with no indication of gharar, coercion, or unlawful purposes. Comparative analysis across eight aspects demonstrates that, unlike Islamic banking ijarah and IMBT, Basmalah’s ijarah emphasizes social welfare, community empowerment, and the sustainability of pesantren-based businesses. These findings position Basmalah’s leasing practice as a distinctive model of community-based Islamic economy that integrates legal compliance, social responsibility, and economic resilience.
