Abstract

Cross Ownership in a limited liability company known as cross holding is a condition iwhere a limited liability company owns shares iissued by another ilimited liability icompany whose shares are directly or indirectly owned by the company, and vice versa The notary as a general official who makes ithe deed of isale and ipurchase ofishares imust understand the rules related to the transfer of shares, so as not to cause cancellation of the deed by the court. The problems raised in this thesis are what are the legal consequences of the cancellation of a Notary deed regarding the sale and purchase of shares resulting in crossholding by the court, how are the legal considerations of a court judge in declaring null and void a Notary deed. The purpose of this study is to analyze the legal consequences of the cancellation of a Notary deed resulting in Crossholding by the court, and to analyze the judgment of the court judge in declaring null and void a Notary deed. This research is a normative juridical research using a statutoryapproach and a case study approach. Data collection techniques were obtained by means oflibrary researchin the form of document studies. Data analysis uses qualitative analysis, then conclusions are drawn using deductive thinking methods. The judicial reason for the court to declare a notarial deed null and void is if the notary deed does not meet the objective and subjective requirements of an agreement. iThe legal iconsequence iof the icancellation of a Notary ideed by the court is theichange in the status and strength of proof of a Notary deedias an authentic deed to a private deed. Suggestions from this research are so that judges can make wise and fair decisions in handling every case, especially those relating to the cancellation of a notary deed

Abstract

Land Title Certificates are proof of land ownership granted by the Government through the Land Agency to landowners, but in its development there have been Land Title certificates given to someone who is not a land owner (cultivator) based on a Certificate of Land Ownership from the Village. This research was conducted in Marisa Village and Bunto Village, Popayato District, Pohuwato Regency which aims to analyze the legal certainty of the recognition of land ownership certificates by cultivators who bear ownership letters from the village, as well as legal settlements for applications for ownership certificates obtained by cultivators who are not landowners. actually. Research This thesis is a normative-empirical legal research, using statutory, historical, and sociological approaches to examine primary and secondary data. Primary data in this study were obtained through field research by means of interviews, secondary data were obtained through library research, then the data were analyzed qualitatively. The results of the research show that the acquisition of land rights by cultivators as stated in the land ownership certificate from the village does not contain information as to where the cultivators obtained the land from. For dispute resolution, it must be done through the judiciary, because the land has been certified in the name of the cultivator, so an annulment must be requested

Abstract

Isu pertanggungjawaban direksi yang bermunculan yang mendelegitimasi seorang direksi yang berujung pencopotan jabatan direksi, pertanggungjawaban perdata direksi bahkan sampai berujung pada pidana. Disisi lain terdapat asas pembebasan direksi dalam tanggungjawab yang dilegitimasi oleh RUPS yaitu asas acquit et de charge. Dari hal tersebut rumusan masalah yang diambil : 1) Bagaimana ratio legis pengaturan pembebasan tanggungjawab direksi di RUPS ? serta 2) Bagaimana pengaturan pembebasan direksi dari tanggungjawab hukum oleh RUPS dalam perspektif business judgment rules ? Metode yang digunakan dalam penelitian ini adalah jenis penelitian hukum normatif dengan pendekatan perundang-undangan (statue approach) dan pendekatan konseptual (conceptual approach). Hasil penelitian menjelaskan dasar pembebasan direksi berdasarkan asas acquit et de charge yang dinyatakkan oleh RUPS diatur dalam UUPT Tahun 2007 namun punya limitatif tidak melanggar ketentuan Anggaran Dasar dan RUPS, maka Direksi tidak dapat dituntut atas perbuatannya tersebut. Direksi beranggapan jika memperoleh acquit et de charge maka akan terbebas sepenuhnya dariseluruh pertanggungjawaban, namun yang perlu diluruskan bahwa acquit et de charge hanya diberikan terhadap perbuatan yang memenuhi prinsip business judgment rules.

Abstract

The partners in this program include the Head of Bantarsari Village and his staff, representatives of associations, and Bantarsari Small and medium enterprises (SMEs). The partners face several issues: the absence of producer organizations, underutilization of information technology, unregistered product trademarks, limited online marketing reach, and low marketing management competence. The program aims to provide education and training on trademark legality and to assist and facilitate the creation and registration of trademarks. Activities are conducted using persuasive and participatory methods through lectures, discussions, training, mentoring, and trademark registration facilitation. Based on data analysis before and after the program implementation, it was concluded that the mentoring and facilitation of trademark registration for Bantarsari SMEs were effectively addressed through continuous outreach and mentoring. The average increase in the effectiveness of mentoring and facilitation activities for Bantarsari SMEs trademark registration based on the collaboration between the village government and the campus reached 31.4%.

Abstract

The trend of digitalization has called for electronic notary services that are both efficient and secure. This study proposes a framework for an integrated e-notary system using blockchain technology based on Indonesia's civil laws and regulations. To accomplish this objective, this study uses a methodology combining both normative legal and information systems methods. This study starts with a search of existing laws and regulations conducted on the Indonesian government regulation database (peraturan.go.id). Subsequently, laws and regulations are analyzed to elicit system components and functional requirements. The findings are visualized using a rich picture, resulting in a framework for an integrated e-notary system. The system entails a blockchain network in which Indonesian registered notaries act as nodes. The proposed system is integrated with other e-government systems to facilitate notarial services as required by laws and regulations, such as document validity checks, electronic recording and storage of notarial deeds, document legalization, and notary protocol archiving. To support the proposed blockchain-based e-notary system, this study suggests several regulatory adjustments based on legal gaps identified using Kostruba’s approach. Regulatory adjustments include creating technical regulations on the establishment of the blockchain network operated by the Indonesian Notary Association (INI) and also the creation and storage of notarial deeds electronically.  The findings imply that the proposed e-notary system has the potential to enhance notary services’ security and efficiency in Indonesia, though successful implementation of such a system may hinge upon the readiness of the stakeholders.

Abstract

Penelitian ini berfokus pada pertanggungjawaban notaris dalam pengesahan Akta Pernyataan Keputusan Rapat Umum Pemegang Saham Luar Biasa (RUPS-LB) No.103, berdasarkan putusan nomor 41 PK/Pid/2021, dan kedudukan akta tersebut yang dibuat berdasarkan putusan nomor 635 PK/Pdt/2020. Studi ini bertujuan untuk memahami peran notaris dalam kasus-kasus pemalsuan yang melibatkan RUPS, mengingat seringnya notaris terjerat dalam masalah hukum terkait pemalsuan dalam akta. Studi ini menggunakan metode penelitian hukum normatif yuridis dengan studi kasus. Hasil penelitian menunjukkan bahwa 1) Notaris tidak dapat dimintakan pertangung jawaban hukum secara pidana atas pembuatan Akta Pernyataan Keputusan Rapat Umum Pemegang Saham Luar Biasa PT. BRM No.103, karena pembuatan akta PKR Luar Biasa, yang dibuat berdasarkan Berita Acara Rapat Umum Pemegang Saham Luar Biasa (RUPSLB) PT. Bali Rich Mandiri (PT.BRM) , dibawah tangan dan dilakukan secara sirkuler (Circuler Resolution) sah dan mengikat hasilnya menurut pasal 91 UUPT No. 40 tahun 2007. 2) RUPS di bawah tangan atau Pengambilan Keputusan di Luar RUPS adalah prosedur yang banyak terjadi di perseroan-perseroan. Prosedur tersebut dianggap sah dan mengikat serta dilindungi oleh Undang-Undang Perseroan Terbatas selama memenuhi peraturan dan persyaratan yang berlaku

Abstract

Tempat tinggal sebagai kebutuhan dasar harus dipenuhi, penyelenggaraan serta pemenuhannya menjadi tanggung jawab negara sehingga masyarakat mempunyai tempat tinggal dan mempunyai rumah yang layak serta terjangkau. Namun dengan adanya keterbatasan dari pemerintah maka kemudian pemerintah menyerahkan kepada pihak swasta atau masyarakat umum untuk menyediakan atau membangun perumahan bagi masyarakat dalam rangka memenuhi kebutuhannya. Salah satu perbuatan hukum yang berhubungan dengan program kepemilikan perumahan adalah adanya perjanjian jual beli perumahan. Dalam praktiknya, perjanjian jual beli perumahan dilakukan di bawah tangan dan secara notariil. Ketika terjadi wanprestasi maka ada tanggung jawab yang harus dilakukan oleh pengembang dan perlindungan hukum kepada pihak pembeli. Penelitian ini menggunakan metode pendekatan yuridis empiris, Data yang dipergunakan adalah data sekunder. Tujuan penelitian ini untuk mengetahui tanggungjawab pengembang dalam pembuatan perjanjian jual beli di bawah tangan dan secara notariil serta perlindungan hukum terhadap pihak pembeli jika terjadi wanprestasi. Hasil dari penelitian ini menunjukan bahwa tanggung jawab pengembang dan perlindungan hukum terhadap pihak pembeli harus dilaksanakan walaupun perjanjian jual beli dilakukan secara di bawah tangan maupun secara notariil.
