Abstract

Advances in information technology have driven the use of electronic contracts, one of which is the clickwrap agreement, which is widely used in modern digital transactions. However, this form of agreement raises legal issues regarding its validity and the application of the principle of freedom of contract, particularly due to its inherently one-sided nature and limited room for negotiation. This study aims to analyze the validity of clickwrap agreements from the perspective of the principle of freedom of contract and to examine the challenges and implications within Indonesian contract law. The research method employed is normative legal research using a legislative and conceptual approach. Legal materials were collected through literature review and analyzed using the syllogistic method with deductive reasoning. The results of the study indicate that clickwrap agreements are valid and meet the requirements for a valid contract under Article 1320 of the Civil Code. However, the application of the principle of freedom of contract has not been optimal due to the lack of room for negotiation for users. The challenges that arise include an imbalance of power between the parties, a lack of user understanding of the contract’s contents, the potential for clauses that are detrimental to users, and regulatory ambiguity. The implications of these conditions relate to legal certainty, the status of the parties, consumer protection, law enforcement, and the development of contract law.

Abstract

AbstractThis artricles aims to examines the problems regarding sanctions or legal consequences that may be imposed on customers who default on the credit agreement at the bank and legal protection measures for the bank as a provider of funds to customers if there is default. This research is categorized as a normative legal research, which is prescriptive. The research approach used in this research is a statute approach. In nature the data used in this research is primary legal materials, secondary legal materials and tertiary legal materials. The data collection technique used in this research is library research and through cyber media. The results shows that sanctions or legal consequences for debtors who are in default, namely compensation in default, cancellation of agreement in default, transfer of risk in default, and paying court fees in default. The legal protection measures for banks to customers if there is default are internal legal protection and external legal protection. Internal legal protection is contained in the credit agreement. As for external legal protection contained in legislations.Keywords: Credit Agreement; Default; Legal Protection.AbstrakArtikel ini bertujuan untuk mengkaji sanksi atau akibat hukum yang dapat dikenakan kepada nasabah yang melakukan wanprestasi terhadap perjanjian kredit pada bank dan bentuk perlindungan hukum bagi bank sebagai pemberi dana kepada nasabah apabila terdapat wanprestasi. Penelitian ini merupakan penelitian hukum normatif yang bersifat preskriptif. Pendekatan penelitian yang digunakan adalah pendekatan perundang-undangan. Sumber bahan hukum adalah bahan hukum primer, bahan hukum sekunder dan bahan hukum tersier. Teknik pengumpulan bahan hukum yang digunakan adalah studi kepustakaan dan melalui cyber media. Hasil penelitian menunjukkan bahwa sanksi atau akibat-akibat hukum bagi debitur yang wanprestasi, yaitu pembayaran ganti rugi dalam wanprestasi, pembatalan perjanjian dalam wanprestasi, peralihan resiko dalam wanprestasi, dan membayar biaya perkara dalam wanprestasi. Bentuk - bentuk perlindungan hukum bagi bank sebagai pemberi dana kepada nasabah apabila terdapat wanprestasi, dibedakan atas perlindungan hukum internal dan perlindungan hukum eksternal. Perlindungan hukum internal terdapat dalam perjanjian kredit itu sendiri. Adapun perlindungan hukum eksternal terdapat dalam Peraturan Perundang-Undangan.Kata Kunci: Perjanjian Kredit; Perlindungan Hukum; Wanprestasi.

Abstract

Artikel ini bertujuan untuk mengetahui mengenai  pengaturan perlindungan konsumen khususnya bagi pemberi pinjaman dalam financial technology peer to peer lending dan upaya hukum yang didapatkan apabila terjadi gagal bayar (default). Penelitian  ini  merupakan  penelitian  hukum normatif dengan bahan hukum primer dan sekunder yang dianalisis dengan cara deduktif. Peraturan yang saat ini dapat mengakomodir perlindungan konsumen dianggap belum mampu untuk mengakomodir aspekaspek yang ada pada pemberi pinjaman sebagai konsumen. Jika terdapat peraturan spesifik yang mengatur baik pada penyelenggaraan, perlindungan konsumen, maupun penyelesaian sengketa, maka penyelenggara fintech dapat dan harus tunduk pada kerangka hukum yang lebih spesifik.
